 <section id="H0B6CDF73D02244E8AD37791F67347EBA" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Expanding Investment in Small Businesses Act</short-title></quote>.</text> </section><section id="H9F40B3D9E89F41FAAB96EDC68A85284D"><enum>2.</enum><header>SEC study</header> <subsection id="H7FFA3D4B89694E79B6821762A68A668C"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">The Securities and Exchange Commission shall carry out a study of the 10 per centum threshold limitation applicable to the definition of a diversified company under section 5(b)(1) of the Investment Company Act of 1940 (<external-xref legal-doc="usc" parsable-cite="usc/15/80a-5">15 U.S.C. 80a–5(b)(1)</external-xref>) and determine whether such threshold limits capital formation.</text>
 </subsection><subsection id="HF8091DFE52F14B1E9C2179B0E4E28441"><enum>(b)</enum><header>Considerations</header><text>In carrying out the study required under subsection (a), the Commission shall consider the following:</text>
 <paragraph id="HF6789698432F4B01B95CF2D083BDF07B"><enum>(1)</enum><text display-inline="yes-display-inline">The size and number of diversified companies that are currently restricted in their ability to own more than 10 percent of the voting shares in an individual company.</text>
 </paragraph><paragraph id="HF433BE1546A84DE4A2A20BF6926642AB"><enum>(2)</enum><text>If investing preferences of diversified companies have shifted away from companies with smaller market capitalizations.</text>
 </paragraph><paragraph id="HCE79497322DC48949E31257DBA0C1E92"><enum>(3)</enum><text>The expected increase in the availability of capital to small and emerging growth companies if the threshold is increased.</text>
 </paragraph><paragraph id="H38ACBCF3156849B2A02E5BD1618860C5"><enum>(4)</enum><text>The ability of registered funds to manage liquidity risk.</text> </paragraph><paragraph id="HE9A25EB71BA44905ADAEAE0102FFB900"><enum>(5)</enum><text display-inline="yes-display-inline">Any other consideration that the Commission considers necessary and appropriate for the protection of investors.</text>
 </paragraph></subsection><subsection id="HFD00BA1027EC486D9FCB68AC4731003F"><enum>(c)</enum><header>Solicitation of public comments</header><text display-inline="yes-display-inline">In carrying out the study required under subsection (a), the Commission may solicit public comments.</text>
 </subsection><subsection id="H81CB8F7F81D8457CA9C7EA6986F162C3"><enum>(d)</enum><header>Report</header><text>Not later than the end of the 180-day period beginning on the date of enactment of this Act, the Commission shall issue a report to the Congress, and make such report publicly available on the website of the Commission, containing—</text>
 <paragraph id="H26E6B97B49F345579744455077A89AA7"><enum>(1)</enum><text>all findings and determinations made in carrying out the study required under subsection (a); and</text> </paragraph><paragraph id="H6166A145BFF34F4F930DB4D4424AB62E"><enum>(2)</enum><text>any legislative recommendations of the Commission, including any recommendation to update the 10 per centum threshold.</text>
