 <section id="H428873E9DA69419BAD2E84A772BD53DF" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Improving Investment Research for Small and Emerging Issuers Act</short-title></quote>.</text> </section><section id="H78A3383430A246FA9869C00BB1695B28"><enum>2.</enum><header>Research study</header> <subsection id="HACD52EE6032A46C58EAE51EF344EA9A9"><enum>(a)</enum><header>Study required</header><text display-inline="yes-display-inline">The Securities and Exchange Commission shall conduct a study to evaluate the issues affecting the provision of and reliance upon investment research into small issuers, including emerging growth companies and companies considering initial public offerings.</text>
 </subsection><subsection id="HF111F5BDFCB245C6A1D00622F9D6794A"><enum>(b)</enum><header>Contents of study</header><text>The study required under subsection (a) shall consider—</text> <paragraph id="HD0DB576634FF46CA9FCA29353DBDA27F"><enum>(1)</enum><text>factors related to the demand for such research by institutional and retail investors;</text>
 </paragraph><paragraph id="H316604172D00420A8667AA910DE158AA"><enum>(2)</enum><text>the availability of such research, including—</text> <subparagraph id="HB0FFD995E64C49A1ABA64EB3BEF97A5E"><enum>(A)</enum><text>the number and types of firms who provide such research;</text>
 </subparagraph><subparagraph id="H9D555D2957F04ADCBC9919EE6C273F44"><enum>(B)</enum><text>the volume of such research over time; and</text> </subparagraph><subparagraph id="HB5D8FB8666AE4B6B81B538890885AE84"><enum>(C)</enum><text>competition in the research market;</text>
 </subparagraph></paragraph><paragraph id="HFF8C125DADDB476DA52515C170581436"><enum>(3)</enum><text>conflicts of interest relating to the production and distribution of investment research;</text> </paragraph><paragraph id="H94A5A84CB8D44FC89414E7BB2671AB34"><enum>(4)</enum><text>the costs of such research;</text>
 </paragraph><paragraph id="HF3215DB7FB204FE0863B701480F411ED"><enum>(5)</enum><text>the impacts of different payment mechanisms for investment research into small issuers, including whether such research is paid for by—</text>
 <subparagraph id="HBD7B15C9BD1A4D8AA3CE4D25C20A1090"><enum>(A)</enum><text>hard-dollar payments from research clients;</text> </subparagraph><subparagraph id="H09CEE2E4ADD64570BE77C51FB4D530BD"><enum>(B)</enum><text>payments directed from the client’s commission income (i.e., <quote>soft dollars</quote>); or</text>
 </subparagraph><subparagraph id="H5A2B1199C916427FB88EE4401F8F3110"><enum>(C)</enum><text>payments from the issuer that is the subject of such research;</text> </subparagraph></paragraph><paragraph id="H00A0416911724F609FCB8E5C03BC19CE"><enum>(6)</enum><text>any unique challenges faced by minority-owned, women-owned, and veteran-owned small issuers in obtaining research coverage; and</text>
 </paragraph><paragraph id="HB37C8AD8CBE341B7A7456DFFD3B467B2"><enum>(7)</enum><text>the impact on the availability of research coverage for small issuers due to—</text> <subparagraph id="H0A0835BC2F744A029FEB301BE6D98B35"><enum>(A)</enum><text>investment adviser concentration and consolidation, including any potential impacts of fund-size on demand for investment research of small issuers;</text>
 </subparagraph><subparagraph id="H615ACA63EA7E4452A25F6BDC2823DEB0"><enum>(B)</enum><text>broker and dealer concentration and consolidation, including any relationships between the size of the firm and allocation of resources for investment research into small issuers;</text>
 </subparagraph><subparagraph id="H8F01E2D523E7420AB6CC46E28489813A"><enum>(C)</enum><text>Securities and Exchange Commission rules;</text> </subparagraph><subparagraph id="H955A245ABB784068BAC4417423AC5A31"><enum>(D)</enum><text>registered national securities association rules;</text>
 </subparagraph><subparagraph id="HCC5ECD17AF524AB79E32E7C651D5F0B7"><enum>(E)</enum><text>State and Federal liability concerns;</text> </subparagraph><subparagraph id="HAC3DCCD6815441179C0D3E34F899FC9C"><enum>(F)</enum><text>the settlement agreements referenced in Securities and Exchange Commission Litigation Release No. 18438 (i.e., the <quote>Global Research Analyst Settlement</quote>); and</text>
 </subparagraph><subparagraph id="H9B0B6E29801F419AB01D2DC7D6C83E78"><enum>(G)</enum><text>Directive 2014/65/EU of the European Parliament and of the Council of 15 May 2014 on markets in financial instruments and amending Directive 2002/92/EC and Directive 2011/61/EU, as implemented by the European Union (<quote>EU</quote>) member states (<quote>MiFID II</quote>).</text>
 </subparagraph></paragraph></subsection><subsection id="H6911EDA2416542DFBC14A22E1EEDEAA8"><enum>(c)</enum><header>Report required</header><text>Not later than 180 days after the date of the enactment of this Act, the Securities and Exchange Commission shall submit to Congress a report that includes—</text>
 <paragraph id="H0C8DD8342CBF4549BDF0BC083A32A40A"><enum>(1)</enum><text>the results of the study required by subsection (a); and</text> </paragraph><paragraph id="HBAADB6F89C274A028BD17713FBFD12EA"><enum>(2)</enum><text display-inline="yes-display-inline">recommendations to increase the demand for, volume of, and quality of investment research into small issuers, including emerging growth companies and companies considering initial public offerings.</text>
