<official-title display="yes">To expand opportunities available to employee-owned business concerns through Small Business Administration loan programs, and for other purposes.</official-title>

<section id="HA163467DFEA9475EB97041DFC13B35AC" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Main Street Employee Ownership Act of 2018</short-title></quote>.</text> </section> <section id="HF56B0BE50DE84DD4853E4AAD0D464DA3"><enum>2.</enum><header>Definitions</header><text display-inline="no-display-inline">In this Act—</text> 
<paragraph id="HFBDD798CF9CA46C7B2DE2B7A24888842"><enum>(1)</enum><text>the terms <term>Administration</term> and <term>Administrator</term> means the Small Business Administration and the Administrator thereof, respectively;</text> </paragraph> <paragraph commented="no" id="H3DB052C7833045C8809E424A9311FF2D"><enum>(2)</enum><text>the term <term>cooperative</term> means an entity that is determined to be a cooperative by the Administrator, in accordance with applicable Federal and State laws and regulations;</text> </paragraph> 
<paragraph id="H1A4518EF2A7A4A5C967B3DD09E23EBC3"><enum>(3)</enum><text>the term <term>employee-owned business concern</term> means—</text> <subparagraph commented="no" display-inline="no-display-inline" id="H07AB1E24A1974C48934E877630FB4A36"><enum>(A)</enum><text>a cooperative in which employees are eligible for membership; and</text> </subparagraph> 
<subparagraph commented="no" display-inline="no-display-inline" id="HC0A755C907844886AE71D75DFB981E92"><enum>(B)</enum><text>a qualified employee trust;</text> </subparagraph></paragraph> <paragraph id="H2A9787E0B9E04A4D9A3C10BF62912CED"><enum>(4)</enum><text>the terms <term>qualified employee trust</term> and <term>small business concern</term> have the meanings given those terms in section 3 of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/632">15 U.S.C. 632</external-xref>); and</text> </paragraph> 
<paragraph id="H08A68478FB1E402CB5ED22A589D4DE45"><enum>(5)</enum><text>the term <term>small business development center</term> means a small business development center described in section 21 of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/648">15 U.S.C. 648</external-xref>).</text> </paragraph></section> <section id="H81A025025F57487CB70C65F70BFBACC9"><enum>3.</enum><header>Expansion of 7(a) loans</header> <subsection id="H8AD691ACD0034016A796E3FE5657B6F4"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">Section 7(a) of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/636">15 U.S.C. 636(a)</external-xref>) is amended—</text> 
<paragraph id="HDC5A1267B7E94048B67B01B6487DE06B"><enum>(1)</enum><text>in paragraph (15)—</text> <subparagraph id="HBC8B21AB86B1457EB18817795A365C82"><enum>(A)</enum><text>in subparagraph (A)—</text> 
<clause id="HE7B9EBEB499B4702AA567E7B1AFBE7ED"><enum>(i)</enum><text>by striking <quote>this subsection to qualified employee trusts</quote> and inserting</text> <quoted-block display-inline="yes-display-inline" id="H0645C5E7598E4EE5B58761BCEC6F3753" style="OLC"> <text>this subsection—</text> 
<clause id="H5A13E3D4B1FF485CA031C780FEB77654" indent="up1"><enum>(i)</enum><text>to qualified employee trusts</text></clause><after-quoted-block>;</after-quoted-block></quoted-block> </clause> <clause id="H248BD69254DE441380BCEE1CC5635641"><enum>(ii)</enum><text>in clause (i), as so designated—</text> 
<subclause id="H4D64F4B64C5B492FB19DCB3D5EE416E6"><enum>(I)</enum><text>by inserting <quote>, and for any transaction costs associated with purchasing,</quote> after <quote>purchasing</quote>;</text> </subclause> <subclause id="H88E32A4488E240CDBA54059C456A72A5"><enum>(II)</enum><text>by striking the period at the end and inserting <quote>; and</quote>; and</text> </subclause></clause> 
<clause id="HB3270561E5F34FA695E33E4617A9753C"><enum>(iii)</enum><text>by adding at the end the following:</text> <quoted-block display-inline="no-display-inline" id="HE201CA9491484BAE83553798BA14161E" style="OLC"> <clause id="H4459E3C47F6241BC8CBA7AB21BC6EC1B" indent="up1"><enum>(ii)</enum><text>to a small business concern under a plan approved by the Administrator, if the proceeds from the loan are only used to make a loan to a qualified employee trust, and for any transaction costs associated with making that loan, that results in the qualified employee trust owning at least 51 percent of the small business concern.</text></clause><after-quoted-block>;</after-quoted-block></quoted-block> </clause></subparagraph> 
<subparagraph id="H753E711F39444B2B86E49C2605242BB1"><enum>(B)</enum><text>in subparagraph (B)—</text> <clause id="HC3A71E3CD3C642379B6DBDA843785D8C"><enum>(i)</enum><text>in the matter preceding clause (i), by inserting <quote>or by the small business concern</quote> after <quote>the trustee of such trust</quote>;</text> </clause> 
<clause commented="no" id="H6C54535408C04AE49843641373F59073"><enum>(ii)</enum><text>in clause (ii), by striking <quote>and</quote> at the end;</text> </clause> <clause commented="no" id="HB033901453F746A6BD36A708586B1CD3"><enum>(iii)</enum><text>in clause (iii), by striking the period at the end and inserting <quote>, and</quote>; and</text> </clause> 
<clause commented="no" id="HE99B50F2BF174E7AB178F67E4AD3CB98"><enum>(iv)</enum><text>by adding at the end the following:</text> <quoted-block display-inline="no-display-inline" id="HA87DC7CA6A2C418DB9EDAEF4D5D7F1ED" style="OLC"> <clause id="H90F7650C4D91443697BABE0155237067" indent="up1"><enum>(iv)</enum><text>with respect to a loan made to a trust, or to a cooperative in accordance with paragraph (35)—</text> 
<subclause id="H38AF514C70DD4098A37C63C85EFEFBB1"><enum>(I)</enum><text>a seller of the small business concern may remain involved as an officer, director, or key employee of the small business concern when a qualified employee trust or cooperative has acquired 100 percent of ownership of the small business concern; and</text> </subclause> <subclause id="H89AE8C777EEB42DA891E8B6CC5517B30"><enum>(II)</enum><text>any seller of the small business concern who remains as an owner of the small business concern, regardless of the percentage of ownership interest, shall be required to provide a personal guarantee by the Administration.</text></subclause></clause><after-quoted-block>; and</after-quoted-block></quoted-block> </clause></subparagraph> 
<subparagraph id="HE0B59CB1F58A47A69C212064B395EC94"><enum>(C)</enum><text>by adding at the end the following:</text> <quoted-block display-inline="no-display-inline" id="H5CFE170B6EB0403EA74A71C0C3682A8B" style="OLC"> <subparagraph id="HFE692463E8644CF9A26C621B16BB6336" indent="up1"><enum>(F)</enum><text>A small business concern that makes a loan to a qualified employee trust under subparagraph (A)(ii) is not required to contain the same terms and conditions as the loan made to the small business concern that is guaranteed by the Administration under such subparagraph.</text> </subparagraph> 
<subparagraph id="HDAB14370C72947C7BF2544919059CBB6" indent="up1"><enum>(G)</enum><text>With respect to a loan made to a qualified employee trust under this paragraph, or to a cooperative in accordance with paragraph (35), the Administrator may, as deemed appropriate, elect to not require any mandatory equity to be provided by the qualified employee trust or cooperative to make the loan.</text></subparagraph><after-quoted-block>; and</after-quoted-block></quoted-block> </subparagraph></paragraph> <paragraph id="HFA24D2AC367F4AFBB67AC7A6334E82DF"><enum>(2)</enum><text>by adding at the end the following:</text>

<paragraph id="H92E8547A6E2843FEA0F5C0AB2D4DB820"><enum>(35)</enum><header>Loans to cooperatives</header> 
<subparagraph commented="no" id="H7289031029A647BD81AD921242D9CA8B"><enum>(A)</enum><header>Definition</header><text>In this paragraph, the term <term>cooperative</term> means an entity that is determined to be a cooperative by the Administrator, in accordance with applicable Federal and State laws and regulation.</text> </subparagraph> <subparagraph commented="no" display-inline="no-display-inline" id="H7576D8E969E9470385A26C5D29BA3870"><enum>(B)</enum><header>Authority</header><text>The Administration shall guarantee loans made to a cooperative for the purpose described in paragraph (15).</text></subparagraph></paragraph><after-quoted-block>.</after-quoted-block></quoted-block> </paragraph></subsection> 
<subsection id="HF4955BC81F374C6C8B2DA0281F5372F8"><enum>(b)</enum><header>Delegation of authority to preferred lenders</header><text>Section 5(b)(7) of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/634">15 U.S.C. 634(b)(7)</external-xref>) is amended by inserting <quote>, including loans guaranteed under paragraph (15) or (35) of section 7(a)</quote> after <quote>deferred participation loans</quote>.</text> </subsection></section> <section display-inline="no-display-inline" id="H12D83B0A9F9A465BBCF5BD3BCC8D0E53" section-type="subsequent-section"><enum>4.</enum><header>Small business investment company program outreach</header><text display-inline="no-display-inline">The Administrator shall provide outreach and educational materials to companies licensed under section 301(c) of the Small Business Investment Act of 1958 (<external-xref legal-doc="usc" parsable-cite="usc/15/681">15 U.S.C. 681(c)</external-xref>) to increase the use of funds to make investments in company transitions to employee-owned business concerns.</text> </section> 
<section id="H2F358EECED3E437A974FD3F023DAB1C6"><enum>5.</enum><header>Small business microloan program outreach</header><text display-inline="no-display-inline">The Administrator shall provide outreach and educational materials to intermediaries under section 7(m) of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/636">15 U.S.C. 636(m)</external-xref>) to increase the use of funds to make loans to employee-owned business concerns, including transitions to employee-owned business concerns.</text> </section> <section id="H5439B1EAAC9A4216B641952D87C3F9DD"><enum>6.</enum><header>Small business development center outreach and assistance</header> <subsection id="H2AA8C88953E14A569764B029760D69C7"><enum>(a)</enum><header>Establishment</header><text>The Administrator shall establish a Small Business Employee Ownership and Cooperatives Promotion Program to offer technical assistance and training on the transition to employee ownership through cooperatives and qualified employee trusts.</text> </subsection> 
<subsection id="H2FB1610724C842BDA4396E4591782DD2"><enum>(b)</enum><header>Small business development centers</header> 
<paragraph id="HB382F7ADECD141F68D5B31DC67D34B47"><enum>(1)</enum><header>In general</header><text>In carrying out the program established under subsection (a), the Administrator shall enter into agreements with small business development centers under which the centers shall—</text> <subparagraph id="H64C03EB9E1F44EAD85F9D5AB11810E1D"><enum>(A)</enum><text>provide access to information and resources on employee ownership through cooperatives or qualified employee trusts as a business succession strategy;</text> </subparagraph> 
<subparagraph id="HAD2C2523B15E40CE89C48BAF65704EE9"><enum>(B)</enum><text>conduct training and educational activities; and</text> </subparagraph> <subparagraph id="H096A496CDE594C67948DF9DF1FF86A8C"><enum>(C)</enum><text>carry out the activities described in subparagraph (U) of section 21(c)(3) of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/648">15 U.S.C. 648(c)(3)</external-xref>).</text> </subparagraph></paragraph> 
<paragraph id="H3B090404E57C4456886C0262174C6359"><enum>(2)</enum><header>Additional services</header><text>Section 21(c)(3) of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/648">15 U.S.C. 648(c)(3)</external-xref>) is amended—</text> <subparagraph id="H13FAB673962C475C846C86D9663BDAAC"><enum>(A)</enum><text>in subparagraph (S), by striking <quote>and</quote> at the end;</text> </subparagraph> 
<subparagraph id="H4C86B2A2C6284E0494E9F17313A9683C"><enum>(B)</enum><text>in subparagraph (T), by striking the period at the end and inserting <quote>; and</quote>; and</text> </subparagraph> <subparagraph id="HB46CC8355A2B47639C47E4A5A3226B48"><enum>(C)</enum><text>by adding at the end the following:</text> 
<quoted-block display-inline="no-display-inline" id="HBB93605452774E5C9AAF9C9D8B101BE8" style="OLC"> 
<subparagraph id="HFFBAB5E632F8498DAE659CF50B42C21C" indent="up1"><enum>(U)</enum><text>encouraging and assisting the provision of succession planning to small business concerns with a focus on transitioning to cooperatives, as defined in section 7(a)(35), and qualified employee trusts (collectively referred to in this subparagraph as <term>employee-owned business concerns</term>), including by—</text> <clause id="HD9C0932D187A47888A60B845B9EF47AB"><enum>(i)</enum><text>providing training to individuals to promote the successful management, governance, or operation of a business purchased by those individuals in the formation of an employee-owned business concern;</text> </clause> 
<clause id="HBC78EF94D7894D31B2B9F75A2803DFDC"><enum>(ii)</enum><text>assisting employee-owned business concerns that meet applicable size standards established under section 3(a) with education and technical assistance with respect to financing and contracting programs administered by the Administration;</text> </clause> <clause id="HE60D97908BC4417388C0848A986DFD3C"><enum>(iii)</enum><text>coordinating with lenders on conducting outreach on financing through programs administered by the Administration that may be used to support the transition of ownership to employees;</text> </clause> 
<clause id="H87B3AC7FB24D49D98DC365DC7D32B9A2"><enum>(iv)</enum><text>supporting small business concerns in exploring or assessing the possibility of transitioning to an employee-owned business concern; and</text> </clause> <clause id="H2147C1BE0E3645D3A0A6CDF006B89A9B"><enum>(v)</enum><text>coordinating with the cooperative development centers of the Department of Agriculture, the land grant extension network, the Manufacturing Extension Partnership, community development financial institutions, employee ownership associations and service providers, and local, regional and national cooperative associations.</text></clause></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block> </subparagraph></paragraph></subsection></section> 
<section commented="no" display-inline="no-display-inline" id="H320DCD45D563470F8D299239275B083B"><enum>7.</enum><header>Interagency working group</header> 
<subsection id="H4AF6684611314085A10D02B4516DF4E6"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">Not later than 90 days after the date of enactment of this Act, the Administrator (or a designee of the Administrator) shall coordinate and chair an interagency working group, which shall—</text> <paragraph commented="no" display-inline="no-display-inline" id="H1C5EC1F59F8246DFA83C27EBAF2E57F5"><enum>(1)</enum><text display-inline="yes-display-inline">develop recommendations on how Federal programs can promote, support, and increase the number of employee-owned business concerns;</text> </paragraph> 
<paragraph commented="no" display-inline="no-display-inline" id="H8D13AB7957984F1D94A6D889E51040BD"><enum>(2)</enum><text display-inline="yes-display-inline">ensure coordination with Federal agencies and national and local employee ownership, cooperative, and small business organizations; and</text> </paragraph> <paragraph id="H48C71DD54D494860A1E5AA695D8FDB57"><enum>(3)</enum><text display-inline="yes-display-inline">publish a report on the activities of the interagency working group that is indexed and maintained for public review.</text> </paragraph></subsection> 
<subsection id="H8D3C71DD77904C96BC7EC97657ABB6DE"><enum>(b)</enum><header>Meetings</header><text display-inline="yes-display-inline">The interagency working group shall meet at such times as determined necessary by the, but not less than biannually. Such meetings may occur in person or via electronic resources.</text> </subsection></section> <section id="H84A11DFD6B7343C4845A445A780FD9E3"><enum>8.</enum><header>Amendment to report to Congress on status of employee-owned firms</header><text display-inline="no-display-inline">Section 7(a)(15)(E) of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/636">15 U.S.C. 636(a)(15)(E)</external-xref>) is amended by striking <quote>Administration.</quote> and inserting</text> 
<quoted-block display-inline="yes-display-inline" id="HEAC59E8C15B7462FB571E23E2F1B3702" style="OLC"> <text>Administration, which shall include—</text> <clause id="H11E0BF735B6B4E6482058057641AB17F"><enum>(i)</enum><text display-inline="yes-display-inline">the total number of loans made to employee-owned business concerns that were guaranteed by the Administrator under section 7(a) of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/636">15 U.S.C. 636(a)</external-xref>) or section 502 of the Small Business Investment Act of 1958 (<external-xref legal-doc="usc" parsable-cite="usc/15/696">15 U.S.C. 696</external-xref>), including the number of loans made—</text> 
<subclause id="H73898B2828F64173B4763089523AD781"><enum>(I)</enum><text>to small business concerns owned and controlled by socially and economically disadvantaged individuals; and</text> </subclause> <subclause id="H11D76F2B15DB44F1958605FB6ED839AC"><enum>(II)</enum><text>to cooperatives in which employees are eligible for membership;</text> </subclause></clause> 
<clause id="H42BCCDC6A23D4B1A8AD9673A6447B5BB"><enum>(ii)</enum><text>the total number of financings made to employee-owned business concerns by companies licensed under section 301(c) of the Small Business Investment Act of 1958 (<external-xref legal-doc="usc" parsable-cite="usc/15/696">15 U.S.C. 696(c)</external-xref>), including the number of financings made—</text> <subclause id="HA9038BC36FF6441A9F007FF2F89BA25F"><enum>(I)</enum><text>to small business concerns owned and controlled by socially and economically disadvantaged individuals; and</text> </subclause> 
<subclause commented="no" display-inline="no-display-inline" id="H9C268677CB6B42B78CC30D81B35C98FD"><enum>(II)</enum><text>to cooperatives in which employees are eligible for membership; and</text> </subclause></clause> <clause commented="no" display-inline="no-display-inline" id="H8E4D3BC70A554C50A7D33C7AC45D29DB"><enum>(iii)</enum><text>any outreach and educational activities conducted by the Administration with respect to employee-owned business concerns.</text></clause><after-quoted-block>.</after-quoted-block></quoted-block> </section> 
<section id="H8C601FF3F9FD4D20BB46525B5131B028"><enum>9.</enum><header>Report on cooperative lending</header> 
<subsection id="H7E353F4459EF4EF6A2D86CCDDC58BBFA"><enum>(a)</enum><header>Sense of Congress</header><text display-inline="yes-display-inline">It is the sense of Congress that cooperatives have a unique business structure and are unable to access the lending programs of the Administration effectively due to loan guarantee requirements that are incompatible with the business structure of cooperatives.</text> </subsection> <subsection id="H91EF0BBD2FE04814BD5C97325DD38F51"><enum>(b)</enum><header>Study and report</header> <paragraph id="HBF117EDA8C344F52AA3B6B46AC0914FA"><enum>(1)</enum><header>Study</header><text display-inline="yes-display-inline">The Administrator, in coordination with lenders, stakeholders, and Federal agencies, shall study and recommend practical alternatives for cooperatives that will satisfy the loan guarantee requirements of the Administration.</text> </paragraph> 
<paragraph id="H5AD293F5CBEB4DE6B271F3D4A6E914DF"><enum>(2)</enum><header>Report</header><text>Not later than 120 days after the date of enactment of this Act, the Administrator shall submit to Congress the recommendations developed under paragraph (1) and a plan to implement such recommendations.</text> </paragraph></subsection></section> <section commented="no" id="HBB81F080861F45F8BAAC0E106E6CED2B"><enum>10.</enum><header>Amendment to definition of qualified employee trust</header><text display-inline="no-display-inline">Section 3(c)(2)(A)(ii) of the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/632">15 U.S.C. 632(c)(2)(A)(ii)</external-xref>) is amended to read as follows:</text> 
<quoted-block display-inline="no-display-inline" id="HEA842EA649154C4EA8AE520BB39B97C8" style="OLC"> 
<clause commented="no" id="H4508B418547E441B824C102072984057" indent="up1"><enum>(ii)</enum><text display-inline="yes-display-inline">which provides that each participant is entitled to direct the plan trustee as to the manner of how to vote the qualified employer securities (as defined in <external-xref legal-doc="usc" parsable-cite="usc/26/4975">section 4975(e)(8)</external-xref> of the Internal Revenue Code of 1986), which are allocated to the account of such participant with respect to a corporate matter which (by law or charter) must be decided by a vote conducted in accordance with <external-xref legal-doc="usc" parsable-cite="usc/26/409">section 409(e)</external-xref> of the Internal Revenue Code of 1986; and</text></clause><after-quoted-block>.</after-quoted-block></quoted-block> </section> </legis-body> <attestation><attestation-group><attestation-date date="20180508" chamber="House">Passed the House of Representatives May 8, 2018.</attestation-date><attestor display="no">Karen L.
