<section id="H65C8F6648FB64ADB8797576C21F72F98"><enum>2.</enum><header>Definitions</header><text display-inline="no-display-inline">In this Act:</text> <paragraph id="HEB637A1AAC4C419DAF222C050E8E214D"><enum>(1)</enum><header>Appropriate congressional committees</header><text>The term <term>appropriate congressional committees</term> means—</text> 
<subparagraph id="HD9124D8666DF4D428310092CDFD91BB8"><enum>(A)</enum><text>the Committee on Foreign Relations and the Committee on Appropriations of the Senate; and</text></subparagraph> <subparagraph commented="no" display-inline="no-display-inline" id="H533C6C1C791349BD9513C602013691C6"><enum>(B)</enum><text>the Committee on Foreign Affairs and the Committee on Appropriations of the House of Representatives.</text></subparagraph></paragraph> 
<paragraph id="H18638F70DCDD433A8CDCECF35F46B9DC" commented="no"><enum>(2)</enum><header>Less developed country</header><text>The term <term>less developed country</term> means a country with a low-income economy, lower-middle-income economy, or upper-middle-income economy, as defined by the International Bank for Reconstruction and Development and the International Development Association (collectively referred to as the <quote>World Bank</quote>). </text></paragraph> <paragraph commented="no" display-inline="no-display-inline" id="H6485DAB5A27D48D9A0E601C5ED3EF8ED"><enum>(3)</enum><header>Predecessor authority</header><text>The term <term>predecessor authority</term> means authorities repealed by title VI.</text></paragraph> 
<paragraph commented="no" id="H0BEAF520BE1C43A2AF6202C6B7058068"><enum>(4)</enum><header>Qualifying sovereign entity</header><text>The term <term>qualifying sovereign entity</term> means—</text> <subparagraph commented="no" id="H4A95713BE4BB48E1B198355F70E528A4"><enum>(A)</enum><text>any agency or instrumentality of a foreign state (as defined in section 1603 of title 28, United States Code) that has a purpose that is similar to the purpose of the Corporation as described in section 102(b); or</text></subparagraph> 
<subparagraph commented="no" id="H9A9F772A91A14E649320E34A91110837"><enum>(B)</enum><text>any international financial institution (as defined in section 1701(c) of the International Financial Institutions Act (<external-xref legal-doc="usc" parsable-cite="usc/22/262r">22 U.S.C. 262r(c)</external-xref>)).</text></subparagraph></paragraph></section> <title id="H868E96760B924825A53E8A75C1F39B41"><enum>I</enum><header>Establishment</header> <section id="H3AB4B19F6A8A41C09CA23BA436D8981A"><enum>101.</enum><header>Statement of policy</header><text display-inline="no-display-inline">It is the policy of the United States to facilitate market-based private sector development and economic growth in less developed countries through the provision of credit, capital, and other financial support—</text> 
<paragraph id="HE0DFBBDA216F45808F6A91A0E4A7BC35"><enum>(1)</enum><text display-inline="yes-display-inline">to mobilize private capital in support of sustainable, broad-based economic growth, poverty reduction, and development through demand-driven partnerships with the private sector that further the foreign policy interests of the United States;</text></paragraph> <paragraph id="HA62EBF43C5A44875A724026630D7CDE8"><enum>(2)</enum><text>to finance development that builds and strengthens civic institutions, promotes competition, and provides for public accountability and transparency;</text></paragraph> 
<paragraph id="HA039D5E94D9E4F238BF1956302912B21"><enum>(3)</enum><text>to help private sector actors overcome identifiable market gaps and inefficiencies without distorting markets;</text></paragraph> <paragraph id="H6A1430E4FDFC4462B4A4F2A0541C7613"><enum>(4)</enum><text>to achieve clearly defined economic and social development outcomes;</text></paragraph> 
<paragraph id="H6F4F9DFBDE86482882735149970A1615"><enum>(5)</enum><text>to coordinate with institutions with purposes similar to the purposes of the Corporation to leverage resources of those institutions to produce the greatest impact;</text></paragraph> <paragraph id="H41058958FB42480F8C2E2476D188FE12" commented="no"><enum>(6)</enum><text display-inline="yes-display-inline">to provide countries a robust alternative to state-directed investments by authoritarian governments and United States strategic competitors using high standards of transparency and environmental and social safeguards, and which take into account the debt sustainability of partner countries;</text></paragraph> 
<paragraph id="H1D0AF53464EF4BF68343DBF2176B79EF"><enum>(7)</enum><text display-inline="yes-display-inline">to leverage private sector capabilities and innovative development tools to help countries transition from recipients of bilateral development assistance toward increased self-reliance; and</text></paragraph> <paragraph id="H08B824D1FF0246A0AC354E76F1A0874D"><enum>(8)</enum><text>to complement and be guided by overall United States foreign policy, development, and national security objectives, taking into account the priorities and needs of countries receiving support.</text></paragraph></section> 
<section id="H07A36AE8F4034E04930A7D136C5B4620"><enum>102.</enum><header>United States International Development Finance Corporation</header> 
<subsection id="HCC758E114F994448BC0F301B1E5A2DCA"><enum>(a)</enum><header>Establishment</header><text>There is established in the Executive branch the United States International Development Finance Corporation (in this Act referred to as the <quote>Corporation</quote>), which shall be a wholly owned Government corporation for purposes of <external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/31/91">chapter 91</external-xref> of title 31, United States Code, under the foreign policy guidance of the Secretary of State.</text></subsection> <subsection id="H5C27C19AC1BC4F22AB3E509AC3DEFB5F"><enum>(b)</enum><header>Purpose</header><text>The purpose of the Corporation shall be to mobilize and facilitate the participation of private sector capital and skills in the economic development of less developed countries, as described in subsection (c), and countries in transition from nonmarket to market economies, in order to complement the development assistance objectives, and advance the foreign policy interests, of the United States. In carrying out its purpose, the Corporation, utilizing broad criteria, shall take into account in its financing operations the economic and financial soundness and development objectives of projects for which it provides support under title II.</text></subsection> 
<subsection id="H3B1B6A1AE9D44EF0A7863BAFEBBCB07E" commented="no"><enum>(c)</enum><header>Less developed country focus</header> 
<paragraph id="H87268765753C4E22B1DEE7A2FB2851C6" commented="no"><enum>(1)</enum><header>In general</header><text>The Corporation shall prioritize the provision of support under title II in less developed countries with a low-income economy or a lower-middle-income economy. </text></paragraph> <paragraph id="H2D3566B535B040808D265BF43900019D" commented="no"><enum>(2)</enum><header>Support in upper-middle-income countries</header><text>The Corporation shall restrict the provision of support under title II in a less developed country with an upper-middle-income economy unless—</text> 
<subparagraph id="H517F317262DF4D7792EE1AB1F1B43A78" commented="no"><enum>(A)</enum><text display-inline="yes-display-inline">the President certifies to the appropriate congressional committees that such support furthers the national economic or foreign policy interests of the United States; and</text></subparagraph> <subparagraph id="H19D406BC75674B689107656AAC1FBCA1" commented="no"><enum>(B)</enum><text>such support is likely to be highly developmental or provide developmental benefits to the poorest population of that country.</text></subparagraph></paragraph></subsection></section> 
<section id="H6D6794CCC84D48D298F8D300A889C78B"><enum>103.</enum><header>Management of Corporation</header> 
<subsection id="H5F8FA773777E4CC8BBE8E688FF118D7A" commented="no"><enum>(a)</enum><header>Structure of corporation</header><text>There shall be in the Corporation a Board of Directors (in this Act referred to as the <quote>Board</quote>), a Chief Executive Officer, a Deputy Chief Executive Officer, a Chief Risk Officer, a Chief Development Officer, and such other officers as the Board may determine. </text></subsection> <subsection id="H92DEA31A0D4247858ADB52113500BCDD"><enum>(b)</enum><header>Board of Directors</header> <paragraph id="H13964D0F8D7240029EE13801CBFE52B1"><enum>(1)</enum><header>Duties</header><text>All powers of the Corporation shall vest in and be exercised by or under the authority of the Board. The Board—</text> 
<subparagraph id="H7DDF268FF26B4D13A61D621A4ACD48C3"><enum>(A)</enum><text>shall perform the functions specified to be carried out by the Board in this Act;</text></subparagraph> <subparagraph id="H4D412BCD3197489DB8CFA6636D360F08"><enum>(B)</enum><text>may prescribe, amend, and repeal bylaws, rules, regulations, policies, and procedures governing the manner in which the business of the Corporation may be conducted and in which the powers granted to the Corporation by law may be exercised; and</text></subparagraph> 
<subparagraph id="HF8F329C4322B4ECD9326F44A68A50152" commented="no"><enum>(C)</enum><text display-inline="yes-display-inline">shall develop, in consultation with stakeholders and other interested parties, a publicly-available policy with respect to consultations, hearings, and other forms of engagement in order to provide for meaningful public participation in the Board’s activities. </text></subparagraph></paragraph> <paragraph id="H92A58603DEAC4514BE3E27E1CC57476F"><enum>(2)</enum><header>Membership of Board</header> <subparagraph id="H9B9D6D4B4D3C4256961E14743A6E3212"><enum>(A)</enum><header>In general</header><text>The Board shall consist of—</text> 
<clause commented="no" display-inline="no-display-inline" id="H23E015F2D6144EDF8A3DBD8ADE420905"><enum>(i)</enum><text display-inline="yes-display-inline">the Chief Executive Officer of the Corporation;</text></clause> <clause id="HACCFB7F2365B451E933BEF69A33F39CD"><enum>(ii)</enum><text>the officers specified in subparagraph (B); and</text></clause> 
<clause id="HF79655D59F9749F7A16585AF3FBDB35F"><enum>(iii)</enum><text>four other individuals who shall be appointed by the President, by and with the advice and consent of the Senate, of which—</text> <subclause id="HC1B897A5ECC64BAA9E985469271D42C3"><enum>(I)</enum><text>one individual should be appointed from among a list of at least five individuals submitted by the majority leader of the Senate after consultation with the chairman of the Committee on Foreign Relations of the Senate;</text></subclause> 
<subclause commented="no" display-inline="no-display-inline" id="H345C9C0B6E48405C8B30ABAAC7AE686E"><enum>(II)</enum><text>one individual should be appointed from among a list of at least five individuals submitted by the minority leader of the Senate after consultation with the ranking member of the Committee on Foreign Relations of the Senate;</text></subclause> <subclause id="HE40EA09F8A1843A89147D284EB05922B"><enum>(III)</enum><text>one individual should be appointed from among a list of at least five individuals submitted by the Speaker of the House of Representatives after consultation with the chairman of the Committee on Foreign Affairs of the House of Representatives; and</text></subclause> 
<subclause id="HD5B5E1C7A2D74905A3F3BF2A9540EFB0"><enum>(IV)</enum><text>one individual should be appointed from among a list of at least five individuals submitted by the minority leader of the House of Representatives after consultation with the ranking member of the Committee on Foreign Affairs of the House of Representatives.</text></subclause></clause></subparagraph> <subparagraph id="HEB0A5ED0A9D243E1A938B9B77E7214C0"><enum>(B)</enum><header>Officers specified</header> <clause id="H4A30E9B04334428EA8C76204F06E6A99"><enum>(i)</enum><header>In general</header><text>The officers specified in this subparagraph are the following:</text> 
<subclause id="H7A5802E21B5443D2A116E8AC82DBEF2B"><enum>(I)</enum><text>The Secretary of State or a designee of the Secretary.</text></subclause> <subclause id="H69FAE0E356754AF9A256D55286DE4B22"><enum>(II)</enum><text>The Administrator of the United States Agency for International Development or a designee of the Administrator.</text></subclause> 
<subclause id="HDEF31CA9AF44436EA665190093C98BBE"><enum>(III)</enum><text>The Secretary of the Treasury or a designee of the Secretary.</text></subclause> <subclause id="H2BD26018A9D24FAC9D9B691F765FD336"><enum>(IV)</enum><text>The Secretary of Commerce or a designee of the Secretary.</text></subclause></clause> 
<clause id="HE292B71060D34358A33082FD5D051D2F"><enum>(ii)</enum><header>Requirements for designees</header><text>A designee under clause (i) shall be selected from among officers—</text> <subclause id="H3E9E45B62337417AAB5A65C338C6B4AD"><enum>(I)</enum><text>appointed by the President, by and with the advice and consent of the Senate;</text></subclause> 
<subclause id="H2D1C9E0AE52740A2AC6ADE6B3D92FCED"><enum>(II)</enum><text>whose duties relate to the programs of the Corporation; and</text></subclause> <subclause commented="no" display-inline="no-display-inline" id="HFBD2C7C5DF1548F2B8E1F557BB61271F"><enum>(III)</enum><text>who is designated by and serving at the pleasure of the President.</text></subclause></clause></subparagraph> 
<subparagraph id="H60D38DF1FD594E3C8136A7A834500716" commented="no"><enum>(C)</enum><header>Requirements for nongovernment members</header><text>A member of the Board described in subparagraph (A)(iii)—</text> <clause id="HA3AA065A7CC846489F6EF58AFEB49976" commented="no"><enum>(i)</enum><text>may not be an officer or employee of the United States Government;</text></clause> 
<clause id="H4EAC72AC901F4984A5C341C1CE25D26F" commented="no"><enum>(ii)</enum><text display-inline="yes-display-inline">shall have relevant experience, which may include experience relating to the private sector, the environment, labor organizations, or international development, to carry out the purpose of the Corporation;</text></clause> <clause id="H9F0A84660DC048408E4F0B72150F648F" commented="no"><enum>(iii)</enum><text>shall be appointed for a term of 3 years and may be reappointed for one additional term;</text></clause> 
<clause id="H8E08639BEFFF45CA90B0D75E3DDBAC5B" commented="no"><enum>(iv)</enum><text>shall serve until the member’s successor is appointed and confirmed;</text></clause> <clause id="HE132AEDB0E304F7F96368855EF57CF37" commented="no"><enum>(v)</enum><text>shall be compensated at a rate equivalent to that of level IV of the Executive Schedule under section 5315 of title 5, United States Code, when engaged in the business of the Corporation; and</text></clause> 
<clause id="H567A124F82A54725B1075841830C6626" commented="no"><enum>(vi)</enum><text>may be paid per diem in lieu of subsistence at the applicable rate under the Federal Travel Regulation under subtitle F of title 41, Code of Federal Regulations, from time to time, while away from the home or usual place of business of the member.</text></clause></subparagraph></paragraph> <paragraph id="H0BA25A9829594D6A9C21CB86DEAFCA24"><enum>(3)</enum><header>Chairperson</header><text>There shall be a Chairperson of the Board designated by the President from among the individuals described in paragraph (2)(A).</text></paragraph> 
<paragraph id="H4EE49AEF099B4696AFCAD514DC77D46E"><enum>(4)</enum><header>Vice chairperson</header><text>The Administrator of the United States Agency for International Development, or the designee of the Administrator under paragraph (2)(B)(i)(II), shall serve as the Vice Chairperson of the Board.</text></paragraph> <paragraph id="H2BEDFF80C85547828E8087EAAC12E406"><enum>(5)</enum><header>Quorum</header><text>Five members of the Board shall constitute a quorum for the transaction of business by the Board.</text></paragraph></subsection> 
<subsection id="H70D2E40330454DEDB90DC22AE5617532"><enum>(c)</enum><header>Public hearings</header> 
<paragraph id="HDDF50701BB214CB3AD80B9C447E09D0B"><enum>(1)</enum><header>Public hearings by the board</header><text>The Board shall hold at least one public hearing each year in order to afford an opportunity for any person to present views with respect to whether—</text> <subparagraph id="HEA165FD1A42949DE84A7AF91F6DD4F2F"><enum>(A)</enum><text>the Corporation is carrying out its activities in accordance with this Act; and</text></subparagraph> 
<subparagraph id="HFFA39AC6F0F24FDC94EA3AEC7C1CCE6E"><enum>(B)</enum><text>any support provided by the Corporation under title II in any country should be suspended, expanded, or extended.</text></subparagraph></paragraph> <paragraph id="H1AC58872550A451CB3D0BD6A29982DA5"><enum>(2)</enum><header>Additional public hearings</header><text>In conjunction with each meeting of the Board, the Corporation shall hold a public hearing in order to afford an opportunity for any person to present views regarding the activities of the Corporation. Such views shall be made part of the record.</text></paragraph></subsection> 
<subsection id="H5D55E47C33D04A7D936397C9D4F2E235"><enum>(d)</enum><header>Chief Executive Officer</header> 
<paragraph id="H03F6F1E6C11449209F6F256BAFCA0745"><enum>(1)</enum><header>Appointment</header><text>There shall be in the Corporation a Chief Executive Officer, who shall be appointed by the President, by and with the advice and consent of the Senate, and who shall serve at the pleasure of the President.</text></paragraph> <paragraph id="HB1F0DBA074AD4039B1EA501B21C92D79"><enum>(2)</enum><header>Authorities and duties</header><text>The Chief Executive Officer shall be responsible for the management of the Corporation and shall exercise the powers and discharge the duties of the Corporation subject to the bylaws, rules, regulations, and procedures established by the Board.</text></paragraph> 
<paragraph id="HCF4A595F409742C1A5044DF04AB5B9E9"><enum>(3)</enum><header>Relationship to board</header><text>The Chief Executive Officer shall report to and be under the direct authority of the Board.</text></paragraph> <paragraph id="H6822E94EC0D54AF98F1D560B3DA493A3"><enum>(4)</enum><header>Compensation</header><text>Section 5313 of title 5, United States Code, is amended by adding at the end the following:</text>

<subsection id="HD1213D628A964764B1AD15AF8839748D"><enum>(e)</enum><header>Deputy Chief Executive Officer</header><text display-inline="yes-display-inline">There shall be in the Corporation a Deputy Chief Executive Officer, who shall be appointed by the President, by and with the advice and consent of the Senate, and who shall serve at the pleasure of the President.</text></subsection> <subsection id="H84AE38ADEDBA417D99B3FA94F039D2D5" commented="no"><enum>(f)</enum><header>Chief Risk Officer</header> <paragraph id="HD6A0C4157C474521918FB6C8EB547292" commented="no"><enum>(1)</enum><header>Appointment</header><text>Subject to the approval of the Board, the Chief Executive Officer of the Corporation shall appoint a Chief Risk Officer, from among individuals with experience at a senior level in financial risk management, who—</text> 
<subparagraph id="H9E5660B7F9684968AA5845040341C561" commented="no"><enum>(A)</enum><text>shall report directly to the Board; and</text></subparagraph> <subparagraph id="HCE08E13A96964A04A7DB27BAC881573F" commented="no"><enum>(B)</enum><text>shall be removable only by a majority vote of the Board.</text></subparagraph></paragraph> 
<paragraph id="HB155A0D654DE4245AF42E5CDB84CB67D" commented="no"><enum>(2)</enum><header>Duties</header><text>The Chief Risk Officer shall, in coordination with the audit committee of the Board established under section 401, develop, implement, and manage a comprehensive process for identifying, assessing, monitoring, and limiting risks to the Corporation, including the overall portfolio diversification of the Corporation.</text></paragraph></subsection> <subsection id="H2F64541DDB3B4C90B7D1C97155B963F3" commented="no"><enum>(g)</enum><header>Chief Development Officer</header> <paragraph id="H6D94257DE2C64DCDB52DE6547D4685B3" commented="no"><enum>(1)</enum><header>Appointment</header><text>Subject to the approval of the Board, the Chief Executive Officer, in conjunction with the Administrator of the United States Agency for International Development, shall appoint a Chief Development Officer, from among individuals with experience in development, who—</text> 
<subparagraph id="H8A3AD457031A404E9F0A956494D9A3F0" commented="no"><enum>(A)</enum><text>shall report directly to the Board; and</text></subparagraph> <subparagraph id="HE5EE40E93D5E491484C454D2D0FE6EAA" commented="no"><enum>(B)</enum><text>shall be removable only by a majority vote of the Board.</text></subparagraph></paragraph> 
<paragraph id="HD034B29B0BBA4B199BCAAF40B1D5CE39" commented="no"><enum>(2)</enum><header>Duties</header><text>The Chief Development Officer shall—</text> <subparagraph id="HFB0E6DDD4E7249F6A89671459F7C8007" commented="no"><enum>(A)</enum><text>coordinate the Corporation’s development policies and implementation efforts with the United States Agency for International Development, the Millennium Challenge Corporation, and other relevant United States Government departments and agencies, including directly liaising with missions of the United States Agency for International Development, to ensure that departments, agencies, and missions have training, awareness, and access to the Corporation’s tools in relation to development policy and projects in countries;</text></subparagraph> 
<subparagraph id="HDC7657372CCA47FD81D5F59BFCBD2E2E" commented="no"><enum>(B)</enum><text>under the guidance of the Chief Executive Officer, manage employees of the Corporation that are dedicated to structuring, monitoring and evaluating transactions and projects co-designed with the United States Agency for International Development and other relevant United States Government departments and agencies; </text></subparagraph> <subparagraph id="H0421D5B57A0B49FCA8E79D6F44CBCBC5" commented="no"><enum>(C)</enum><text>authorize and coordinate transfers of funds or other resources to and from such agencies, departments, or missions upon the concurrence of those institutions in support of the Corporation’s projects or activities; and</text></subparagraph> 
<subparagraph id="H83F5AB7616534079A151266110D091F3" commented="no"><enum>(D)</enum><text>coordinate and implement the activities of the Corporation under section 405.</text></subparagraph></paragraph></subsection> <subsection commented="no" id="H76336BD2046C4DB990D9A3F3B36A1645"><enum>(h)</enum><header>Officers and employees</header> <paragraph commented="no" id="H4CDE081B466541E2BEE69E6671C80768"><enum>(1)</enum><header>In general</header><text>Except as otherwise provided in this section, officers, employees, and agents shall be selected and appointed by the Corporation, and shall be vested with such powers and duties as the Corporation may determine.</text></paragraph> 
<paragraph commented="no" id="H188F7B8C933B432A85A4837CAD19F184"><enum>(2)</enum><header>Administratively determined employees</header> 
<subparagraph commented="no" id="H6BFE904464444686BF2DE4ED0893726C"><enum>(A)</enum><header>Appointment; compensation; removal</header><text>Of officers and employees employed by the Corporation under paragraph (1), not more than 50 may be appointed, compensated, or removed without regard to title 5, United States Code.</text></subparagraph> <subparagraph commented="no" id="H61723BBCB89E4FDE94E65195654E513C"><enum>(B)</enum><header>Reinstatement</header><text>Under such regulations as the President may prescribe, officers and employees appointed to a position under subparagraph (A) may be entitled, upon removal from such position (unless the removal was for cause), to reinstatement to the position occupied at the time of appointment or to a position of comparable grade and salary.</text></subparagraph> 
<subparagraph commented="no" id="H17BD14935E2D401BA8ABFBB0B46B4AD7"><enum>(C)</enum><header>Additional positions</header><text>Positions authorized by subparagraph (A) shall be in addition to those otherwise authorized by law, including positions authorized under section 5108 of title 5, United States Code.</text></subparagraph> <subparagraph commented="no" id="H6E2B507856534FF79102521A51E7A296"><enum>(D)</enum><header>Rates of pay for officers and employees</header><text>The Corporation may set and adjust rates of basic pay for officers and employees appointed under subparagraph (A) without regard to the provisions of chapter 51 or subchapter III of <external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/5/53">chapter 53</external-xref> of title 5, United States Code, relating to classification of positions and General Schedule pay rates, respectively.</text></subparagraph></paragraph> 
<paragraph commented="no" id="H630C552D1D0648E99801BCBE63191C4A"><enum>(3)</enum><header>Liability of employees</header> 
<subparagraph commented="no" id="HBF2FFC5189B742978FC261B88D21C5D9"><enum>(A)</enum><header>In general</header><text>An individual who is a member of the Board or an officer or employee of the Corporation has no liability under this Act with respect to any claim arising out of or resulting from any act or omission by the individual within the scope of the employment of the individual in connection with any transaction by the Corporation.</text></subparagraph> <subparagraph commented="no" id="H71FC0AAAA25D43D4B1CB9BE7C8DB9FFF"><enum>(B)</enum><header>Rule of construction</header><text>Subparagraph (A) shall not be construed to limit personal liability of an individual for criminal acts or omissions, willful or malicious misconduct, acts or omissions for private gain, or any other acts or omissions outside the scope of the individual’s employment.</text></subparagraph> 
<subparagraph commented="no" id="HA953F9F70F9E4D99BB0FD57FFE8E9934"><enum>(C)</enum><header>Savings provision</header><text>This paragraph shall not be construed—</text> <clause commented="no" id="H54B05FE6E744456C9198639FCF6BB2BC"><enum>(i)</enum><text>to affect—</text> 
<subclause commented="no" id="H8E7F45935A0F411F8B99CB100D6B6574"><enum>(I)</enum><text>any other immunities and protections that may be available to an individual described in subparagraph (A) under applicable law with respect to a transaction described in that subparagraph; or</text></subclause> <subclause commented="no" id="H9CC55E975C054443AD42BF512C7A600E"><enum>(II)</enum><text>any other right or remedy against the Corporation, against the United States under applicable law, or against any person other than an individual described in subparagraph (A) participating in such a transaction; or</text></subclause></clause> 
<clause commented="no" id="H9077F2494CD6408FADFC7CC99737780B"><enum>(ii)</enum><text>to limit or alter in any way the immunities that are available under applicable law for Federal officers and employees not described in this paragraph.</text></clause></subparagraph></paragraph></subsection></section> <section id="H8DA26FEA4F214C028199B44E238A5CBC"><enum>104.</enum><header>Inspector General of the Corporation</header><text display-inline="no-display-inline">The President shall appoint and maintain an Inspector General in the Corporation, in accordance with the Inspector General Act of 1978 (5 U.S.C. App.).</text></section> 
<section id="H45A0855C961C4F6690176D323B3492B4"><enum>105.</enum><header>Independent accountability mechanism</header> 
<subsection id="HAE7F45D8220E4A1D947E887C18C3FE29"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">The Board shall establish a transparent and independent accountability mechanism.</text></subsection> <subsection id="H4D8C42573439429EA44700F12FD09FF4"><enum>(b)</enum><header>Functions</header><text>The independent accountability mechanism established pursuant to subsection (a) shall—</text> 
<paragraph id="HB53495B0FC4D41429250A7CC1160247E"><enum>(1)</enum><text>annually evaluate and report to the Board and Congress regarding compliance with environmental, social, labor, human rights, and transparency standards, consistent with Corporation statutory mandates;</text></paragraph> <paragraph id="H2559D3787ACD4DFC94DC873EB3DCD902"><enum>(2)</enum><text>provide a forum for resolving concerns regarding the impacts of specific Corporation-supported projects with respect to such standards; and</text></paragraph> 
<paragraph id="HF69B8536A74245749A8D23845226F4EB"><enum>(3)</enum><text>provide advice regarding Corporation projects, policies, and practices.</text></paragraph></subsection></section></title> <title id="H3BEBD745209744619D1736516E500A46" style="OLC"><enum>II</enum><header>Authorities</header> <section id="HB49630FB53784EE68778521B62EBE8E9"><enum>201.</enum><header>Authorities relating to provision of support</header> <subsection id="H2910E4D04671461E888ECBD8FBC4E9B3" commented="no"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">The authorities in this title should only be exercised to—</text> 
<paragraph id="H01CDFCDA70A94082AC49CA7A90070223"><enum>(1)</enum><text>carry out of the policy of the United States in section 101 and the purpose of the Corporation in section 102;</text></paragraph> <paragraph id="H6B635DB4663043999104B0679B6B75C6"><enum>(2)</enum><text>mitigate risks to United States taxpayers by sharing risks with the private sector and qualifying sovereign entities through co-financing and structuring of tools; and</text></paragraph> 
<paragraph id="H2526C43EED41479B9C99CDC58A4A7992"><enum>(3)</enum><text>ensure that support provided under this title is additional to private sector resources by mobilizing private capital that would otherwise not be deployed without such support.</text></paragraph></subsection> <subsection id="HD119A532FB8C42358694CBD5F37F37F1"><enum>(b)</enum><header>Lending and guaranties</header> <paragraph id="HBD37252293FB4E06AD8989AFF976FE31" commented="no"><enum>(1)</enum><header>In general</header><text>The Corporation may make loans or guaranties upon such terms and conditions as the Corporation may determine.</text></paragraph> 
<paragraph id="H449AB3B6BAD3436DB0BD8D27133E05F0" commented="no"><enum>(2)</enum><header>Denomination</header><text>Loans and guaranties issued under paragraph (1) may be denominated and repayable in United States dollars or foreign currencies. Foreign currency denominated loans and guaranties should only be provided if the Board determines there is a substantive policy rationale for such loans and guaranties.</text></paragraph> <paragraph id="H331A418E0217405F928C1A1E15E408FB"><enum>(3)</enum><header>Applicability of Federal Credit Reform Act of 1990</header><text>Loans and guaranties issued under paragraph (1) shall be subject to the requirements of the Federal Credit Reform Act of 1990 (<external-xref legal-doc="usc" parsable-cite="usc/2/661">2 U.S.C. 661</external-xref> et seq.).</text></paragraph></subsection> 
<subsection id="HED693256289C4896822BB80226591D0B"><enum>(c)</enum><header>Equity investments</header> 
<paragraph id="HEF043F0E033E47819F63EF7A4783F003"><enum>(1)</enum><header>In general</header><text>The Corporation may, as a minority investor, support projects with funds or use other mechanisms for the purpose of purchasing, and may make and fund commitments to purchase, invest in, make pledges in respect of, or otherwise acquire, equity or quasi-equity securities or shares or financial interests of any entity, including as a limited partner or other investor in investment funds, upon such terms and conditions as the Corporation may determine.</text></paragraph> <paragraph id="H3D785EAB94BE4985AE25D6C065D85CFA" commented="no"><enum>(2)</enum><header>Denomination</header><text>Support provided under paragraph (1) may be denominated and repayable in United States dollars or foreign currency. Foreign currency denominated support provided by paragraph (1) should only be provided if the Board determines there is a substantive policy rationale for such support.</text></paragraph> 
<paragraph id="H4BEE74655F5448F88F4F4C17DE5671DE"><enum>(3)</enum><header>Guidelines and criteria</header><text>The Corporation shall develop guidelines and criteria to require that the use of the authority provided by paragraph (1) with respect to a project has a clearly defined development and foreign policy purpose, taking into account the following objectives:</text> <subparagraph id="HDCEBC0F6269E4A12A55F0C8C8CB82D0C"><enum>(A)</enum><text>The support for the project would be more likely than not to substantially reduce or overcome the effect of an identified market failure in the country in which the project is carried out.</text></subparagraph> 
<subparagraph id="HFDE5B151667746B396D9C60CF8F9CB48"><enum>(B)</enum><text>The project would not have proceeded or would have been substantially delayed without the support.</text></subparagraph> <subparagraph id="H32191C69CF02498CA46859484CA759DC"><enum>(C)</enum><text>The support would meaningfully contribute to transforming local conditions to promote the development of markets.</text></subparagraph> 
<subparagraph id="HC365B156C7A743F8B1ABC1252E833F54"><enum>(D)</enum><text>The support can be shown to be aligned with commercial partner incentives.</text></subparagraph> <subparagraph id="HDD7BF802AA7A4C32BAEB05E821EAEA61"><enum>(E)</enum><text>The support can be shown to have significant developmental impact and will contribute to long-term commercial sustainability.</text></subparagraph> 
<subparagraph id="H9DF0576CDF6F445C8A18FC93503A67DA" commented="no"><enum>(F)</enum><text display-inline="yes-display-inline">The support furthers the policy of the United States described in section 101.</text></subparagraph></paragraph> <paragraph id="HF9DC19E8F3D144F9AE1BD41E6A404617"><enum>(4)</enum><header>Limitations on equity investments</header> <subparagraph id="H17E9AD3206734A82BFDD92E9CCE854EA"><enum>(A)</enum><header>Per project limit</header><text>The aggregate amount of support provided under this subsection with respect to any project shall not exceed 30 percent of the aggregate amount of all equity investment made from any source to the project at the time that the Corporation approves support of the project.</text></subparagraph> 
<subparagraph commented="no" id="HFDF688F9F2034931849EC808073EA3F4"><enum>(B)</enum><header>Total limit</header><text display-inline="yes-display-inline">Support provided pursuant to this subsection shall be limited to not more than 35 percent of the Corporation’s aggregate exposure on the date that such support is provided.</text></subparagraph></paragraph> <paragraph id="H0CA233BA6FD348CEB40502A25ECB996A" commented="no" display-inline="no-display-inline"><enum>(5)</enum><header>Sales and liquidation of position</header><text>The Corporation shall seek to sell and liquidate any support for a project provided under this subsection as soon as commercially feasible, commensurate with other similar investors in the project and taking into consideration the national security interests of the United States.</text></paragraph> 
<paragraph id="HFDAA9826D7B34B53BDF5EB4B4CC1155E" commented="no"><enum>(6)</enum><header>Timetable</header><text display-inline="yes-display-inline">The Corporation shall create a project-specific timetable for support provided under paragraph (1).</text></paragraph></subsection> <subsection id="H29081F22154A43EE80CEF4565C20FC24"><enum>(d)</enum><header>Insurance and reinsurance</header><text>The Corporation may issue insurance or reinsurance, upon such terms and conditions as the Corporation may determine, to private sector entities and qualifying sovereign entities assuring protection of their investments in whole or in part against any or all political risks such as currency inconvertibility and transfer restrictions, expropriation, war, terrorism, civil disturbance, breach of contract, or nonhonoring of financial obligations.</text></subsection> 
<subsection id="H251CE56D0E0A448BBF6D8E702967C60D"><enum>(e)</enum><header>Promotion of and support for private investment opportunities</header> 
<paragraph id="H42FB0D3074294AE6868D6BE5C9F73B81" commented="no"><enum>(1)</enum><header>In general</header><text>In order to carry out the purpose of the Corporation described in section 102(b), the Corporation may initiate and support, through financial participation, incentive grant, or otherwise, and on such terms and conditions as the Corporation may determine, feasibility studies for the planning, development, and management of, and procurement for, potential bilateral and multilateral development projects eligible for support under this title, including training activities undertaken in connection with such projects, for the purpose of promoting investment in such projects and the identification, assessment, surveying, and promotion of private investment opportunities, utilizing wherever feasible and effective, the facilities of private investors.</text></paragraph> <paragraph id="HBD6F2C990E0C47158A2CEABA45C5880B"><enum>(2)</enum><header>Contributions to costs</header><text>The Corporation shall, to the maximum extent practicable, require any person receiving funds under the authorities of this subsection to—</text> 
<subparagraph id="H81AE15DA11D44AA9AA83B18353B66D08"><enum>(A)</enum><text>share the costs of feasibility studies and other project planning services funded under this subsection; and</text></subparagraph> <subparagraph id="H2AF420D334034F3F8CDB8C7077399048"><enum>(B)</enum><text>reimburse the Corporation those funds provided under this section, if the person succeeds in project implementation.</text></subparagraph></paragraph></subsection> 
<subsection id="HA657EB3483844911BF2594F30A75420C"><enum>(f)</enum><header>Special projects and programs</header><text display-inline="yes-display-inline">The Corporation may administer and manage special projects and programs in support of specific transactions undertaken by the Corporation, including programs of financial and advisory support that provide private technical, professional, or managerial assistance in the development of human resources, skills, technology, capital savings, or intermediate financial and investment institutions or cooperatives and including the initiation of incentives, grants, and studies for renewable energy, women’s economic empowerment, microenterprise households, or other small business activities.</text></subsection> <subsection id="H9BE7AC82EEA44E99962427307C53F08A"><enum>(g)</enum><header>Enterprise funds</header> <paragraph id="H7180834367EF4584AE251D24D2FF6C37"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">The Corporation may, following consultation with the Secretary of State, the Administrator of the United States Agency for International Development, and the heads of other relevant departments or agencies, establish and operate enterprise funds in accordance with this subsection.</text></paragraph> 
<paragraph id="HFE81880E3B0848C29C2F92F44E50E892"><enum>(2)</enum><header>Procedures and requirements</header><text>The provisions of section 201 of the Support for East European Democracy (SEED) Act of 1989 (<external-xref legal-doc="usc" parsable-cite="usc/22/5421">22 U.S.C. 5421</external-xref>) (other than the provisions of subsections (a), (b), (c), (d)(1), (d)(3), (e), (f), and (j) of that section), shall be deemed to apply with respect to any enterprise fund established by the Corporation under this subsection and to funds made available to any such enterprise fund in the same manner and to the same extent as such provisions apply with respect to enterprise funds established pursuant to such section 201 or to funds made available to enterprise funds established under that section.</text></paragraph> <paragraph id="H338BD0D1ECB4477EBF49C2605DB2F5B8"><enum>(3)</enum><header>Purposes for which support may be provided</header><text>The Corporation, subject to the approval of the Board, may designate private, nonprofit organizations as eligible to receive support under this title for the following purposes:</text> 
<subparagraph id="H5FADF43A82814545B601ABE973F807BE"><enum>(A)</enum><text>To promote development of economic freedom and private sectors, including small- and medium-sized enterprises and joint ventures with the United States and host country participants.</text></subparagraph> <subparagraph id="H496E9EC15F344D02AB50AEE1D02991B5"><enum>(B)</enum><text>To facilitate access to credit to small- and medium-sized enterprises with sound business plans in countries where there is limited means of accessing credit on market terms.</text></subparagraph> 
<subparagraph id="H4A83A9C0C43F49B78BF16756149CFACA"><enum>(C)</enum><text>To promote policies and practices conducive to economic freedom and private sector development.</text></subparagraph> <subparagraph id="H4FD75B81ABB740D38DDEDEA57095F2CE"><enum>(D)</enum><text>To attract foreign direct investment capital to further promote private sector development and economic freedom.</text></subparagraph> 
<subparagraph id="H85355584F59849F49F4FE0875C12CEF7"><enum>(E)</enum><text>To complement the work of the United States Agency for International Development and other donors to improve the overall business-enabling environment, financing the creation and expansion of the private business sector.</text></subparagraph> <subparagraph id="H5A7B6141F8BF485BA5770BFC327F2004"><enum>(F)</enum><text>To make financially sustainable investments designed to generate measurable social benefits and build technical capacity in addition to financial returns.</text></subparagraph></paragraph> 
<paragraph id="HDA444D788B8B4023924678B9E81890BD"><enum>(4)</enum><header>Operation of funds</header> 
<subparagraph id="H4683F1EAF65D4E289A0067147C6A3A6B"><enum>(A)</enum><header>Expenditures</header><text>Funds made available to an enterprise fund shall be expended at the minimum rate necessary to make timely payments for projects and activities carried out under this subsection.</text></subparagraph> <subparagraph id="HD3B96F1342EB402EA97BF64D2936CE0F"><enum>(B)</enum><header>Administrative expenses</header><text>Not more than 3 percent per annum of the funds made available to an enterprise fund may be obligated or expended for the administrative expenses of the enterprise fund.</text></subparagraph></paragraph> 
<paragraph id="H5E000A608EEB460C8EF312A9003301F7"><enum>(5)</enum><header>Board of directors</header><text>Each enterprise fund established under this subsection should be governed by a Board of Directors comprised of private citizens of the United States or the host country, who—</text> <subparagraph id="H6A73D42C327F4119A97A07E69ECD6FAC"><enum>(A)</enum><text>shall be appointed by the President after consultation with the chairmen and ranking members of the appropriate congressional committees; and</text></subparagraph> 
<subparagraph id="H2A668D0134F6461DB9AD493DED8B523D"><enum>(B)</enum><text>have pursued careers in international business and have demonstrated expertise in international and emerging market investment activities.</text></subparagraph></paragraph> <paragraph commented="no" id="H175E315A521149C78385ACA4997B1F82"><enum>(6)</enum><header>Majority member requirement</header><text>The majority of the members of the Board of Directors shall be United States citizens who shall have relevant experience relating to the purposes described in paragraph (3).</text></paragraph> 
<paragraph id="H79A26669B4114544945748389C2820D0"><enum>(7)</enum><header>Reports</header><text>Not later than 1 year after the date of the establishment of an enterprise fund under this subsection, and annually thereafter until the enterprise fund terminates in accordance with paragraph (10), the Board of Directors of the enterprise fund shall—</text> <subparagraph id="HE6077EE8185F41BA8A186BA7AD035359"><enum>(A)</enum><text>submit to the appropriate congressional committees a report—</text> 
<clause id="H874825F2F88B416DB8958E374C3A87F6"><enum>(i)</enum><text>detailing the administrative expenses of the enterprise fund during the year preceding the submission of the report;</text></clause> <clause id="HD58F4CF114D54D4C8225331384AA1E42"><enum>(ii)</enum><text>describing the operations, activities, engagement with civil society and relevant local private sector entities, development objectives and outcomes, financial condition, and accomplishments of the enterprise fund during that year;</text></clause> 
<clause id="HB048024F7E0741A1BA35371F48601BFF"><enum>(iii)</enum><text>describing the results of any audit conducted under paragraph (8); and</text></clause> <clause id="HB6FC848351F547AABFA2F5DC8AEE2C48" commented="no"><enum>(iv)</enum><text display-inline="yes-display-inline">describing how audits conducted under paragraph (8) are informing the operations and activities of the enterprise fund; and</text></clause></subparagraph> 
<subparagraph id="H58235F89C0024D2AA7C885A9B29267F6"><enum>(B)</enum><text>publish, on a publicly available internet website of the enterprise fund, each report required by subparagraph (A).</text></subparagraph></paragraph> <paragraph commented="no" id="H9858A0A90D5046E79963290F31ABE2D6"><enum>(8)</enum><header>Oversight</header> <subparagraph commented="no" id="H8660B4394C0748B98325F6D3F4383556"><enum>(A)</enum><header>Inspector general performance audits</header> <clause commented="no" id="H2941BFC8E9404B228F48496BCDB0E99A"><enum>(i)</enum><header>In general</header><text>The Inspector General of the Corporation shall conduct periodic audits of the activities of each enterprise fund established under this subsection.</text></clause> 
<clause commented="no" id="HF1103882D97545CD9D7C6068C587C079"><enum>(ii)</enum><header>Consideration</header><text>In conducting an audit under clause (i), the Inspector General shall assess whether the activities of the enterprise fund—</text> <subclause commented="no" id="H7BDAFE3D81444D099B1A1E5BDD69748A"><enum>(I)</enum><text>support the purposes described in paragraph (3);</text></subclause> 
<subclause commented="no" id="H870AE38620914E10874C501917E3FA7D"><enum>(II)</enum><text>result in profitable private sector investing; and</text></subclause> <subclause commented="no" id="H77B43C10E11543FA82DE78FE0F72ABBA"><enum>(III)</enum><text>generate measurable social benefits.</text></subclause></clause></subparagraph> 
<subparagraph commented="no" id="H29BD767ED6B94BFDB05970BB8442760C"><enum>(B)</enum><header>Recordkeeping requirements</header><text>The Corporation shall ensure that each enterprise fund receiving support under this subsection—</text> <clause commented="no" id="H5B3EB6570C0A4FFBA75136CC830EDC9B"><enum>(i)</enum><text>keeps separate accounts with respect to such support; and</text></clause> 
<clause commented="no" id="H4CCB8D7F2C634D12941746E49E3B3152"><enum>(ii)</enum><text>maintains such records as may be reasonably necessary to facilitate effective audits under this paragraph.</text></clause></subparagraph></paragraph> <paragraph id="H1518D925DF5D4C3AB6DF75FE6BEAD77C"><enum>(9)</enum><header>Return of funds to Treasury</header><text>Any funds resulting from any liquidation, dissolution, or winding up of an enterprise fund, in whole or in part, shall be returned to the Treasury of the United States.</text></paragraph> 
<paragraph id="HEBCEEFF77BF94C799DB7D121049FDCE8"><enum>(10)</enum><header>Termination</header><text>The authority of an enterprise fund to provide support under this subsection shall terminate on the earlier of—</text> <subparagraph id="HB6CCB440D1DA439DBA8DE63732F0F443"><enum>(A)</enum><text>the date that is 7 years after the date of the first expenditure of amounts from the enterprise fund; or</text></subparagraph> 
<subparagraph id="H815CB10F038D42F481A2820A0B531B3C"><enum>(B)</enum><text>the date on which the enterprise fund is liquidated.</text></subparagraph></paragraph></subsection> <subsection id="H844124268EB44577B0DA75F733A444A7"><enum>(h)</enum><header>Supervision of support</header><text display-inline="yes-display-inline">Support provided under this title shall be subject to section 622(c) of the Foreign Assistance Act of 1961 (<external-xref legal-doc="usc" parsable-cite="usc/22/2382">22 U.S.C. 2382(c)</external-xref>).</text></subsection></section> 
<section id="H882C725C924240459264E2AD4CC2C169"><enum>202.</enum><header>Terms and conditions</header> 
<subsection id="HB28638458AA24DF2BAEC64E2223DC75C"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">Except as provided in subsection (b), support provided by the Corporation under this title shall be on such terms and conditions as the Corporation may prescribe.</text></subsection> <subsection id="H870BC2EFD0BD4E0A94FE5CD480AF928E"><enum>(b)</enum><header>Requirements</header><text>The following requirements apply to support provided by the Corporation under this title:</text> 
<paragraph id="H27462965052848F696A2C2838F21A989" commented="no"><enum>(1)</enum><text>The Corporation shall provide support using authorities under this title only if it is necessary—</text> <subparagraph id="H12787A17DE344392AE1C9745462CE3C2" commented="no"><enum>(A)</enum><text>to alleviate a credit market imperfection; or</text></subparagraph> 
<subparagraph id="H3CB1D873CF0C4D14A62CF09E7ED2B23D" commented="no"><enum>(B)</enum><text>to achieve specified development or foreign policy objectives of the United States Government by providing support in the most efficient way to meet those objectives on a case-by-case basis.</text></subparagraph></paragraph> <paragraph id="H064442C5A9834F96B0CFB44C1052FE2E"><enum>(2)</enum><text>The final maturity of a loan made or guaranteed by the Corporation shall not exceed the lesser of—</text> 
<subparagraph id="H726E508C9A3245A894878DE29C6A4749"><enum>(A)</enum><text>25 years; or</text></subparagraph> <subparagraph id="H163652A045DA4469A7A15105565D0736" commented="no"><enum>(B)</enum><text>debt servicing capabilities of the project to be financed by the loan (as determined by the Corporation).</text></subparagraph></paragraph> 
<paragraph id="H40DD668077A649F18382B9BD72E2D371"><enum>(3)</enum><text display-inline="yes-display-inline">The Corporation shall, with respect to providing any loan guaranty to a project, require the parties to the project to bear the risk of loss in an amount equal to at least 20 percent of the guaranteed support by the Corporation in the project.</text></paragraph> <paragraph id="H6B49FB52AC674447B4D09A63C0E23EE2" commented="no"><enum>(4)</enum><text>The Corporation may not make or guarantee a loan unless the Corporation determines that the borrower or lender is responsible and that adequate provision is made for servicing the loan on reasonable terms and protecting the financial interest of the United States.</text></paragraph> 
<paragraph id="H7F53CB863AE34F949B42CF4D27EF7892"><enum>(5)</enum><text display-inline="yes-display-inline">The interest rate for direct loans and interest supplements on guaranteed loans shall be set by reference to a benchmark interest rate (yield) on marketable Treasury securities or other widely recognized or appropriate benchmarks with a similar maturity to the loans being made or guaranteed, as determined in consultation with the Director of the Office of Management and Budget and the Secretary of the Treasury. The Corporation shall establish appropriate minimum interest rates for loans, guaranties, and other instruments as necessary.</text></paragraph> <paragraph id="HBF94B9EA6F434A18AB2F1BFB55E2470C"><enum>(6)</enum><text>The minimum interest rate for new loans as established by the Corporation shall be adjusted periodically to take account of changes in the interest rate of the benchmark financial instrument.</text></paragraph> 
<paragraph id="HCFB1CAF727C54F8998684C049396BA22"><enum>(7)</enum> 
<subparagraph commented="no" display-inline="yes-display-inline" id="HD45AD16B73014733BBF63E273C29889E"><enum>(A)</enum><text>The Corporation shall set fees or premiums for support provided under this title at levels that minimize the cost to the Government while supporting achievement of the objectives of support.</text></subparagraph> <subparagraph id="HF9F193D286904D1A87E4427E77FF0528" indent="up1"><enum>(B)</enum><text>The Corporation shall review fees for loan guaranties periodically to ensure that the fees assessed on new loan guaranties are at a level sufficient to cover the Corporation’s most recent estimates of its costs.</text></subparagraph></paragraph> 
<paragraph id="HFF16A4D0778B49F189BFAE0716FF6506"><enum>(8)</enum><text>Any loan guaranty provided by the Corporation shall be conclusive evidence that—</text> <subparagraph id="H9BE30DE6E14A4A7C912495B372B2F215"><enum>(A)</enum><text>the guaranty has been properly obtained;</text></subparagraph> 
<subparagraph id="H1C80328F1F074BEF84EC8917E314A3DC"><enum>(B)</enum><text>the loan qualified for the guaranty; and</text></subparagraph> <subparagraph id="HC80ECF15CCB640C3AD0AD37090D2A718"><enum>(C)</enum><text>but for fraud or material misrepresentation by the holder of the guaranty, the guaranty is presumed to be valid, legal, and enforceable.</text></subparagraph></paragraph> 
<paragraph id="HE7ECA95FDEDA40CDB0E1142442BBDE6C"><enum>(9)</enum><text>The Corporation shall prescribe explicit standards for use in periodically assessing the credit risk of new and existing direct loans or guaranteed loans.</text></paragraph> <paragraph id="H00A20967E3CF4AC88C9A5FB898C4DF3D"><enum>(10)</enum><text>The Corporation may not make loans or loan guaranties except to the extent that budget authority to cover the costs of the loans or guaranties is provided in advance in an appropriations Act, as required by section 504 of the Federal Credit Reform Act of 1990 (<external-xref legal-doc="usc" parsable-cite="usc/2/661c">2 U.S.C. 661c</external-xref>).</text></paragraph> 
<paragraph id="H72B1DE791EE143DF950643FAB130E863" commented="no"><enum>(11)</enum><text display-inline="yes-display-inline">The Corporation shall rely upon specific standards to assess the developmental and strategic value of projects for which it provides support and should only provide the minimum level of support necessary in order to support such projects.</text></paragraph> <paragraph id="H5DB96BEA66784470A678D53C567F2FF0" commented="no"><enum>(12)</enum><text>Any loan or loan guaranty made by the Corporation should be provided on a senior basis or pari passu with other senior debt unless there is a substantive policy rationale to provide such support otherwise.</text></paragraph></subsection></section> 
<section id="HAD820C186A754BD794D63996F17373BB"><enum>203.</enum><header>Payment of losses</header> 
<subsection id="HF953E6C3862249FA948A4E1B413CCD5B"><enum>(a)</enum><header>Payments for defaults on guaranteed loans</header> 
<paragraph id="HE6F49EEE28B843CE8858F315B09BDB93"><enum>(1)</enum><header>In general</header><text>If the Corporation determines that the holder of a loan guaranteed by the Corporation suffers a loss as a result of a default by a borrower on the loan, the Corporation shall pay to the holder the percent of the loss, as specified in the guaranty contract after the holder of the loan has made such further collection efforts and instituted such enforcement proceedings as the Corporation may require.</text></paragraph> <paragraph id="H3DFBBFF2CD394947987669BCEDED4212"><enum>(2)</enum><header>Subrogation</header><text>Upon making a payment described in paragraph (1), the Corporation shall ensure the Corporation will be subrogated to all the rights of the recipient of the payment.</text></paragraph> 
<paragraph id="HDBCABFBA7E5647C0ACFFA216D781EC30"><enum>(3)</enum><header>Recovery efforts</header><text>The Corporation shall pursue recovery from the borrower of the amount of any payment made under paragraph (1) with respect to the loan.</text></paragraph></subsection> <subsection commented="no" id="H7F26AFC902484636876D7683547F78D6"><enum>(b)</enum><header>Limitation on payments</header> <paragraph commented="no" id="H64739CF7DF124AE7966E05743C0E3A65"><enum>(1)</enum><header>In general</header><text>Except as provided by paragraph (2), compensation for insurance, reinsurance, or a guaranty issued under this title shall not exceed the dollar value of the tangible or intangible contributions or commitments made in the project, plus interest, earnings, or profits actually accrued on such contributions or commitments, to the extent provided by such insurance, reinsurance, or guaranty. </text></paragraph> 
<paragraph commented="no" id="HA2562CBC2A5D4C4D99BBD9AA36BF1E3E"><enum>(2)</enum><header>Exception</header> 
<subparagraph commented="no" id="H83D6A1B982854B959569E984DC2C71FD"><enum>(A)</enum><header>In general</header><text>The Corporation may provide that—</text> <clause commented="no" id="HB2388E4AD5CA4B15BC75FEE85CB89AA2"><enum>(i)</enum><text>appropriate adjustments in the insured dollar value be made to reflect the replacement cost of project assets; and</text></clause> 
<clause commented="no" id="HAFFB7D3900AF4C00AA851C6ACCA0787A"><enum>(ii)</enum><text>compensation for a claim of loss under insurance of an equity investment under section 201(d) may be computed on the basis of the net book value attributable to the equity investment on the date of loss.</text></clause></subparagraph></paragraph> <paragraph commented="no" id="HEA0A8770A61F4EA781F3FE59D441BA09"><enum>(3)</enum><header>Additional limitation</header> <subparagraph commented="no" id="HA55AD378648747EF8F30133B6D1F3331"><enum>(A)</enum><header>In general</header><text>Notwithstanding paragraph (2)(A)(ii) and except as provided in subparagraph (B), the Corporation shall limit the amount of direct insurance and reinsurance issued under section 201 with respect to a project so as to require that the insured and its affiliates bear the risk of loss for at least 10 percent of the amount of the Corporation’s exposure to that insured and its affiliates in the project.</text></subparagraph> 
<subparagraph commented="no" display-inline="no-display-inline" id="HC26401ADFA4C45809227843779973D26"><enum>(B)</enum><header>Exception</header><text>The limitation under subparagraph (A) shall not apply to direct insurance or reinsurance of loans provided by banks or other financial institutions to unrelated parties.</text></subparagraph></paragraph></subsection> <subsection id="H2EBE7A770375400680E3298EA8BE0617"><enum>(c)</enum><header>Actions by Attorney General</header><text>The Attorney General shall take such action as may be appropriate to enforce any right accruing to the United States as a result of the issuance of any loan or guaranty under this title.</text></subsection> 
<subsection id="H5143C0F1F8E64D79B9BAD59592F52391"><enum>(d)</enum><header>Rule of construction</header><text>Nothing in this section shall be construed to preclude any forbearance for the benefit of a borrower that may be agreed upon by the parties to a loan guaranteed by the Corporation if budget authority for any resulting costs to the United States Government (as defined in section 502 of the Federal Credit Reform Act of 1990 (<external-xref legal-doc="usc" parsable-cite="usc/2/661a">2 U.S.C. 661a</external-xref>)) is available.</text></subsection></section> <section commented="no" display-inline="no-display-inline" id="H049F37138BD248C9864A62C8F6D2DF3D"><enum>204.</enum><header display-inline="yes-display-inline">Termination</header> <subsection id="H393C12CC99C344B98AE2DB0D8E06AD22"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">The authorities provided under this title terminate on the date that is 7 years after the date of the enactment of this Act.</text></subsection> 
<subsection id="HF1AABCF033B8418D91E312474DD3FB69" commented="no"><enum>(b)</enum><header>Termination of Corporation</header><text display-inline="yes-display-inline">The Corporation shall terminate on the date on which the portfolio of the Corporation is liquidated.</text></subsection></section></title> <title id="HE61D8F8825804E0EB82FF4A8DB01F6B7"><enum>III</enum><header>Administrative and general provisions </header> <section id="HD482FDC6E5D747B386E813C029B71113"><enum>301.</enum><header>Operations</header> <subsection commented="no" id="HC00B9D5457A64A4487239AF40D97AF4C"><enum>(a)</enum><header>Bilateral agreements</header><text>The Corporation may provide support under title II in connection with projects in any country the government of which has entered into an agreement with the United States authorizing the Corporation to provide such support in that country.</text></subsection> 
<subsection commented="no" id="HFB1C82B7438B48EAB7F988E99E4F591A"><enum>(b)</enum><header>Claims settlement</header> 
<paragraph commented="no" id="HF09E79E91F29464A92802410C2F900EC"><enum>(1)</enum><header>In general</header><text>Claims arising as a result of support provided under title II or under predecessor authority may be settled, and disputes arising as a result thereof may be arbitrated with the consent of the parties, on such terms and conditions as the Corporation may determine.</text></paragraph> <paragraph commented="no" id="H927FBA2189A14367A2FD0C34A3019ED4"><enum>(2)</enum><header>Settlements conclusive</header><text>Payment made pursuant to any settlement pursuant to paragraph (1), or as a result of an arbitration award, shall be final and conclusive notwithstanding any other provision of law.</text></paragraph></subsection> 
<subsection id="H834DAF2CF8D54B0CB7B6B4508240EBB1"><enum>(c)</enum><header>Presumption of compliance</header><text>Each contract executed by such officer or officers as may be designated by the Board shall be conclusively presumed to be issued in compliance with the requirements of this Act.</text></subsection> <subsection id="H0E7851077D144BE59B128AEB9696094E"><enum>(d)</enum><header>Electronic Payments and Documents</header><text>The Corporation shall implement policies to accept electronic documents and electronic payments in all of its programs.</text></subsection></section> 
<section id="H548428C4235B4ED4AEEF10C2DDE257B3"><enum>302.</enum><header>Corporate powers</header> 
<subsection id="H8BD2EA5EB4E14948BE2377816220598C"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">The Corporation—</text> <paragraph id="HA91A36B4C76D4191BB7776C7FC468C22"><enum>(1)</enum><text>may adopt, alter, and use a seal, to include an identifiable symbol of the United States;</text></paragraph> 
<paragraph id="HAF30CBB1D60249F59B5742DF9E6066DA"><enum>(2)</enum><text>may make and perform such contracts, including no-cost contracts (as defined by the Corporation), grants, and other agreements notwithstanding division C of subtitle I of title 41, United States Code, with any person or government however designated and wherever situated, as may be necessary for carrying out the functions of the Corporation;</text></paragraph> <paragraph id="H9106A656A8224B7AA57F6F840233ADD3"><enum>(3)</enum><text>may lease, purchase, or otherwise acquire, improve, and use such real property wherever situated, as may be necessary for carrying out the functions of the Corporation and which, if done for the Corporation’s own occupancy, shall be made in consultation with the Administrator of General Services;</text></paragraph> 
<paragraph id="HA3BFAD9367B4439FBA8200518D6D1374"><enum>(4)</enum><text>may accept cash gifts or donations of services or of property (real, personal, or mixed), tangible or intangible, for the purpose of carrying out the functions of the Corporation;</text></paragraph> <paragraph id="H7777B037876D4E3BB81091FC9C80E2CF"><enum>(5)</enum><text>may use the United States mails in the same manner and on the same conditions as the Executive departments (as defined in section 101 of title 5, United States Code);</text></paragraph> 
<paragraph id="HCEA42A4F5FB545A0B5E9D39E9BB2F4C6"><enum>(6)</enum><text>may contract with individuals for personal services, who shall not be considered Federal employees for any provision of law administered by the Director of the Office of Personnel Management;</text></paragraph> <paragraph id="HF8A1B6E7183B481C9B1605324A63A943"><enum>(7)</enum><text>may hire or obtain passenger motor vehicles;</text></paragraph> 
<paragraph id="H813FD4ECEAB44E65BB44A62B054ED592"><enum>(8)</enum><text>may sue and be sued in its corporate name;</text></paragraph> <paragraph id="H08B06C2A7E0B4650BAD69E18ED7C2D7A"><enum>(9)</enum><text display-inline="yes-display-inline">may acquire, hold, or dispose of, upon such terms and conditions as the Corporation may determine, any property, real, personal, or mixed, tangible or intangible, or any interest in such property and which, if done for the Corporation’s own occupancy, shall be made in consultation with the Administrator of General Services;</text></paragraph> 
<paragraph id="HD88B8176F4EC4B37BBFB22CA88D92448" commented="no"><enum>(10)</enum><text>may lease office space for the Corporation’s own use, with the obligation of amounts for such lease limited to the current fiscal year for which payments are due until the expiration of the current lease under predecessor authority, as of the day before the date of the enactment of this Act; </text></paragraph> <paragraph id="HA26D509FB94F42BDAED06E5105026E9C"><enum>(11)</enum><text>may indemnify directors, officers, employees, and agents of the Corporation for liabilities and expenses incurred in connection with their activities on behalf of the Corporation;</text></paragraph> 
<paragraph id="H5EC7E604D2A546EE923C9BD59A783D8B"><enum>(12)</enum><text>notwithstanding any other provision of law, may represent itself or contract for representation in any legal or arbitral proceeding;</text></paragraph> <paragraph id="HE99DA9E0DEB640DABC32845117874BB3"><enum>(13)</enum><text>may exercise any priority of the Government of the United States in collecting debts from bankrupt, insolvent, or decedents’ estates;</text></paragraph> 
<paragraph id="HDAE511C45DD143CF99072F9F1B41CB2F"><enum>(14)</enum><text>may collect, notwithstanding section 3711(g)(1) of title 31, United States Code, or compromise any obligations assigned to or held by the Corporation, including any legal or equitable rights accruing to the Corporation;</text></paragraph> <paragraph id="H076A2661033645ECBC649BD9AC7CE793"><enum>(15)</enum><text>may make arrangements with foreign governments (including agencies, instrumentalities, or political subdivisions of such governments) or with multilateral organizations or institutions for sharing liabilities;</text></paragraph> 
<paragraph id="H048E033540024D25B4854949C2700282"><enum>(16)</enum><text>may sell direct investments of the Corporation to private investors upon such terms and conditions as the Corporation may determine; and</text></paragraph> <paragraph commented="no" display-inline="no-display-inline" id="H9A60C0CA2F3D42E6A8345B57A22E50CD"><enum>(17)</enum><text>shall have such other powers as may be necessary and incident to carrying out the functions of the Corporation.</text></paragraph></subsection> 
<subsection commented="no" display-inline="no-display-inline" id="HEBE35A8274D44809B20953675E79FABD"><enum>(b)</enum><header display-inline="yes-display-inline">Treatment of property</header><text display-inline="yes-display-inline">Notwithstanding any other provision of law relating to the acquisition, handling, or disposal of property by the United States, the Corporation shall have the right in its discretion to complete, recondition, reconstruct, renovate, repair, maintain, operate, or sell any property acquired by the Corporation pursuant to the provisions of this Act and which, if done for the Corporation’s own occupancy, shall be made in consultation with the Administrator of General Services.</text></subsection></section> <section id="H9D420728891E4E5291BF819863AF3AC2"><enum>303.</enum><header>Maximum contingent liability</header> <subsection id="H9E71E7E3A3934C5A8F1741555385D710"><enum>(a)</enum><header>In general</header><text>The maximum contingent liability of the Corporation outstanding at any one time shall not exceed in the aggregate the amount specified in subsection (b).</text></subsection> 
<subsection id="H465114E31D034D91A0A322899D862B5F"><enum>(b)</enum><header>Amount specified</header> 
<paragraph commented="no" id="H9216276544494617A862FCB40B6D1530"><enum>(1)</enum><header>Initial 5-year period</header><text>The amount specified in this subsection for the 5-year period beginning on the date of the enactment of this Act, is $60,000,000,000.</text></paragraph> <paragraph commented="no" id="H3E30F6728A674C6F8C6D4C6739D86A2B"><enum>(2)</enum><header>Subsequent 5-year periods</header><text>Not later than 5 years after the date of the enactment of this Act, and not less frequently than every 5 years thereafter, the amount specified in paragraph (1) shall be adjusted to reflect the percentage of the increase (if any) in the average of the Consumer Price Index during the preceding 5-year period.</text></paragraph> 
<paragraph id="H674D3EE46B3E41DF83FC1D53B529C07E"><enum>(3)</enum><header>Consumer price index defined</header><text>In this subsection, the term <term>Consumer Price Index</term> means the most recent Consumer Price Index for All Urban Consumers published by the Bureau of Labor Statistics of the Department of Labor.</text></paragraph></subsection></section> <section id="H5AE4660C93854D4F9C70BC0DA287782C" commented="no"><enum>304.</enum><header>Corporate funds</header> <subsection id="H7C25FED87EF349B5945551D9B7F62882" commented="no"><enum>(a)</enum><header>Corporate capital account</header><text display-inline="yes-display-inline">There is established in the Treasury of the United States a fund to be known as the <quote>Corporate Capital Account</quote> to carry out the purposes of the Corporation.</text></subsection> 
<subsection id="H824126A2A6054E78991F22B53D10F7F5"><enum>(b)</enum><header>Funding</header><text>The Corporate Capital Account shall consist of—</text> <paragraph id="H186BCED28A4C4DBEAAB304998DEE1F08"><enum>(1)</enum><text>fees charged and collected pursuant to subsection (c); </text></paragraph> 
<paragraph id="HC77D3CF51D4340C298ADC9284F5309C8"><enum>(2)</enum><text>any amounts received pursuant to subsection (e);</text></paragraph> <paragraph id="H11FE6F7FECEE4486B0FDA091FA0D3005"><enum>(3)</enum><text>investments and returns on such investments pursuant to subsection (g);</text></paragraph> 
<paragraph id="H3EE4390548ED4285871A967ACFC268E5" commented="no"><enum>(4)</enum><text>unexpended balances transferred to the Corporation pursuant to subsection (i);</text></paragraph> <paragraph id="H81E97BA1BAE343E9A79E6BB023928264"><enum>(5)</enum><text>payments received in connection with settlements of all insurance and reinsurance claims of the Corporation; and </text></paragraph> 
<paragraph id="HE7A0A589D07F4647B8BD1B19AE6DA28B" commented="no"><enum>(6)</enum><text display-inline="yes-display-inline">all other collections transferred to or earned by the Corporation, excluding the cost, as defined in section 502 of the Federal Credit Reform Act of 1990 (<external-xref legal-doc="usc" parsable-cite="usc/2/661a">2 U.S.C. 661a</external-xref>), of loans and loan guaranties. </text></paragraph></subsection> <subsection id="H16B3C749015143CE987F9771A5B24A80"><enum>(c)</enum><header>Fee authority</header><text>Fees may be charged and collected for providing services in amounts to be determined by the Corporation.</text></subsection> 
<subsection id="H573C18C63F454D0199566030F4BBE55D"><enum>(d)</enum><header>Uses</header> 
<paragraph id="HBA3AB943149C4E4187F27180C03F40D6"><enum>(1)</enum><header>In general</header><text>Subject to Acts making appropriations, the Corporation is authorized to pay—</text> <subparagraph id="HA2DCCE314314464797017C092211B85A"><enum>(A)</enum><text>the cost, as defined in section 502 of the Federal Credit Reform Act of 1990, of loans and loan guaranties;</text></subparagraph> 
<subparagraph id="H283CEAF932E44A04916A5F678D84CD5F"><enum>(B)</enum><text>administrative expenses of the Corporation; </text></subparagraph> <subparagraph id="H7921B89808C644E49F1FA3AFC22410EC"><enum>(C)</enum><text>for the cost of providing support authorized by subsections (c), (e), (f), and (g) of section 201; and</text></subparagraph> 
<subparagraph id="H42861A2D298C405BB41D3624F6D537A7"><enum>(D)</enum><text display-inline="yes-display-inline">project-specific transaction costs.</text></subparagraph></paragraph> <paragraph id="HE6C1F5B6A5D14AA590208CEA6E3AB21C" commented="no"><enum>(2)</enum><header>Income and revenue</header><text display-inline="yes-display-inline">In order to carry out the purposes of the Corporation, all collections transferred to or earned by the Corporation, excluding the cost, as defined in section 502 of the Federal Credit Reform Act of 1990, of loans and loan guaranties, shall be deposited into the Corporate Capital Account and shall be available to carry out its purpose, including without limitation—</text> 
<subparagraph id="H9C8FDC4D04D64DB1B3EA1257046AED8B" commented="no"><enum>(A)</enum><text>payment of all insurance and reinsurance claims of the Corporation;</text></subparagraph> <subparagraph id="H42082CE62C7B496D82D06EF941E31A63" commented="no"><enum>(B)</enum><text>repayments to the Treasury of amounts borrowed under subsection (e); and</text></subparagraph> 
<subparagraph id="H6D1B89ECAE0B4587B8CD404CB6996774" commented="no"><enum>(C)</enum><text>dividend payments to the Treasury under subsection (f).</text></subparagraph></paragraph></subsection> <subsection id="HCEA2C867D25C40DBA044E394CCC551E2"><enum>(e)</enum><header>Full faith and credit</header> <paragraph id="H16B6D48A56344CBE986631152EAF300D"><enum>(1)</enum><header>In general</header><text>All support provided pursuant to predecessor authorities or title II shall continue to constitute obligations of the United States, and the full faith and credit of the United States is hereby pledged for the full payment and performance of such obligations. </text></paragraph> 
<paragraph id="HCF032C34E3F34D50BB3E60536CB5CF35"><enum>(2)</enum><header>Authority to borrow</header><text>The Corporation is authorized to borrow from the Treasury such sums as may be necessary to fulfill such obligations of the United States and any such borrowing shall be at a rate determined by the Secretary of the Treasury, taking into consideration the current average market yields on outstanding marketable obligations of the United States of comparable maturities, for a period jointly determined by the Corporation and the Secretary, and subject to such terms and conditions as the Secretary may require.</text></paragraph></subsection> <subsection id="H129C93DACEB942CF8A5BCEE088F2B55C"><enum>(f)</enum><header>Dividends</header><text>The Board, in consultation with the Director of the Office of Management and Budget, shall annually assess a dividend payment to the Treasury if the Corporation’s insurance portfolio is more than 100 percent reserved.</text></subsection> 
<subsection id="H16C3052B20324B958FD7DA9599D1BE5E"><enum>(g)</enum><header>Investment authority</header> 
<paragraph id="HF5718BF4D9AD48A3B273D57EDCB4C009"><enum>(1)</enum><header>In general</header><text>The Corporation may request the Secretary of the Treasury to invest such portion of the Corporate Capital Account as is not, in the Corporation’s judgement, required to meet the current needs of the Corporate Capital Account. </text></paragraph> <paragraph id="H382656A4AA884F7AAE0DFE305EA1EECC"><enum>(2)</enum><header>Form of investments</header><text>Such investments shall be made by the Secretary of the Treasury in public debt obligations, with maturities suitable to the needs of the Corporate Capital Account, as determined by the Corporation, and bearing interest at rates determined by the Secretary, taking into consideration current market yields on outstanding marketable obligations of the United States of comparable maturities.</text></paragraph></subsection> 
<subsection id="H9BBA5B7AA71548CFA79585F9992FB381"><enum>(h)</enum><header>Collections</header><text display-inline="yes-display-inline">Interest earnings made pursuant to subsection (g), earnings collected related to equity investments, and amounts, excluding fees related to insurance or reinsurance, collected pursuant to subsection (c), shall not be collected for any fiscal year except to the extent provided in advance in appropriations Acts.</text></subsection> <subsection id="H23245E7B99DD4E76A5D1A32A5006E66A"><enum>(i)</enum><header>Transfer from predecessor agencies and programs</header><text>By the date end of the transition period described in title VI, the unexpended balances, assets, and responsibilities of any agency specified in the plan required by section 602 shall be transferred to the Corporation.</text></subsection> 
<subsection id="H6976F8352D3B4279A924C748CB74A77D" commented="no"><enum>(j)</enum><header>Transfer of funds</header><text display-inline="yes-display-inline">In order to carry out this Act, funds authorized to be appropriated to carry out the Foreign Assistance Act of 1961 (<external-xref legal-doc="usc" parsable-cite="usc/22/2151">22 U.S.C. 2151</external-xref> et seq.) may be transferred to the Corporation and funds authorized to be appropriated to the Corporation may be transferred to the Department of State and the United States Agency for International Development.</text></subsection> <subsection id="H3E8878C478694CB49E73B27E9A32899C"><enum>(k)</enum><header>Definition</header><text>In this section, the term <quote>project-specific transaction costs</quote>—</text> 
<paragraph id="H97D4A7FEAD1B43BFA6F044E530D28AF9"><enum>(1)</enum><text>means those costs incurred by the Corporation for travel, legal expenses, and direct and indirect costs incurred in claims settlements associated with the provision of support under title II and shall not be considered administrative expenses for the purposes of this section; and</text></paragraph> <paragraph id="H81D85BDE6CD34DB486F051F10014FD57"><enum>(2)</enum><text display-inline="yes-display-inline">does not include information technology (as such term is defined in section 11101 of title 40, United States Code). </text></paragraph></subsection></section> 
<section id="H5182AD6FF7DD4FF5AA1B3BC401E39F58" commented="no"><enum>305.</enum><header>Coordination with other development agencies</header><text display-inline="no-display-inline">It is the sense of Congress that the Corporation should use relevant data of the Department of State, the Millennium Challenge Corporation, the United States Agency for International Development, and other departments and agencies that have development functions to better inform the decisions of the Corporation with respect to providing support under title II.</text></section></title> <title id="HE2B1042E0BE54CAD82331F57BB0C0E08"><enum>IV</enum><header>Monitoring, evaluation, and reporting</header> <section id="H03FB77C685604462B01ACC6516C0FBB6"><enum>401.</enum><header>Establishment of risk and audit committees</header> <subsection id="HC661279AC2954237926D617536CE647A" commented="no"><enum>(a)</enum><header>In general</header><text>To assist the Board to fulfill its duties and responsibilities under section 201(a), the Corporation shall establish a risk committee and an audit committee.</text></subsection> 
<subsection id="H9EBA248FD6254ACA816AA2A86A193D3F" commented="no"><enum>(b)</enum><header>Duties and responsibilities of risk committee</header><text>Subject to the direction of the Board, the risk committee established under subsection (a) shall have oversight responsibility of—</text> <paragraph id="HF58BBB0C536C4B6081E51096CF7585FF" commented="no"><enum>(1)</enum><text>formulating risk management policies of the operations of the Corporation;</text></paragraph> 
<paragraph id="HB7A96B049A034D72B5619C2992F578B8" commented="no"><enum>(2)</enum><text>reviewing and providing guidance on operation of the Corporation’s global risk management framework;</text></paragraph> <paragraph id="H7527D9D889704A158773B583F3C9519B" commented="no"><enum>(3)</enum><text>developing policies for enterprise risk management, monitoring, and management of strategic, reputational, regulatory, operational, developmental, environmental, social, and financial risks; </text></paragraph> 
<paragraph id="HEBFD6D075D424B21A8F9908D15D43840" commented="no"><enum>(4)</enum><text display-inline="yes-display-inline">developing the risk profile of the Corporation, including a risk management and compliance framework and governance structure to support such framework; and</text></paragraph> <paragraph id="H3C7B28F20DE6401F8B73C0A5C384247C"><enum>(5)</enum><text display-inline="yes-display-inline">developing policies and procedures for assessing, prior to providing, and for any period during which the Corporation provides, support to any foreign entities, whether such entities have in place sufficient enhanced due diligence policies and practices to prevent money laundering and corruption to ensure the Corporation does not provide support to persons that are—</text> 
<subparagraph id="HB079CA0AC07B49D89D2D59C2D23F3136"><enum>(A)</enum><text>knowingly engaging in acts of corruption; </text></subparagraph> <subparagraph id="H5BB9515B7BFB4B7C94563E93484CC9CA"><enum>(B)</enum><text>knowingly providing material or financial support for terrorism, drug trafficking, or human trafficking; or</text></subparagraph> 
<subparagraph id="H872E008A674C4FBCB0AECFACB8AE667E"><enum>(C)</enum><text display-inline="yes-display-inline">responsible for ordering or otherwise directing serious or gross violations of human rights.</text></subparagraph></paragraph></subsection> <subsection id="H71B78EE4D86C4EB18D5F2D40CF9E1579" commented="no"><enum>(c)</enum><header>Duties and responsibilities of audit committee</header><text display-inline="yes-display-inline">Subject to the direction of the Board, the audit committee established under subsection (a) shall have the oversight responsibility of—</text> 
<paragraph id="HDDB0B7DFAC274F29B6CBE513ACF8B91E" commented="no"><enum>(1)</enum><text>the integrity of the Corporation’s financial reporting and systems of internal controls regarding finance and accounting;</text></paragraph> <paragraph id="HF46F900BB4C644D78984866B143F07E7" commented="no"><enum>(2)</enum><text>the integrity of the Corporation’s financial statements; </text></paragraph> 
<paragraph id="HC20D0C187D8442A6BDA66FC147571544" commented="no"><enum>(3)</enum><text>the performance of the Corporation’s internal audit function; and</text></paragraph> <paragraph id="HD8404B7034DB4B61963CB5479D6D94E9" commented="no"><enum>(4)</enum><text>compliance with legal and regulatory requirements related to the finances of the Corporation.</text></paragraph></subsection></section> 
<section id="H5DAEF7BD5E8B426FAB0B7618340D4F89"><enum>402.</enum><header>Performance measures, evaluation, and learning</header> 
<subsection id="H905E0DACA31F436ABF4009ADB7047D60"><enum>(a)</enum><header>In general</header><text>The Corporation shall develop a performance measurement system to evaluate and monitor projects supported by the Corporation under title II and to guide future projects of the Corporation.</text></subsection> <subsection id="HB483C6446E1344E2A45CA1547F77C55A"><enum>(b)</enum><header>Considerations</header><text>In developing the performance measurement system required by subsection (a), the Corporation shall—</text> 
<paragraph id="H76F3986FA7AD4E05ADC8929E57C548AB"><enum>(1)</enum><text display-inline="yes-display-inline">develop a successor for the development impact measurement system of the Overseas Private Investment Corporation (as such system was in effect on the day before the date of enactment of this Act); </text></paragraph> <paragraph id="HF360ACD16CC8404CB0E53626646AA088"><enum>(2)</enum><text>develop a mechanism for ensuring that support provided by the Corporation under title II is in addition to private investment; </text></paragraph> 
<paragraph id="HB8BED5EA859E4E1C8EEDEE790E23275E"><enum>(3)</enum><text>develop standards for, and a method for ensuring, appropriate financial performance of the Corporation's portfolio; and</text></paragraph> <paragraph id="HE9D5195053A74D498003460ED26E6512"><enum>(4)</enum><text display-inline="yes-display-inline">develop standards for, and a method for ensuring, appropriate development performance of the Corporation’s portfolio, including—</text> 
<subparagraph id="H768B4632142F42FB8A0B30998A156BF5"><enum>(A)</enum><text>measurement of the projected and ex post development impact of a project; and</text></subparagraph> <subparagraph id="H2A25F7537C20455A9E22C389BC24DCEC"><enum>(B)</enum><text>the information necessary to comply with section 403.</text></subparagraph></paragraph></subsection> 
<subsection id="H806503DF32BC4CAAA6D93D22364F543D"><enum>(c)</enum><header>Public availability of certain information</header><text>The Corporation shall make available to the public on a regular basis information about support provided by the Corporation under title II and performance metrics about such support on a country-by-country basis.</text></subsection> <subsection commented="no" id="H73C33E707F1D4E6C854F19A568143250"><enum>(d)</enum><header>Collaboration</header><text>In developing the performance measurement system required by subsection (a), the Corporation shall consult with stakeholders and other interested parties engaged in sustainable economic growth and development. </text></subsection></section> 
<section id="HBDD8386B4CD84610B5EDFC70AC9CC724"><enum>403.</enum><header>Annual report</header> 
<subsection id="HC188357BCB804EC29847D22601746BDE"><enum>(a)</enum><header>In general</header><text>After the end of each fiscal year, the Corporation shall submit to the appropriate congressional committees a complete and detailed report of its operations during that fiscal year, including an assessment of—</text> <paragraph id="H2A9CB47E0EA8446CBBBF85204E126A41"><enum>(1)</enum><text display-inline="yes-display-inline">the economic and social development impact, including with respect to matters described in subsections (d) and (e) of section 501, of projects supported by the Corporation under title II; </text></paragraph> 
<paragraph id="H6EAAE0836DBF4F85AA6BC2F68810F8F5"><enum>(2)</enum><text>the extent to which the operations of the Corporation complement or are compatible with the development assistance programs of the United States and qualifying sovereign entities; </text></paragraph> <paragraph id="H76CAD10AD93B43BBA6A17EED84FBDD9F" commented="no"><enum>(3)</enum><text display-inline="yes-display-inline">the Corporation’s institutional linkages with other relevant United States Government department and agencies, including efforts to strengthen such linkages; and</text></paragraph> 
<paragraph id="HD12485E719CD42339C6753181FADC363"><enum>(4)</enum><text display-inline="yes-display-inline">the compliance of projects supported by the Corporation under title II with human rights, environmental, labor, and social policies, or other such related policies that govern the Corporation’s support for projects, promulgated or otherwise administered by the Corporation.</text></paragraph></subsection> <subsection id="H30BB11C9D15F47399CDED2C4F0CB313E" commented="no"><enum>(b)</enum><header>Elements</header><text>Each annual report required by subsection (a) shall include analyses of the effects of projects supported by the Corporation under title II, including—</text> 
<paragraph id="H85A780956C8E4A79A1B78E80DB6D5657" commented="no"><enum>(1)</enum><text>reviews and analyses of—</text> <subparagraph id="H7FCB79538819497AB6A2255ECE2BDC93" commented="no"><enum>(A)</enum><text>the desired development outcomes for projects and whether or not the Corporation is meeting the associated metrics, goals, and development objectives, including, to the extent practicable, in the years after conclusion of projects; and</text></subparagraph> 
<subparagraph id="H8C03B1F0E93240CCBD6DDC64FB78CEB4" commented="no"><enum>(B)</enum><text>the effect of the Corporation’s support on access to capital and ways in which the Corporation is addressing identifiable market gaps or inefficiencies and what impact, if any, such support has on access to credit for a specific project, country, or sector;</text></subparagraph></paragraph> <paragraph commented="no" display-inline="no-display-inline" id="HEFDD2563EA384500969639B6A36732C7"><enum>(2)</enum><text display-inline="yes-display-inline">an explanation of any partnership arrangement or cooperation with a qualifying sovereign entity in support of each project;</text></paragraph> 
<paragraph id="H265E39106B124FE3A9E7F53638F775F8" commented="no"><enum>(3)</enum><text>projections of—</text> <subparagraph commented="no" id="HFAD9ACCC72364E0999E82197FF5174CB"><enum>(A)</enum><text display-inline="yes-display-inline">development outcomes, and whether or not support for projects are meeting the associated performance measures, both during the start-up phase and over the duration of the support, and to the extent practicable, measures of such development outcomes should be on a gender-disaggregated basis, such as changes in employment, access to financial services, enterprise development and growth, and composition of executive boards and senior leadership of enterprises receiving support under title II; and</text></subparagraph> 
<subparagraph id="H5F8E15E12D6E44A0AC6EFCA1E0F5214B" commented="no"><enum>(B)</enum><text>the value of private sector assets brought to bear relative to the amount of support provided by the Corporation and the value of any other public sector support; and</text></subparagraph></paragraph> <paragraph id="H989295E8675C47B8B906368D8E82F6C2" commented="no"><enum>(4)</enum><text>an assessment of the extent to which lessons learned from the monitoring and evaluation activities of the Corporation, and from annual reports from previous years compiled by the Corporation, have been applied to projects.</text></paragraph></subsection></section> 
<section id="H3D4A5FB787A142288F31F993DB8ADAF5"><enum>404.</enum><header>Publicly available project information</header><text display-inline="no-display-inline">The Corporation shall—</text> <paragraph id="H1B16026CE6614F0BBFC0C4664518D403"><enum>(1)</enum><text>maintain a user-friendly, publicly available, machine-readable database with detailed country-level information, including a description of the support provided by the Corporation under title II; and</text></paragraph> 
<paragraph id="H746E0E321BAA4CB989F9CD26E1FDD040"><enum>(2)</enum><text>include a clear link to information about each project supported by the Corporation under title II on the internet website of the Department of State, <quote>ForeignAssistance.gov</quote>, or a successor website or other online publication.</text></paragraph></section> <section id="HB975B355850D4FDAB4456A87CBBD334B"><enum>405.</enum><header>Engagement with investors</header> <subsection id="H56DF2F3484DB4580A91885AF1D76D48F"><enum>(a)</enum><header>In general</header><text>The Corporation, acting through the Chief Development Officer, shall, in cooperation with the Administrator of the United States Agency for International Development—</text> 
<paragraph id="H4B75D757413F45BAA0187060EB56CA1E"><enum>(1)</enum><text>develop a strategic relationship with private sector entities focused at the nexus of business opportunities and development priorities;</text></paragraph> <paragraph id="HF9A42B5ABD6A42FE970675E1F9C5DC65"><enum>(2)</enum><text>engage such entities and reduce business risks primarily through direct transaction support and facilitating investment partnerships;</text></paragraph> 
<paragraph id="HA67B933FF2B04BBD9DD22B99FC3B412E"><enum>(3)</enum><text>develop and support tools, approaches, and intermediaries that can mobilize private finance at scale in the developing world;</text></paragraph> <paragraph id="HC4C354EC79BF444B8E0D656C74D136D0"><enum>(4)</enum><text>pursue projects of all sizes, especially those that are small but designed for work in the most underdeveloped areas, including countries with chronic suffering as a result of extreme poverty, fragile institutions, or a history of violence; and</text></paragraph> 
<paragraph id="HE0DDEA9040034F589208AE62EF47965C" commented="no"><enum>(5)</enum><text>pursue projects consistent with the policy of the United States described in section 101 and the Joint Strategic Plan and the Mission Country Development Cooperation Strategies of the United States Agency for International Development.</text></paragraph></subsection> <subsection id="H39C34F24DFAC49DFB0D1720B88ACE8C9"><enum>(b)</enum><header>Assistance</header><text>To achieve the goals described in subsection (a), the Corporation shall—</text> 
<paragraph id="HD8229E0CE9DD4C76BFF4CF9FCB9CBC2F"><enum>(1)</enum><text>develop risk mitigation tools;</text></paragraph> <paragraph id="H3F1CBF09DE67474B9FED7E53C076A2FA"><enum>(2)</enum><text>provide transaction structuring support for blended finance models;</text></paragraph> 
<paragraph id="HEF047A4F292F487D942CF3F7E5F7ECA8"><enum>(3)</enum><text>support intermediaries linking capital supply and demand;</text></paragraph> <paragraph id="H223245A8CB2E4EB3B42CCBEB05B2D1BA"><enum>(4)</enum><text>coordinate with other Federal agencies to support or accelerate transactions;</text></paragraph> 
<paragraph id="HD630B06CFAFD46C5BA99C3A6751C90F3"><enum>(5)</enum><text>convene financial, donor, civil society, and public sector partners around opportunities for private finance within development priorities;</text></paragraph> <paragraph id="HFFD0B150EACA4A00A357DC0624E71F5D"><enum>(6)</enum><text>offer strategic planning and programming assistance to catalyze investment into priority sectors;</text></paragraph> 
<paragraph id="H49D3AC3FD3C54DC0ABEC1FDB36E19F3D"><enum>(7)</enum><text>provide transaction structuring support;</text></paragraph> <paragraph id="HD7C4C31098074F388078ADB375B02214"><enum>(8)</enum><text>deliver training and knowledge management tools for engaging private investors;</text></paragraph> 
<paragraph id="H77685DC98238435794C41CDF420A27FE"><enum>(9)</enum><text>partner with private sector entities that provide access to capital and expertise; and</text></paragraph> <paragraph commented="no" display-inline="no-display-inline" id="HB381F6DE50784D92907B86D44B7A3664"><enum>(10)</enum><text>identify and screen new investment partners.</text></paragraph></subsection> 
<subsection id="HA1D40158518C4BEC8D2BA5A84CE0BAB4" commented="no"><enum>(c)</enum><header>Technical assistance</header><text display-inline="yes-display-inline">The Corporation shall coordinate with the United States Agency for International Development and other agencies and departments, as necessary, on projects and programs supported by the Corporation that include technical assistance.</text></subsection></section> <section id="HDBA38801CEB9470582D787063764E7ED"><enum>406.</enum><header>Notification of support to be provided by the Corporation</header> <subsection id="H0AB3B5064AA04738BA3A0438C0397E3A"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">Not later than 15 days prior to the Corporation making a financial commitment associated with the provision of support under title II in an amount in excess of $10,000,000, the Chief Executive Officer of the Corporation shall submit to the Committee on Foreign Affairs and the Committee on Appropriations of the House of Representatives and the Committee on Foreign Relations and the Committee on Appropriations of the Senate a report in writing that contains the information required by subsection (b).</text></subsection> 
<subsection id="HC9C70F216E5045C494E148F3DFC4D13E"><enum>(b)</enum><header>Information required</header><text>The information required by this subsection includes—</text> <paragraph id="HCC2D0419B88A4F1FAB85FA4152C56648"><enum>(1)</enum><text>the amount of each such financial commitment;</text></paragraph> 
<paragraph id="HB3B36757B3BD4D978504AC8EE2EC73E8"><enum>(2)</enum><text>an identification of the recipient or beneficiary; and</text></paragraph> <paragraph id="H80C019A5FE5B4763BA355E2EF265C80C"><enum>(3)</enum><text>a description of the project, activity, or asset and the development goal or purpose to be achieved by providing support by the Corporation.</text></paragraph></subsection></section></title> 
<title id="HF2F9688A653F479B842F062AD39C1782" style="OLC"><enum>V</enum><header>Conditions, restrictions, and prohibitions</header> 
<section id="H47BDB02DDE0E4B308EA6461FC4945CD1"><enum>501.</enum><header>Limitations and preferences</header> 
<subsection commented="no" id="H9DE482E919474F0BB52A2AE5053678D7"><enum>(a)</enum><header>Limitation on support for single entity</header><text>No entity receiving support from the Corporation under title II may receive more than an amount equal to 5 percent of the Corporation’s maximum contingent liability authorized under section 303.</text></subsection> <subsection id="H96E97CC82EE4453D8BA5825F011CA1CF"><enum>(b)</enum><header>Preference for support for projects sponsored by United States persons</header> <paragraph id="H9C6F14D2DB52478597F5CC160DD75D2B"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">The Corporation should give preferential consideration to projects sponsored by or involving private sector entities that are United States persons.</text></paragraph> 
<paragraph id="HBF11D20CB84A48679E5D6624A2FB2C5B"><enum>(2)</enum><header>United States person defined</header><text display-inline="yes-display-inline">In this subsection, the term <term>United States person</term> means—</text> <subparagraph id="HC7B728FD386342EC8874BC9E50880BAD"><enum>(A)</enum><text display-inline="yes-display-inline">a United States citizen; or</text></subparagraph> 
<subparagraph id="H1C924AA1C04D486B90F0C2C3C83E1C69"><enum>(B)</enum><text display-inline="yes-display-inline">an entity significantly beneficially owned by individuals described in subparagraph (A).</text></subparagraph></paragraph></subsection> <subsection id="HE45005A4D2194C7EB612BD7C54F896CE"><enum>(c)</enum><header>Preference for support in countries in compliance with international trade obligations</header> <paragraph id="HA2D713E49F7F43A29A5FC8C2BA97F85C"><enum>(1)</enum><header>Consultations with United States Trade Representative</header><text display-inline="yes-display-inline">Not less frequently than annually, the Corporation shall consult with the United States Trade Representative with respect to the status of countries eligible to receive support from the Corporation under title II and the compliance of those countries with their international trade obligations.</text></paragraph> 
<paragraph id="HC1E1F45A91C94542BA071E46E50E0C96"><enum>(2)</enum><header>Preferential consideration</header><text display-inline="yes-display-inline">The Corporation shall give preferential consideration to providing support under title II for projects in countries in compliance with or making substantial progress coming into compliance with their international trade obligations.</text></paragraph></subsection> <subsection id="HF123391C6DDB467DADA85DE46DD754F5"><enum>(d)</enum><header>Worker rights</header> <paragraph id="H7CB96538159A49B392FA2FABC1B12A7E" commented="no"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">The Corporation should support projects under title II in countries that are taking steps to adopt and implement laws that extend internationally recognized worker rights (as defined in section 507 of the Trade Act of 1974 (<external-xref legal-doc="usc" parsable-cite="usc/19/2467">19 U.S.C. 2467</external-xref>)) to workers in that country, including any designated zone in that country.</text></paragraph> 
<paragraph id="H664A6683268E497294228E0FABC2CBAF" commented="no"><enum>(2)</enum><header>Required contract language</header><text display-inline="yes-display-inline">The Corporation shall also include the following language, in substantially the following form, in all contracts which the Corporation enters into with eligible investors to provide support under title II: <quote>The person receiving support agrees not to take actions to prevent employees of the foreign enterprise from lawfully exercising their right of association and their right to organize and bargain collectively. The person further agrees to observe applicable laws relating to a minimum age for employment of children, acceptable conditions of work with respect to minimum wages, hours of work, and occupational health and safety, and not to use forced labor or the worst forms of child labor (as defined in section 507 of the Trade Act of 1974 (<external-xref legal-doc="usc" parsable-cite="usc/19/2467">19 U.S.C. 2467(6)</external-xref>)). The person is not responsible under this paragraph for the actions of a foreign government.</quote>. </text></paragraph></subsection> <subsection id="H2D04B99ECA8A4DBDA4BF8FAA6F59272A" commented="no"><enum>(e)</enum><header>Environmental and social impact</header><text display-inline="yes-display-inline">The Board shall not vote in favor of any project proposed to be supported by the Corporation under title II that is likely to have significant adverse environmental or social impacts that are sensitive, diverse, or unprecedented, unless—</text> 
<paragraph id="HB86F1427C81B4426B2A419CB9606B25A" commented="no"><enum>(1)</enum><text>at least 60 days before the date of the vote, an environmental and social impact assessment or initial environmental and social audit, analyzing the environmental and social impacts of the proposed project and of alternatives to the proposed project, is completed; and</text></paragraph> <paragraph commented="no" display-inline="no-display-inline" id="H9780F1B0B978426ABDC9188518385E61"><enum>(2)</enum><text>such assessment or audit has been made available to the public of the United States, locally affected groups in the country in which the project will be carried out, and nongovernmental organizations in that country.</text></paragraph></subsection> 
<subsection id="H77E6525172F148DC859FB9A87BA57B3E"><enum>(f)</enum><header>Women’s economic empowerment</header><text display-inline="yes-display-inline">In utilizing its authorities under title II, the Corporation should consider the impacts of its support on women’s economic opportunities and outcomes and make efforts to mitigate gender gaps and maximize development impact by working to improve women’s economic opportunities.</text></subsection> <subsection id="HAE9267DA0CBE492F8C287DBF2200A92A"><enum>(g)</enum><header>Preference for provision of support in countries embracing private enterprise</header> <paragraph id="HCCFC8144CF5949B082A153BF71698111"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">The Corporation should give preferential consideration to projects for which support under title II may potentially be provided in countries the governments of which have demonstrated consistent support for economic policies that promote the development of private enterprise, both domestic and foreign, and maintaining the conditions that enable private enterprise to make its full contribution to the development of such countries, including—</text> 
<subparagraph id="HF61B4AB012914EC1B76678692427BC80"><enum>(A)</enum><text>market-based economic policies; </text></subparagraph> <subparagraph id="H45F60468CEEA4F35943A97AFE94CBAF8"><enum>(B)</enum><text>protecting private property rights; </text></subparagraph> 
<subparagraph id="H831C90A9ACC1443F942BA259EAA0656A"><enum>(C)</enum><text>respect for the rule of law; and </text></subparagraph> <subparagraph id="H21AA11693F0B407ABBD6A8FFE9B15B2D"><enum>(D)</enum><text>systems to combat corruption and bribery. </text></subparagraph></paragraph> 
<paragraph id="HC04A3C6D64E44C3298879ADD8F3AB649"><enum>(2)</enum><header>Sources of information</header><text>The Corporation should rely on both third-party indicators and United States Government information, such as the Department of State’s Investment Climate Statements, the Department of Commerce’s Country Commercial Guides, or the Millennium Challenge Corporation’s Constraints Analysis, to assess whether countries meet the conditions described in paragraph (1).</text></paragraph></subsection> <subsection id="HF0C423DE6D6E4893B2D8A9BAFD0059DC"><enum>(h)</enum><header>Consideration of foreign boycott participation</header><text display-inline="yes-display-inline">In providing support for projects under title II, the Corporation shall consider, using information readily available, whether the project is sponsored by or substantially affiliated with any person taking or knowingly agreeing to take actions, or having taken or knowingly agreed to take actions within the past 3 years, which demonstrate or otherwise evidence intent to comply with, further, or support any boycott fostered or imposed by any foreign country, or request to impose any boycott by any foreign country, against a country which is friendly to the United States and which is not itself the object of any form of boycott pursuant to United States law or regulation. </text></subsection></section> 
<section id="H09DF7FF5505C4C2A8808000043138FD6"><enum>502.</enum><header>Additionality and avoidance of market distortion</header> 
<subsection id="HFF2F76CD026E4FCCB23D3C097BD9FD8C"><enum>(a)</enum><header>In general</header><text>Before the Corporation provides support for a project under title II, the Corporation shall ensure that private sector entities are afforded an opportunity to support the project.</text></subsection> <subsection id="H5313D8293C984E19BD1164EEB8AF05CD"><enum>(b)</enum><header>Safeguards, policies, and guidelines</header><text>The Corporation shall develop appropriate safeguards, policies, and guidelines to ensure that support provided by the Corporation under title II—</text> 
<paragraph id="H3241F22C3A44499F90612CB2C5FDB879"><enum>(1)</enum><text>supplements and encourages, but does not compete with, private sector support; </text></paragraph> <paragraph id="H7326CB9542664F28ABD1BD5E65701D48"><enum>(2)</enum><text>operates according to internationally recognized best practices and standards with respect to ensuring the avoidance of market distorting government subsidies and the crowding out of private sector lending; and</text></paragraph> 
<paragraph id="H1F7D2BD446D7491992C8238EFD0380AF"><enum>(3)</enum><text display-inline="yes-display-inline">does not have a significant adverse impact on United States employment.</text></paragraph></subsection></section> <section id="H32BBAEFECFC74F719693104F294A1A64"><enum>503.</enum><header>Prohibition on support in sanctioned countries and with sanctioned persons</header> <subsection id="HE8CA31B1BBA543419F195FA2D25BF278"><enum>(a)</enum><header>In general</header><text>The Corporation is prohibited from providing support under title II in a country the government of which the Secretary of State has determined has repeatedly provided support for acts of international terrorism for purposes of—</text> 
<paragraph id="H6015D5C2661648FF87F332FA3903DCB2"><enum>(1)</enum><text>section 6(j)(1)(A) of the Export Administration Act of 1979 (<external-xref legal-doc="usc" parsable-cite="usc/50/4605">50 U.S.C. 4605(j)(1)(A)</external-xref>) (as continued in effect pursuant to the International Emergency Economic Powers Act (<external-xref legal-doc="usc" parsable-cite="usc/50/1701">50 U.S.C. 1701</external-xref> et seq.));</text></paragraph> <paragraph id="H1D39BA5E6F8E484191C88FB2758736A7"><enum>(2)</enum><text>section 620A(a) of the Foreign Assistance Act of 1961 (<external-xref legal-doc="usc" parsable-cite="usc/22/2371">22 U.S.C. 2371(a)</external-xref>);</text></paragraph> 
<paragraph id="H166FFACD0DD847A6AABC3771229DE200"><enum>(3)</enum><text>section 40(d) of the Arms Export Control Act (<external-xref legal-doc="usc" parsable-cite="usc/22/2780">22 U.S.C. 2780(d)</external-xref>); or</text></paragraph> <paragraph id="HA9B90CB053AC4D059362A1E4D6E5D6A2"><enum>(4)</enum><text>any other provision of law.</text></paragraph></subsection> 
<subsection id="HACD0BCB7588A424E855435A17DF70FE8"><enum>(b)</enum><header>Prohibition on support of sanctioned persons</header><text>The Corporation is prohibited from supporting a project under title II that directly benefits any entity subject to sanctions imposed by the United States.</text></subsection> <subsection id="H7904961CCB844BBBAA88523E015FBCE2"><enum>(c)</enum><header>Prohibition on support of activities subject to sanctions</header><text display-inline="yes-display-inline">The Corporation shall require any entity or party receiving support under title II to certify it, any entity owned or controlled by the entity or party, or any entity or party which owns or otherwise manages the entity or party receiving support, does not conduct any activities subject to sanctions imposed by the United States.</text></subsection></section> 
<section id="H1F033AC918724CAE8FC2CCD926F17ADF"><enum>504.</enum><header>Penalties for misrepresentation, fraud, and bribery</header><text display-inline="no-display-inline">Subsections (g), (l), and (n) of section 237 of the Foreign Assistance Act of 1961 (<external-xref legal-doc="usc" parsable-cite="usc/22/2197">22 U.S.C. 2197</external-xref>) shall apply with respect to the Corporation to the same extent and in the same manner as such subsections applied with respect to the Overseas Private Investment Corporation on the day before the date of the enactment of this Act.</text></section></title> <title id="HAFD7B3F3507648478EC9F426781E3964"><enum>VI</enum><header>Transitional provisions</header> <section id="H5DE2ED7A895F4DEE83F423A9F4476D49"><enum>601.</enum><header>Definitions</header><text display-inline="no-display-inline">In this title:</text> 
<paragraph id="HA35861C5D506462B8C1D4F775B9C232F"><enum>(1)</enum><header>Agency</header><text>The term <term>agency</term> includes any entity, organizational unit, program, or function.</text></paragraph> <paragraph id="H4D033954635F4887B35C90EAAB8F4763"><enum>(2)</enum><header>Transition period</header><text>The term <term>transition period</term> means the period—</text> 
<subparagraph id="H1268418723604785AD3AD2ED4FF24B18"><enum>(A)</enum><text>beginning on the date of the enactment of this Act; and</text></subparagraph> <subparagraph id="HD3746EF5AF864A2F8D7C5CC95E4878D3"><enum>(B)</enum><text>ending on the effective date of the reorganization plan required by section 602(e).</text></subparagraph></paragraph></section> 
<section id="H11A3609DADC94E2999FEE4D4654A6F33"><enum>602.</enum><header>Reorganization plan</header> 
<subsection id="H0A9BE34BB7F9410EA3AD6098E4E735CA"><enum>(a)</enum><header>Submission of plan</header> 
<paragraph id="HE189B689AA944A0EAAB4E5DC8E77344D"><enum>(1)</enum><header>In general</header><text>Not later than 120 days after the date of the enactment of this Act, the President shall transmit to the appropriate congressional committees a reorganization plan regarding the following:</text> <subparagraph id="HF86D3614756D4878853FDC7918F05051"><enum>(A)</enum><text>The transfer of agencies, personnel, assets, and obligations to the Corporation pursuant to this title.</text></subparagraph> 
<subparagraph id="HA63C164A282D494E9BEA80AE627CCCDC"><enum>(B)</enum><text>Any consolidation, reorganization, or streamlining of agencies transferred to the Corporation pursuant to this title.</text></subparagraph> <subparagraph id="HA87FDDECD26F452F88F8EF288B4F0BB4" commented="no"><enum>(C)</enum><text display-inline="yes-display-inline">Any efficiencies or cost savings achieved as a result of the transfer of agencies, personnel, assets, and obligations to the Corporation pursuant to this title, including reductions in unnecessary or duplicative operations, assets, and personnel.</text></subparagraph></paragraph> 
<paragraph id="H8D5F76392373436781C66A4BE8763C44" commented="no"><enum>(2)</enum><header>Consultation</header><text display-inline="yes-display-inline">Not later than 15 days before the date on which the plan is transmitted pursuant to this subsection, the President shall consult with the appropriate congressional committees on such plan. </text></paragraph></subsection> <subsection id="HED151FC4C9BB44518498C19F56F2933C"><enum>(b)</enum><header>Plan elements</header><text>The plan transmitted under subsection (a) shall contain, consistent with this Act, such elements as the President deems appropriate, including the following:</text> 
<paragraph id="HCF12BA19C88340ECAF564A13A85ADD24"><enum>(1)</enum><text>Identification of any functions of agencies transferred to the Corporation pursuant to this title that will not be transferred to the Corporation under the plan.</text></paragraph> <paragraph id="H844D051254B748D684A1710D37962F6C"><enum>(2)</enum><text>Specification of the steps to be taken to organize the Corporation, including the delegation or assignment of functions transferred to the Corporation.</text></paragraph> 
<paragraph id="H7B149271B44D4E8E8A6E42DEFBF73A75"><enum>(3)</enum><text>Specification of the funds available to each agency that will be transferred to the Corporation as a result of transfers under the plan.</text></paragraph> <paragraph id="H809996876AFA46D285A3B066C2E46467"><enum>(4)</enum><text>Specification of the proposed allocations within the Corporation of unexpended funds transferred in connection with transfers under the plan.</text></paragraph> 
<paragraph id="HE9E25B8292E74BB0A503C24C0601D2FD"><enum>(5)</enum><text>Specification of any proposed disposition of property, facilities, contracts, records, and other assets and obligations of agencies transferred under the plan.</text></paragraph></subsection> <subsection id="HB82B67ED9ED64CE0A2ADA05BE13408A1"><enum>(c)</enum><header>Report on coordination</header> <paragraph id="H3A58787A40D24DA7A877456AE4C6B296"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">The transfer of functions authorized by this section may occur only after the President and Chief Executive Officer of the Overseas Private Investment Corporation and the Administrator of the United States Agency for International Development jointly submit to the Committee on Foreign Affairs and Committee on Appropriations of the House of Representatives and Committee on Foreign Relations and Committee on Appropriations of the Senate a report in writing that contains the information required by paragraph (2).</text></paragraph> 
<paragraph id="HC13555F60CB345858671241C15CC923D"><enum>(2)</enum><header>Information required</header><text>The information required by this paragraph includes a description in detail of the procedures to be followed after the transfer of functions authorized by this section have occurred to coordinate between the Corporation and the United States Agency for International Development in carrying out the functions so transferred.</text></paragraph></subsection> <subsection id="HA5C814345CFB44248D7CE71C7695AC3A"><enum>(d)</enum><header>Modification of plan</header><text>The President shall consult with the appropriate congressional committees before making any material modification or revision to the plan before the plan becomes effective in accordance with subsection (e).</text></subsection> 
<subsection id="H2A1E4073D3364716A420ED2D5ED3944E"><enum>(e)</enum><header>Effective date</header> 
<paragraph id="HFCC7322BFFAC46CABC743CF5A0F4B48F"><enum>(1)</enum><header>In general</header><text>The reorganization plan described in this section, including any modifications or revisions of the plan under subsection (c), shall become effective for an agency on the date specified in the plan (or the plan as modified pursuant to subsection (d)), except that such date may not be earlier than 90 days after the date the President has transmitted the reorganization plan to the appropriate congressional committees pursuant to subsection (a).</text></paragraph> <paragraph id="HA600F4F86C51461CAB290CB1577B0C13"><enum>(2)</enum><header>Statutory construction</header><text>Nothing in this subsection may be construed to require the transfer of functions, personnel, records, balances of appropriations, or other assets of an agency on a single date.</text></paragraph></subsection></section> 
<section id="HCAB5129DF86A47098AD8C9BCF01C89BA"><enum>603.</enum><header>Transfer of functions</header> 
<subsection id="H2B15EFD7B3884564BB148FAA66DBBE24"><enum>(a)</enum><header>In general</header><text>Effective at the end of the transition period, there shall be transferred to the Corporation the functions, personnel, assets, and liabilities of—</text> <paragraph id="HE74FED093A924260A8C80F6E73C528AD"><enum>(1)</enum><text>the Overseas Private Investment Corporation, as in existence on the day before the date of the enactment of this Act; and</text></paragraph> 
<paragraph id="HF9AD862951414C858382049DC173481A"><enum>(2)</enum><text>the following elements of the United States Agency for International Development:</text> <subparagraph id="H59F74E23581D45B8BAC9A954D53887D1"><enum>(A)</enum><text>The Development Credit Authority.</text></subparagraph> 
<subparagraph id="H429B4805A025456D966F413832EE783F" commented="no"><enum>(B)</enum><text>The existing Legacy Credit portfolio under the Urban Environment Program and any other direct loan programs and non-Development Credit Authority guaranty programs authorized by the Foreign Assistance Act of 1961 (<external-xref legal-doc="usc" parsable-cite="usc/22/2151">22 U.S.C. 2151</external-xref> et seq.) or other predecessor Acts, as in existence on the date of the enactment of this Act, other than any sovereign loan guaranties.</text></subparagraph></paragraph></subsection> <subsection id="H6C29F9783CEC4B07A9789BD4497BD187" commented="no"><enum>(b)</enum><header>Additional transfer authority</header><text display-inline="yes-display-inline">Effective at the end of the transition period, there is authorized to be transferred to the Corporation the functions, personnel, assets, and liabilities of the following elements of the United States Agency for International Development:</text> 
<paragraph id="HAE2081ACDB374260B255F055ACA4EECA"><enum>(1)</enum><text>The Office of Private Capital and Microenterprise.</text></paragraph> <paragraph id="H50FD5F88B1FA4CAF84C9457DD0CD8D82"><enum>(2)</enum><text>The enterprise funds.</text></paragraph></subsection> 
<subsection id="H15AFB805DE3D4328808ABC4DA20DE726" commented="no"><enum>(c)</enum><header>Sovereign loan guaranty transfer</header> 
<paragraph id="H29796CFFFD8E4FD4A3DB1CDA7FD81C0A"><enum>(1)</enum><header>In general</header><text>Effective at the end of the transition period, there is authorized to be transferred to the Corporation or any other appropriate department or agency of the United States Government the loan accounts and the legal rights and responsibilities for the sovereign loan guaranty portfolio held by the United States Agency for International Development as in existence on the day before the date of the enactment of this Act. </text></paragraph> <paragraph id="H7ABA135046A44381A3A510BD5C145EBE"><enum>(2)</enum><header>Inclusion in reorganization plan</header><text>The President shall include in the reorganization plan submitted under section 602 a description of the transfer authorized under paragraph (1).</text></paragraph></subsection> 
<subsection id="H04D9177F217F43AF975829EC702BF7C9" commented="no"><enum>(d)</enum><header>Bilateral agreements</header><text display-inline="yes-display-inline">Any bilateral agreement of the United States in effect on the date of the enactment of this Act that serves as the basis for programs of the Overseas Private Investment Corporation and the Development Credit Authority shall be considered as satisfying the requirements of section 301(a).</text></subsection> <subsection id="H49AD617241204CFE9CB0728386F8C782"><enum>(e)</enum><header>Transition</header><text>During the transition period, the agencies specified in subsection (a) shall—</text> 
<paragraph id="HD292D22883414074951C06EAE6EBD24C"><enum>(1)</enum><text>continue to administer the assets and obligations of those agencies; and</text></paragraph> <paragraph id="H8C4E3EF6BE554E9F9F885A57A22FAA80"><enum>(2)</enum><text>carry out such programs and activities authorized under this Act as may be determined by the President.</text></paragraph></subsection></section> 
<section id="HFE57D07BD57F49F1AEAEFFAE95CF8FDF" commented="no"><enum>604.</enum><header>Termination of Overseas Private Investment Corporation and other superceded authorities</header><text display-inline="no-display-inline">Effective at the end of the transition period—</text> <paragraph id="H575EA03EC96744C583DC79FB1A22188A" commented="no"><enum>(1)</enum><text>the Overseas Private Investment Corporation is terminated; and</text></paragraph> 
<paragraph id="H4120FB995FDF445BBF9B949764C4C5E5" commented="no"><enum>(2)</enum><text>title IV of chapter 2 of part I of the Foreign Assistance Act of 1961 (<external-xref legal-doc="usc" parsable-cite="usc/22/2191">22 U.S.C. 2191</external-xref> et seq.) (other than subsections (g), (l), and (n) of section 237 of that Act) is repealed.</text></paragraph></section> <section id="HD24004C0581548DDBFC441E5E351FC7F"><enum>605.</enum><header>Transitional authorities</header> <subsection id="H4E5575F23A8A4AD18B4D20C0E76BD02B"><enum>(a)</enum><header>Provision of assistance by officials</header><text>Until the transfer of an agency to the Corporation under section 603, any official having authority over or functions relating to the agency on the day before the date of the enactment of this Act shall provide to the Corporation such assistance, including the use of personnel and assets, as the Corporation may request in preparing for the transfer and integration of the agency into the Corporation.</text></subsection> 
<subsection id="HA9C3E201FE8A485690C414810C5561D8"><enum>(b)</enum><header>Services and personnel</header><text>During the transition period, upon the request of the Corporation, the head of any executive agency may, on a reimbursable or non-reimbursable basis, provide services or detail personnel to assist with the transition.</text></subsection> <subsection id="H4B960989AD5041E18A876BC4B18044A9"><enum>(c)</enum><header>Acting officials</header> <paragraph id="HB46C4E546E4349BC80A1C8C885AC58BE"><enum>(1)</enum><header>In general</header><text>During the transition period, pending the advice and consent of the Senate to the appointment of an officer required by this Act to be appointed by and with such advice and consent, the President may designate any officer whose appointment was required to be made by and with such advice and consent and who was such an officer before the date of the enactment of this Act (and who continues in office) or immediately before such designation, to act in such office until the same is filled as provided in this Act. While so acting, such officers shall receive compensation at the higher of—</text> 
<subparagraph id="H10A65289063241C7BB7BE62EFF4E38B2"><enum>(A)</enum><text>the rates provided by this Act for the respective offices in which they act; or</text></subparagraph> <subparagraph id="HDDCBCAB2144B49AFB6F0EDB163E07013"><enum>(B)</enum><text>the rates provided for the offices held at the time of designation.</text></subparagraph></paragraph> 
<paragraph id="HEBF8F663BA9D45E992675E7237E1D7D4"><enum>(2)</enum><header>Rule of construction</header><text>Nothing in this Act shall be construed to require the advice and consent of the Senate to the appointment by the President to a position in the Corporation of any officer whose agency is transferred to the Corporation pursuant to this title and whose duties following such transfer are germane to those performed before such transfer.</text></paragraph></subsection> <subsection id="H18A5CAED9AF8468AB2E285F80323608B"><enum>(d)</enum><header>Transfer of personnel, assets, obligations, and functions</header><text>Upon the transfer of an agency to the Corporation under section 603—</text> 
<paragraph id="H37CF570D19F54A48B2D3B41AE53E65B8"><enum>(1)</enum><text>the personnel, assets, and obligations held by or available in connection with the agency shall be transferred to the Corporation for appropriate allocation, subject to the approval of the Director of the Office of Management and Budget and in accordance with section 1531(a)(2) of title 31, United States Code; and</text></paragraph> <paragraph id="H288E0AE25B4141F0BCE90B7CD2C70991"><enum>(2)</enum><text>the Corporation shall have all functions—</text> 
<subparagraph id="H8AEFE09D5AE04524BFFAC060AA278240"><enum>(A)</enum><text>relating to the agency that any other official could by law exercise in relation to the agency immediately before such transfer; and</text></subparagraph> <subparagraph id="H9FCAEF98DDD04161BFB6CFB9CEA3DB9C"><enum>(B)</enum><text>vested in the Corporation by this Act or other law.</text></subparagraph></paragraph></subsection></section> 
<section id="HFC77092336514764944D035E9950D0A0"><enum>606.</enum><header>Savings provisions</header> 
<subsection id="H3F048A40E50D4248943AB1FDB1122FBB"><enum>(a)</enum><header>Completed administrative actions</header> 
<paragraph id="H7FC916A391074EE7A9D154E52947BE3B"><enum>(1)</enum><header>In general</header><text>Completed administrative actions of an agency shall not be affected by the enactment of this Act or the transfer of such agency to the Corporation under section 603, but shall continue in effect according to their terms until amended, modified, superseded, terminated, set aside, or revoked in accordance with law by an officer of the United States or a court of competent jurisdiction, or by operation of law.</text></paragraph> <paragraph id="HED71377B55184CFE9C706F8614905BE5"><enum>(2)</enum><header>Completed administrative action defined</header><text>In this subsection, the term <term>completed administrative action</term> includes orders, determinations, rules, regulations, personnel actions, permits, agreements, grants, contracts, certificates, policies, licenses, registrations, and privileges.</text></paragraph></subsection> 
<subsection id="H43960494C21B4F49BCFF5A7034AEB097"><enum>(b)</enum><header>Pending proceedings</header> 
<paragraph id="H2E2139C4C3AF4B4199AE29323BF6571A"><enum>(1)</enum><header>In general</header><text>Pending proceedings in an agency, including notices of proposed rulemaking, and applications for licenses, permits, certificates, grants, and financial assistance, shall continue notwithstanding the enactment of this Act or the transfer of the agency to the Corporation, unless discontinued or modified under the same terms and conditions and to the same extent that such discontinuance could have occurred if such enactment or transfer had not occurred.</text></paragraph> <paragraph id="H233B7E5A23354D9D807E6E370E207187"><enum>(2)</enum><header>Orders</header><text>Orders issued in proceedings described in paragraph (1), and appeals therefrom, and payments made pursuant to such orders, shall issue in the same manner and on the same terms as if this Act had not been enacted or the agency had not been transferred, and any such orders shall continue in effect until amended, modified, superseded, terminated, set aside, or revoked by an officer of the United States or a court of competent jurisdiction, or by operation of law.</text></paragraph></subsection> 
<subsection id="H90911903005B4D3A915AE95A7B6A9E84"><enum>(c)</enum><header>Pending civil actions</header><text>Pending civil actions shall continue notwithstanding the enactment of this Act or the transfer of an agency to the Corporation, and in such civil actions, proceedings shall be had, appeals taken, and judgments rendered and enforced in the same manner and with the same effect as if such enactment or transfer had not occurred.</text></subsection> <subsection id="HD7732E22660D4052813F90792B298C81"><enum>(d)</enum><header>References</header><text>References relating to an agency that is transferred to the Corporation under section 603 in statutes, Executive orders, rules, regulations, directives, or delegations of authority that precede such transfer or the date of the enactment of this Act shall be deemed to refer, as appropriate, to the Corporation, to its officers, employees, or agents, or to its corresponding organizational units or functions. Statutory reporting requirements that applied in relation to such an agency immediately before the effective date of this Act shall continue to apply following such transfer if they refer to the agency by name.</text></subsection> 
<subsection id="H82A0FDDAD58343ED9D8A2D411F07161C"><enum>(e)</enum><header>Employment provisions</header> 
<paragraph id="HF739F4B1F93A4B9A94E858AFB4CD8C8C"><enum>(1)</enum><header>Regulations</header><text>The Corporation may, in regulations prescribed jointly with the Director of the Office of Personnel Management, adopt the rules, procedures, terms, and conditions, established by statute, rule, or regulation before the date of the enactment of this Act, relating to employment in any agency transferred to the Corporation under section 603.</text></paragraph> <paragraph id="H42DAC8D87F674A11BD369E870D3B1D3B"><enum>(2)</enum><header>Effect of transfer on conditions of employment</header><text>Except as otherwise provided in this Act, or under authority granted by this Act, the transfer pursuant to this title of personnel shall not alter the terms and conditions of employment, including compensation, of any employee so transferred.</text></paragraph></subsection> 
<subsection id="H9E97E26965994ADEBF21FE3C68E3CFD7"><enum>(f)</enum><header>Statutory reporting requirements</header><text>Any statutory reporting requirement that applied to an agency transferred to the Corporation under this title immediately before the date of the enactment of this Act shall continue to apply following that transfer if the statutory requirement refers to the agency by name.</text></subsection></section> <section id="H0BF838C9C687423FA80B423EE588A4C0"><enum>607.</enum><header>Other terminations</header><text display-inline="no-display-inline">Except as otherwise provided in this Act, whenever all the functions vested by law in any agency have been transferred pursuant to this title, each position and office the incumbent of which was authorized to receive compensation at the rates prescribed for an office or position at level II, III, IV, or V of the Executive Schedule under subchapter II of <external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/5/53">chapter 53</external-xref> of title 5, United States Code, shall terminate.</text></section> 
<section id="HF597A1741D2D4799ACA2A7049C85F908"><enum>608.</enum><header>Incidental transfers</header><text display-inline="no-display-inline">The Director of the Office of Management and Budget, in consultation with the Corporation, is authorized and directed to make such additional incidental dispositions of personnel, assets, and liabilities held, used, arising from, available, or to be made available, in connection with the functions transferred by this title, as the Director may determine necessary to accomplish the purposes of this Act.</text></section> <section id="H5E8EA7205ABA4C1EA3176536AD7B73ED"><enum>609.</enum><header>Reference</header><text display-inline="no-display-inline">With respect to any function transferred under this title (including under a reorganization plan under section 602) and exercised on or after the date of the enactment of this Act, reference in any other Federal law to any department, commission, or agency or any officer or office the functions of which are so transferred shall be deemed to refer to the Corporation or official or component of the Corporation to which that function is so transferred.</text></section>

<subsection commented="no" id="H61A23BE6E5C44DE59980BDF101A3D538"><enum>(v)</enum><header>Energy Independence and Security Act of 2007</header><text>Title IX of the Energy Independence and Security Act of 2007 (<external-xref legal-doc="usc" parsable-cite="usc/42/17321">42 U.S.C. 17321</external-xref> et seq.) is amended—</text> <paragraph commented="no" id="HAF8ED038F122446DB8596CF92FBFCA6A"><enum>(1)</enum><text>in section 914 (<external-xref legal-doc="usc" parsable-cite="usc/42/17334">42 U.S.C. 17334</external-xref>)—</text>
