		<official-title>To provide for nonpreemption of measures by State and local governments to divest from entities
			 that engage in commerce-related or investment-related boycott, divestment,
			 or sanctions activities targeting Israel, and for other purposes.</official-title>

	<legis-body>
		<section id="S1" section-type="section-one"><enum>1.</enum><header>Short title</header>
 <text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Combating BDS Act of 2017</short-title></quote>.</text>
		</section><section id="idcbd8a3ad05fd46e482f4be17f4bcfd0d"><enum>2.</enum><header>Nonpreemption of measures by State and local governments to divest from entities that engage
			 in certain  boycott, divestment,	or   sanctions activities targeting
			 Israel</header>
 <subsection id="id1543e06bbca04323801ebe848c073734"><enum>(a)</enum><header>State and local measures</header><text display-inline="yes-display-inline">Notwithstanding any other provision of law, a State or local government may adopt and enforce measures that meet the requirements of subsection (b) to divest the assets of the State or local government from, prohibit investment of the assets of the State or local government in, or restrict contracting by the State or local government for goods and services with—</text>
 <paragraph id="id18325c18de444f35b77facdb8cf9985f"><enum>(1)</enum><text>an entity that the State or local government determines, using credible information available to the public, knowingly engages in a commerce-related or investment-related boycott, divestment, or sanctions activity targeting Israel;</text>
 </paragraph><paragraph id="ida88662fcb017408ba14cf9ce5aab02b0"><enum>(2)</enum><text>a successor entity or subunit of an entity described in paragraph (1); or</text> </paragraph><paragraph id="id4f080b5f68e34534bf5ae3ce3110dc36"><enum>(3)</enum><text>an entity that owns or controls, is owned or controlled by, or is under common ownership or control with, an entity described in paragraph (1).</text>
 </paragraph></subsection><subsection id="id942da532884f436e87eabfd91fedaef6"><enum>(b)</enum><header>Requirements</header><text>A State or local government that seeks to adopt or enforce a measure under subsection (a) shall meet the following requirements:</text>
 <paragraph id="id8024fe124a124dbfbc59955e9ab05410"><enum>(1)</enum><header>Notice</header><text>The State or local government shall provide written notice to each entity to which a measure under subsection (a) is to be applied.</text>
 </paragraph><paragraph id="iddd1aad7f20fe4c9d8a7abdd62d756b53"><enum>(2)</enum><header>Timing</header><text>The measure shall apply to an entity not earlier than the date that is 90 days after the date on which written notice is provided to the entity under paragraph (1).</text>
 </paragraph><paragraph id="id872291a99244440cbb5856a64ea4638c"><enum>(3)</enum><header>Opportunity for comment</header><text>The State or local government shall provide an opportunity to comment in writing to each entity to which a measure is to be applied. If the entity demonstrates to the State or local government that the entity has not engaged in a commerce-related or investment-related boycott, divestment, or sanctions activity targeting Israel, the measure shall not apply to the entity.</text>
 </paragraph><paragraph id="idf02003ca174c4edc8835369b847cd1e0"><enum>(4)</enum><header>Sense of Congress on avoiding erroneous targeting</header><text>It is the sense of Congress that a State or local government should not adopt a measure under subsection (a) with respect to an entity unless the State or local government has made every effort to avoid erroneously targeting the entity and has verified that the entity engages in a commerce-related or investment-related boycott, divestment, or sanctions activity targeting Israel.</text>
				</paragraph></subsection><subsection id="id0576cd7961eb4db3a81f2c9505ec2f50"><enum>(c)</enum><header>Notice to Department of Justice</header>
 <paragraph id="id24BAF34739AE43939F807FCA3C584E5F"><enum>(1)</enum><header>In general</header><text>Except as provided in paragraph (2), not later than 30 days after adopting a measure described in subsection (a), the State or local government that adopted the measure shall submit written notice to the Attorney General describing the measure.</text>
 </paragraph><paragraph id="id2743417CC54740E082C17A89F5AD6FFF"><enum>(2)</enum><header>Existing measures</header><text>With respect to measures described in subsection (a) adopted before the date of the enactment of this Act, the State or local government that adopted the measure shall submit written notice to the Attorney General describing the measure not later than 30 days after the date of the enactment of this Act.</text>
 </paragraph></subsection><subsection id="idea7b517f74cf45cfa65d56b46d7e2427"><enum>(d)</enum><header>Nonpreemption</header><text>A measure of a State or local government that is consistent with subsection (a) is not preempted by any Federal law.</text>
			</subsection><subsection id="idd3d818dbe45f4a58bcd54eeb81dba0a5"><enum>(e)</enum><header>Effective date</header>
 <text>This section applies to any measure adopted by a State or local government before, on, or after the date of the enactment of this Act.</text>
			</subsection><subsection id="iddc1c5cb5d0a1498a8d19f5df4a06b60b"><enum>(f)</enum><header>Prior enacted measures</header>
 <paragraph id="id93c830608cab4a8da0c955c641a8fb8e"><enum>(1)</enum><header>In general</header><text>Notwithstanding any other provision of this section or any other provision of law, and except as provided in paragraph (2), a State or local government may enforce a measure described in subsection (a) adopted by the State or local government before the date of the enactment of this Act without regard to the requirements of subsection (b).</text>
 </paragraph><paragraph commented="no" display-inline="no-display-inline" id="idfee9939dc910431db77d464cc8841ebc"><enum>(2)</enum><header>Application of notice and opportunity for comment</header><text>A measure described in paragraph (1) shall be subject to the requirements of subsection (b) on and after the date that is 2 years after the date of the enactment of this Act.</text>
				</paragraph></subsection><subsection id="id99f3c04c684f40b38a8cff25710703c6"><enum>(g)</enum><header>Rules  of  construction</header>
 <paragraph id="id6FCA89D7A4E74E10884FF66504C6E8FF"><enum>(1)</enum><header>Authority of States</header><text>Nothing in this section shall be construed to abridge the authority of a State to issue and enforce rules governing the safety, soundness, and solvency of a financial institution subject to its jurisdiction or the business of insurance pursuant to the Act of March 9, 1945 (59 Stat. 33, chapter 20; <external-xref legal-doc="usc" parsable-cite="usc/15/1011">15 U.S.C. 1011</external-xref> et seq.) (commonly known as the <quote>McCarran-Ferguson Act</quote>).</text>
 </paragraph><paragraph id="id28fde406434b4532be171941ad040582"><enum>(2)</enum><header>Policy of the United States</header><text>Nothing in this section shall be construed to alter the established policy of the United States concerning final status issues associated with the Arab-Israeli conflict, including border delineation, that can only be resolved through direct negotiations between the parties.</text>
 </paragraph><paragraph id="id344762971B6E4AB0973D5535C06F4AB1"><enum>(3)</enum><header>Scope of nonpreemption</header><text>Nothing in this section shall be construed as establishing a basis for preempting or implying preemption of State measures relating to boycott, divestment, or sanctions activity targeting Israel that are outside the scope of subsection (a).</text>
 </paragraph></subsection><subsection id="id1f9c0c0c870343f0b79e052c07995d5c"><enum>(h)</enum><header>Definitions</header><text>In this section:</text> <paragraph id="id0a8e8f4ca5b6490b9d0ccf129b19cd7b"><enum>(1)</enum><header>Assets</header> <subparagraph id="idf5d6cd3ea6d64aceb4f35ec21c4e5ca7"><enum>(A)</enum><header>In general</header><text>Except as provided in subparagraph (B), the term <term>assets</term> means any pension, retirement, annuity, or endowment fund, or similar instrument, that is controlled by a State or local government.</text>
 </subparagraph><subparagraph id="idb389601a8b3146b09b357ac36c9ca125"><enum>(B)</enum><header>Exception</header><text>The term <term>assets</term> does not include employee benefit plans covered by title I of the Employee Retirement Income Security Act of 1974 (<external-xref legal-doc="usc" parsable-cite="usc/29/1001">29 U.S.C. 1001</external-xref> et seq.).</text>
 </subparagraph></paragraph><paragraph id="id2976036ae05a4512892f084215f073af"><enum>(2)</enum><header>Boycott, divestment, or sanctions activity targeting Israel</header><text>The term <term>boycott, divestment, or sanctions activity targeting Israel</term> means any activity that is intended to penalize, inflict economic harm on, or otherwise limit commercial relations with Israel or persons doing business in Israel or in Israeli-controlled territories for purposes of coercing political action by, or imposing policy positions on, the Government of Israel.</text>
 </paragraph><paragraph id="id537de3fd9dcf4ee0bf278d05426fc295"><enum>(3)</enum><header>Entity</header><text>The term <term>entity</term> includes—</text> <subparagraph id="id2E5A56BAD16C4672BCFC63962E86773E"><enum>(A)</enum><text>any corporation, company, business association, partnership, or trust; and</text>
 </subparagraph><subparagraph id="id4ca785eaae474f50ac945036d62d1061"><enum>(B)</enum><text>any governmental entity or instrumentality of a government, including a multilateral development institution (as defined in section 1701(c)(3) of the International Financial Institutions Act (<external-xref legal-doc="usc" parsable-cite="usc/22/262r">22 U.S.C. 262r(c)(3)</external-xref>)).</text>
 </subparagraph></paragraph><paragraph id="ida64e2a3e03f84de29432e5f2065b6e33"><enum>(4)</enum><header>Investment</header><text>The term <term>investment</term> includes—</text> <subparagraph id="id678ed3d1f1e74869814cf00528e02811"><enum>(A)</enum><text>a commitment or contribution of funds or property;</text>
 </subparagraph><subparagraph id="idb6406311d35549ef992991f7a0501ebc"><enum>(B)</enum><text>a loan or other extension of credit; and</text> </subparagraph><subparagraph id="idd57497ed6964401a8a2402ad9dc99c6c"><enum>(C)</enum><text>the entry into or renewal of a contract for goods or services.</text>
 </subparagraph></paragraph><paragraph id="ide6459e0bf5fa4223ac8dce9959316978"><enum>(5)</enum><header>State</header><text>The term <term>State</term> means each of the several States, the District of Columbia, the Commonwealth of Puerto Rico, the Commonwealth of the Northern Mariana Islands, American Samoa, Guam, the United States Virgin Islands, and any other territory or possession of the United States.</text>
 </paragraph><paragraph id="idab12d3cbf0824826bc4e3e5c9eedaf60"><enum>(6)</enum><header>State or local government</header><text>The term <term>State or local government</term> includes—</text> <subparagraph id="idc0d91c0958294e4d819e1b75217e20de"><enum>(A)</enum><text>any State and any agency or instrumentality thereof;</text>
 </subparagraph><subparagraph id="idb2c46d75108c46b0870a6a3da8072ba9"><enum>(B)</enum><text>any local government within a State and any agency or instrumentality thereof; and</text>
 </subparagraph><subparagraph id="id4e16024ab0594628b753f87d9cb6182b"><enum>(C)</enum><text>any other governmental instrumentality of a State or locality.</text> </subparagraph></paragraph></subsection></section><section id="id8123a25885994204b0433b7a04309bcb"><enum>3.</enum><header>Safe harbor for changes of investment policies by asset managers</header> <text display-inline="no-display-inline">Section 13(c)(1) of the Investment Company Act of 1940 (<external-xref legal-doc="usc" parsable-cite="usc/15/80a-13">15 U.S.C. 80a–13(c)(1)</external-xref>) is amended—</text>
 <paragraph id="id6e920303c25a4f3388b0afcda1c6f6fe"><enum>(1)</enum><text>in subparagraph (A), by striking <quote>; or</quote> and inserting a semicolon;</text> </paragraph><paragraph id="idb5b4ed701a5d496c99abcccdd5aa1f13"><enum>(2)</enum><text>in subparagraph (B), by striking the period at the end and inserting <quote>; or</quote>; and</text>
 </paragraph><paragraph id="idcf4e69da04744a56bc0e6a690875beb0"><enum>(3)</enum><text>by adding at the end the following:</text> <quoted-block display-inline="no-display-inline" id="idB364F025EAE74D93B078BBD7DC22EA27" style="OLC"> <subparagraph commented="no" display-inline="no-display-inline" id="idab5dab0af5864427b36293351ecfe515"><enum>(C)</enum><text>engage in any boycott, divestment, or sanctions activity targeting Israel described in section 2 of the <short-title>Combating BDS Act of 2017</short-title>.</text></subparagraph><after-quoted-block>.</after-quoted-block></quoted-block>
