			 Financial Protection to a 5-member board of directors. </official-title></form>
	<legis-body display-enacting-clause="yes-display-enacting-clause">
 <section id="id0ADFBE0B00804FC99014613837629B3B" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Consumer Financial Protection Board Act of 2017</short-title></quote>.</text> </section><section id="idDB369A4C33A6401993B24A4079739CB2"><enum>2.</enum><header>Management of the Bureau</header> <subsection id="id8EF7F30039764F63840C14B0634D7C3D"><enum>(a)</enum><header>In general</header><text display-inline="yes-display-inline">Section 1011 of the Consumer Financial Protection Act of 2010 (<external-xref legal-doc="usc" parsable-cite="usc/12/5491">12 U.S.C. 5491</external-xref>) is amended—</text>
 <paragraph id="idbdf3b4f5235e438dbad01300d519e642"><enum>(1)</enum><text>by striking subsections (b), (c), and (d);</text> </paragraph><paragraph id="id5ac71a63aec44739a1f255298855951d"><enum>(2)</enum><text>by redesignating subsection (e) as subsection (c); and</text>
 </paragraph><paragraph id="id0a08a4ef4b6c4ac0801ea76522e28be7"><enum>(3)</enum><text>by inserting after subsection (a) the following:</text> <quoted-block display-inline="no-display-inline" id="idd836008ac3a54a8c8e1466b52a7b534b" style="OLC"> <subsection id="id5dc638ecc06b4f499d58edbc4cc84d02"><enum>(b)</enum><header>Management of the Bureau</header> <paragraph id="id57bee04b48d844f0b17abf9221714734"><enum>(1)</enum><header>In general</header><text>The management of the Bureau shall be vested in a Board of Directors consisting of 5 members, who shall be appointed by the President, by and with the advice and consent of the Senate, from among individuals who—</text>
 <subparagraph id="id8b1694038d2f40c099c2ed8df4c78175"><enum>(A)</enum><text>are citizens of the United States; and</text> </subparagraph><subparagraph id="idb2f22239353847df92790e1fedf97f56"><enum>(B)</enum><text>have developed strong competency and understanding of, and have experience working with, financial products and services.</text>
								</subparagraph></paragraph><paragraph id="id1c9cabe778a74cdab45dfe7c08846a8d"><enum>(2)</enum><header>Terms</header>
 <subparagraph id="idc8e134564946481d967ff7185160b13f"><enum>(A)</enum><header>In general</header><text>Except as provided in subparagraph (B), each member of the Board, including the Chairperson, shall serve for a term of 5 years.</text>
 </subparagraph><subparagraph id="id7d3c9eda7c19422e89c0a5dcb4867431"><enum>(B)</enum><header>Staggered terms</header><text>Three of the initial members of the Board, including the Chairperson, shall each serve an initial term of 30 months.</text>
 </subparagraph><subparagraph id="idb345a3dfafab4c3cbe444b580942ea6c"><enum>(C)</enum><header>Removal</header><text>The President may remove any member of the Board for inefficiency, neglect of duty, or malfeasance in office.</text>
 </subparagraph><subparagraph id="id8a185a4605284fdbb450bd254cf4581b"><enum>(D)</enum><header>Vacancies</header><text>Any member of the Board appointed to fill a vacancy occurring before the expiration of the term to which the predecessor of that member was appointed (including the Chairperson) shall be appointed only for the remainder of the term.</text>
 </subparagraph><subparagraph id="id48aec8ba652344eeb1286733c50a626c"><enum>(E)</enum><header>Continuation of service</header><text>Each member of the Board may continue to serve after the expiration of the term of office to which that member was appointed until a successor has been appointed by the President and confirmed by the Senate, except that a member may not continue to serve more than 1 year after the date on which the term of that member would otherwise expire.</text>
 </subparagraph><subparagraph id="id7ad891f440ce4aa9876fd34ac2368af1"><enum>(F)</enum><header>Successive terms</header><text>A member of the Board may not be reappointed to a second consecutive term, except that an initial member of the Board appointed for less than a 5-year term may be reappointed to a full 5-year term and a future member appointed to fill an unexpired term may be reappointed for a full 5-year term.</text>
 </subparagraph></paragraph><paragraph id="id66958d698f9b41b4bd0b8325a3e8c2dc"><enum>(3)</enum><header>Affiliation</header><text>Not more than 3 members of the Board, and not more than 2 members of the Board described in paragraph (2)(B), shall be members of any 1 political party.</text>
							</paragraph><paragraph id="id350d4e2a2fee44b7b16060d07c943721"><enum>(4)</enum><header>Chairperson of the Board</header>
 <subparagraph id="idc26f39e5d7c74dafb1ceed059cac42e0"><enum>(A)</enum><header>Appointment</header><text>The President shall appoint 1 of the 5 members of the Board to serve as Chairperson of the Board.</text> </subparagraph><subparagraph id="id0cc89d65f64f4858808913b8e35c9d14"><enum>(B)</enum><header>Authority</header><text>The Chairperson shall be the principal executive officer of the Bureau, and shall exercise all of the executive and administrative functions of the Bureau, including with respect to—</text>
 <clause id="ida82015281ec0410aa965935eea892c47"><enum>(i)</enum><text>the supervision of personnel employed by the Bureau (other than personnel employed regularly and full time in the immediate offices of members of the Board other than the Chairperson);</text>
 </clause><clause id="id23cc3ad00a6941dd827881a9da8a4773"><enum>(ii)</enum><text>the distribution of business among personnel appointed and supervised by the Chairperson and among administrative units of the Bureau; and</text>
 </clause><clause id="id356c2750bb2b415eb1877edb5cf455f2"><enum>(iii)</enum><text>the use and expenditure of funds.</text> </clause></subparagraph><subparagraph id="idb9741cc154c446d5a050b31f8e26b713"><enum>(C)</enum><header>Limitation</header><text>In carrying out any of the functions of the Chairperson under this paragraph, the Chairperson shall be governed by general policies of the Bureau and by such regulatory decisions, findings, and determinations as the Bureau may by law be authorized to make.</text>
 </subparagraph><subparagraph id="id142018cc35f64bc78e50a164cfbaa7a6"><enum>(D)</enum><header>Requests or estimates related to appropriations</header><text>Any request or estimate for regular, supplemental, or deficiency appropriations on behalf of the Bureau, including any request for a transfer of funds under section 1017(a), may not be submitted by the Chairperson without the prior approval of the Board.</text>
 </subparagraph><subparagraph id="id22a242564382427ebd6c3bc37e8e503f"><enum>(E)</enum><header>Vacancy</header><text>The President may designate a member of the Board to serve as Acting Chairperson in the event of a vacancy in the office of the Chairperson.</text>
								</subparagraph></paragraph><paragraph id="id478c186acbaf4c3d9c5459e17a22f7c8"><enum>(5)</enum><header>Compensation</header>
 <subparagraph id="idcc465df09a314f93ad034c397cc50cb3"><enum>(A)</enum><header>Chairperson</header><text>The Chairperson shall receive compensation at the rate prescribed for level I of the Executive Schedule under section 5312 of title 5, United States Code.</text>
 </subparagraph><subparagraph id="id05fee26e680f4a2caa7645f9c61bcaf2"><enum>(B)</enum><header>Other members of the Board</header><text>The 4 members of the Board other than the Chairperson shall each receive compensation at the rate prescribed for level II of the Executive Schedule under section 5313 of title 5, United States Code.</text>
 </subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idd1e2c4e3fe184c36a9e9467ed9f4dfc1"><enum>(6)</enum><header display-inline="yes-display-inline">Other employment prohibited</header><text display-inline="yes-display-inline">A member of the Board may not engage in any other business, vocation, or employment.</text></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block> </paragraph></subsection><subsection id="idaf9d369032d4420ba2c71dd5618bd283"><enum>(b)</enum><header>Technical and conforming amendments</header> <paragraph id="ida512dd88ccf34c48af6d3c3b730336a9"><enum>(1)</enum><header>Consumer Financial Protection Act of 2010</header><text>The Consumer Financial Protection Act of 2010 (<external-xref legal-doc="usc" parsable-cite="usc/12/5481">12 U.S.C. 5481</external-xref> et seq.) is amended—</text>
 <subparagraph id="ide54c2083a17c4a9c9ced6da871c65def"><enum>(A)</enum><text>in section 1002 (<external-xref legal-doc="usc" parsable-cite="usc/12/5481">12 U.S.C. 5481</external-xref>)—</text> <clause id="id1ca0bcadc5e340f08e2d2580bb0e8e8c"><enum>(i)</enum><text>by striking paragraph (10) and inserting the following:</text>
							<quoted-block display-inline="no-display-inline" id="idc83d2c52663f4ddeab3c63b0f0215449" style="OLC">
 <paragraph id="id990fdd4d34c04d239952161167b3125a"><enum>(10)</enum><header>Board</header><text>The term <term>Board</term> means the Board of Directors of the Bureau of Consumer Financial Protection.</text></paragraph><after-quoted-block>; and</after-quoted-block></quoted-block> </clause><clause id="idb28abc7f42f043beb0686968bb543e80"><enum>(ii)</enum><text>by inserting after paragraph (29) the following:</text>

 <paragraph id="id368854b13d284771b671956c57d800b3"><enum>(30)</enum><header>Chairperson</header><text>The term <term>Chairperson</term> means the Chairperson of the Board of Directors of the Bureau of Consumer Financial Protection.</text></paragraph><after-quoted-block>;</after-quoted-block></quoted-block> </clause></subparagraph><subparagraph id="idA156FAABBAFA49CF9F67EE2F39C96300"><enum>(B)</enum><text>in section 1012 (<external-xref legal-doc="usc" parsable-cite="usc/12/5492">12 U.S.C. 5492</external-xref>)—</text>
 <clause id="id15320F8F37804DE6818E4675BC15F6A2"><enum>(i)</enum><text>in subsection (a)(8), by striking <quote>appointed and supervised by the Director</quote> and inserting <quote>appointed by the Board and supervised by the Chairperson</quote>;</text> </clause><clause id="id986D24F223D44A98A83A24B651AD04BF"><enum>(ii)</enum><text>in subsection (b), by striking <quote>Director</quote> and inserting <quote>Board</quote>; and</text>
 </clause><clause id="idE8D01C535E2A4B169408B71CD468D0F8"><enum>(iii)</enum><text>in subsection (c)—</text> <subclause id="id7CFEB82AA83F45449F59E988AAEA454F"><enum>(I)</enum><text>in paragraph (2)(A), by striking <quote>Director</quote> and inserting <quote>Board</quote>; and</text>
 </subclause><subclause id="id8F882522ABAF432297EC414341DB297F"><enum>(II)</enum><text>in paragraph (4), by striking <quote>the Director</quote> each place that term appears and inserting <quote>any member of the Board</quote>;</text> </subclause></clause></subparagraph><subparagraph id="id394F2BDC4A394845816158D992984DBA"><enum>(C)</enum><text>in section 1013 (<external-xref legal-doc="usc" parsable-cite="usc/12/5493">12 U.S.C. 5493</external-xref>)—</text>
 <clause id="idE77DF2DCB18640C1B20A0119C6180876"><enum>(i)</enum><text>in subsections (a), (b), (d), and (e), by striking <quote>Director</quote> each place that term appears and inserting <quote>Board</quote>;</text> </clause><clause id="id3708B56C8DDC4F5F8B26899282641E3C"><enum>(ii)</enum><text>in subsection (a), by adding at the end the following:</text>

								<paragraph id="id8048D085D7C147C082B3BD768259C036"><enum>(6)</enum><header>Limitation</header>
 <subparagraph id="id544E11DC81054E1C914D7429045A5E8E"><enum>(A)</enum><header>In general</header><text>Except as provided in subparagraph (B), the Board shall appoint not more than 1 employee of the Bureau for every 3 employees that are separated from service with the Bureau.</text>
 </subparagraph><subparagraph id="idEDD2688BEF5A4AC88406B66EECAB19EB"><enum>(B)</enum><header>Exception</header><text>The President may provide the Board with an exemption from the requirements of subparagraph (A) if the Board demonstrates that hiring employees in an amount greater than the limitation in subparagraph (A) is necessary—</text>
 <clause id="id81080B6BD8554E069B797E16E4FAEF1F"><enum>(i)</enum><text>as a result of a national security concern or an extraordinary emergency; or</text> </clause><clause commented="no" display-inline="no-display-inline" id="id4443F31B64954EA08E997A654D41BE64"><enum>(ii)</enum><text>to perform a critical mission.</text></clause></subparagraph></paragraph><after-quoted-block>;</after-quoted-block></quoted-block>
 </clause><clause id="idEF7BF5ED512D4934B8E2B691E5C7A1C6"><enum>(iii)</enum><text>in subsection (c)—</text> <subclause id="id87E0551C6CD5469B93E0B383D33CA67E"><enum>(I)</enum><text>in paragraphs (1) and (2), by striking <quote>Director</quote> each place that term appears and inserting <quote>Board</quote>; and</text>
 </subclause><subclause id="idB375851FC5BE415CB3A1F7F3E7769589"><enum>(II)</enum><text>in paragraph (3)—</text> <item id="idF3139FD4D595401BBE37BC6A05481B24"><enum>(aa)</enum><text>by striking <quote>Assistant Director</quote> each place that term appears and inserting <quote>Head of Office</quote>; and</text>

 </subparagraph></paragraph><paragraph id="idcc2055115e714808a6e18ac4fa6cb33a"><enum>(2)</enum><header>Financial Stability Act of 2010</header><text>Section 111(b)(1)(D) of the Financial Stability Act of 2010 (<external-xref legal-doc="usc" parsable-cite="usc/12/5321">12 U.S.C. 5321(b)(1)(D)</external-xref>) is amended by striking <quote>Director of the Bureau</quote> and inserting <quote>Chairperson of the Board of Directors of the Bureau</quote>.</text>
 </paragraph><paragraph id="ida93772622cff4ae2a663b38fcbfbe1fe"><enum>(3)</enum><header>Mortgage Reform and Anti-Predatory Lending Act</header><text>Section 1447 of the Mortgage Reform and Anti-Predatory Lending Act (<external-xref legal-doc="usc" parsable-cite="usc/12/1701p-2">12 U.S.C. 1701p–2</external-xref>) is amended by striking <quote>Director</quote> each place the term appears and inserting <quote>Board of Directors</quote>.</text>
 </paragraph><paragraph id="id4901e5aa9bd545a3a90274e0f4b8fac2"><enum>(4)</enum><header>Electronic Fund Transfer Act</header><text>Section 920(a)(4)(C) of the Electronic Fund Transfer Act (<external-xref legal-doc="usc" parsable-cite="usc/15/1693o-2">15 U.S.C. 1693o–2(a)(4)(C)</external-xref>) is amended by striking <quote>Director of the Bureau</quote> and inserting <quote>Board of Directors of the Bureau</quote>.</text>
 </paragraph><paragraph id="idd5614ae33aa14a3c929f8ba30a7365b3"><enum>(5)</enum><header>Expedited Funds Availability Act</header><text>The Expedited Funds Availability Act (<external-xref legal-doc="usc" parsable-cite="usc/12/4001">12 U.S.C. 4001</external-xref> et seq.) is amended by striking <quote>Director of the Bureau</quote> each place that term appears and inserting <quote>Board of Directors of the Bureau</quote>.</text> </paragraph><paragraph id="ide06e2e12c34c4948aacc57cbb7fe98c5"><enum>(6)</enum><header>Federal Deposit Insurance Act</header><text>Section 2 of the Federal Deposit Insurance Act (<external-xref legal-doc="usc" parsable-cite="usc/12/1812">12 U.S.C. 1812</external-xref>) is amended—</text>
 <subparagraph id="idb39ab588d7f144c68590fbf2127d1fc7"><enum>(A)</enum><text>by striking <quote>Director of the Consumer Financial Protection Bureau</quote> each place that term appears and inserting <quote>Chairperson of the Board of Directors of the Bureau of Consumer Financial Protection</quote>; and</text> </subparagraph><subparagraph id="idc9bdcb6efa4a4f70a1b66d4772c5f881"><enum>(B)</enum><text>in subsection (d)(2), by striking <quote>Comptroller or Director</quote> and inserting <quote>Comptroller or Chairperson</quote>.</text>

 </paragraph></subsection><subsection id="id6cd2f27129c045be989921ad2b0fc12d"><enum>(c)</enum><header>Effective date</header><text>The amendments made by this section shall take effect on the date on which not less than 3 persons have been confirmed by the Senate to serve as members of the Board of Directors of the Bureau of Consumer Financial Protection.</text></subsection></section></legis-body></bill>
