 of trade secrets, and for other purposes.</official-title></form><legis-body display-enacting-clause="yes-display-enacting-clause" style="OLC"><section commented="no" display-inline="no-display-inline" id="id2a0942c8-a048-404d-ab07-86072295e247" section-type="section-one"><enum>1.</enum><header display-inline="yes-display-inline">Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Defend Trade Secrets Act of 2016</short-title></quote>.</text></section><section commented="no" display-inline="no-display-inline" id="id066d3d1d-baab-4b64-b243-c790f1ac6586" section-type="subsequent-section"><enum>2.</enum><header display-inline="yes-display-inline">Federal jurisdiction for theft of trade secrets</header><subsection commented="no" display-inline="no-display-inline" id="idebb96257-cf50-4629-8754-eab5393dd0b3"><enum>(a)</enum><header display-inline="yes-display-inline">In general</header><text display-inline="yes-display-inline">Section 1836 of title 18, United States Code, is amended by striking subsection (b) and inserting the following:</text><quoted-block display-inline="no-display-inline" id="id2b5a75e0-a2ab-49e1-bfdf-505ba536ce1e" style="OLC"><subsection commented="no" display-inline="no-display-inline" id="idb118c746-c511-40af-9d40-75c62be94578"><enum>(b)</enum><header display-inline="yes-display-inline">Private civil actions</header><paragraph commented="no" display-inline="no-display-inline" id="id6a44269a-28da-44b0-a12a-dba91f2353f7"><enum>(1)</enum><header display-inline="yes-display-inline">In general</header><text display-inline="yes-display-inline">An owner of a trade secret that is misappropriated may bring a civil action under this subsection if the trade secret is related to a product or service used in, or intended for use in, interstate or foreign commerce.</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id12c33e20-c1f4-4ead-b355-f0043c824fc2"><enum>(2)</enum><header display-inline="yes-display-inline">Civil seizure</header><subparagraph commented="no" display-inline="no-display-inline" id="id8c6c9790-8ebb-4271-b48c-615e00b8f0bc"><enum>(A)</enum><header display-inline="yes-display-inline">In general</header><clause commented="no" display-inline="no-display-inline" id="ida778455a-a31b-4a1a-8061-f8fecedeb3a2"><enum>(i)</enum><header display-inline="yes-display-inline">Application</header><text display-inline="yes-display-inline">Based on an affidavit or verified complaint satisfying the requirements of this paragraph, the court may, upon ex parte application but only in extraordinary circumstances, issue an order providing for the seizure of property necessary to prevent the propagation or dissemination of the trade secret that is the subject of the action.</text></clause><clause commented="no" display-inline="no-display-inline" id="id2e3df3ef-39c1-4508-a501-1e1f79ba07a3"><enum>(ii)</enum><header display-inline="yes-display-inline">Requirements for issuing order</header><text display-inline="yes-display-inline">The court may not grant an application under clause (i) unless the court finds that it clearly appears from specific facts that—</text><subclause commented="no" display-inline="no-display-inline" id="idcd30ebd4-0a07-4a15-b604-be4e8affd400"><enum>(I)</enum><text display-inline="yes-display-inline">an order issued pursuant to Rule 65 of the Federal Rules of Civil Procedure or another form of equitable relief would be inadequate to achieve the purpose of this paragraph because the party to which the order would be issued would evade, avoid, or otherwise not comply with such an order;</text></subclause><subclause commented="no" display-inline="no-display-inline" id="idaf823c98-8a31-45a9-8eb5-8a1eb2bf39e1"><enum>(II)</enum><text display-inline="yes-display-inline">an immediate and irreparable injury will occur if such seizure is not ordered;</text></subclause><subclause commented="no" display-inline="no-display-inline" id="id27f626bf-3e53-4cb5-aebe-8f183b1247d5"><enum>(III)</enum><text display-inline="yes-display-inline">the harm to the applicant of denying the application outweighs the harm to the legitimate interests of the person against whom seizure would be ordered of granting the application and substantially outweighs the harm to any third parties who may be harmed by such seizure;</text></subclause><subclause commented="no" display-inline="no-display-inline" id="id76724c1b-4840-4581-a183-552004cdfb73"><enum>(IV)</enum><text display-inline="yes-display-inline">the applicant is likely to succeed in showing that—</text><item commented="no" display-inline="no-display-inline" id="id561b786b-70f8-4da5-a7ed-d202b34c1fc8"><enum>(aa)</enum><text display-inline="yes-display-inline">the information is a trade secret; and</text></item><item commented="no" display-inline="no-display-inline" id="ida0105963-4280-4e96-9b4e-3a8c1bdc5cf2"><enum>(bb)</enum><text display-inline="yes-display-inline">the person against whom seizure would be ordered—</text><subitem commented="no" display-inline="no-display-inline" id="id150a2af2-1c69-4f6b-81b1-83125c50e3cf"><enum>(AA)</enum><text display-inline="yes-display-inline">misappropriated the trade secret of the applicant by improper means; or</text></subitem><subitem commented="no" display-inline="no-display-inline" id="idc3f92f68-a91b-4420-89b5-c32e57e3ee78"><enum>(BB)</enum><text display-inline="yes-display-inline">conspired to use improper means to misappropriate the trade secret of the applicant;</text></subitem></item></subclause><subclause commented="no" display-inline="no-display-inline" id="id15577877-7cc7-47e3-8d0d-cabc7463e982"><enum>(V)</enum><text display-inline="yes-display-inline">the person against whom seizure would be ordered has actual possession of—</text><item commented="no" display-inline="no-display-inline" id="id2A7105C77BF440679679970129F9A04D"><enum>(aa)</enum><text display-inline="yes-display-inline">the trade secret; and</text></item><item commented="no" display-inline="no-display-inline" id="idD2BF5F3649BA4AA3902600FE1FEE32FA"><enum>(bb)</enum><text display-inline="yes-display-inline">any property to be seized;</text></item></subclause><subclause commented="no" display-inline="no-display-inline" id="iddddc2ce3-2296-415d-966a-7f1e2102d7db"><enum>(VI)</enum><text display-inline="yes-display-inline">the application describes with reasonable particularity the matter to be seized and, to the extent reasonable under the circumstances, identifies the location where the matter is to be seized;</text></subclause><subclause commented="no" display-inline="no-display-inline" id="id514155cc-9e7d-4583-8e3b-1eea76907a4b"><enum>(VII)</enum><text display-inline="yes-display-inline">the person against whom seizure would be ordered, or persons acting in concert with such person, would destroy, move, hide, or otherwise make such matter inaccessible to the court, if the applicant were to proceed on notice to such person; and</text></subclause><subclause commented="no" display-inline="no-display-inline" id="id54fa74a3-fb57-4a69-8e7f-0bd0f92ae7b5"><enum>(VIII)</enum><text display-inline="yes-display-inline">the applicant has not publicized the requested seizure.</text></subclause></clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id6a06765d-e66d-470e-9c28-b4320627ee82"><enum>(B)</enum><header display-inline="yes-display-inline">Elements of order</header><text display-inline="yes-display-inline">If an order is issued under subparagraph (A), it shall—</text><clause commented="no" display-inline="no-display-inline" id="idc03af6d3-3686-43a3-9915-df17b388d6bc"><enum>(i)</enum><text display-inline="yes-display-inline">set forth findings of fact and conclusions of law required for the order;</text></clause><clause commented="no" display-inline="no-display-inline" id="id136be38c-2a54-4d08-b4e8-9f64909fdebf"><enum>(ii)</enum><text display-inline="yes-display-inline">provide for the narrowest seizure of property necessary to achieve the purpose of this paragraph and direct that the seizure be conducted in a manner that minimizes any interruption of the business operations of third parties and, to the extent possible, does not interrupt the legitimate business operations of the person accused of misappropriating the trade secret;</text></clause><clause commented="no" display-inline="no-display-inline" id="id4ce8f95b-51fa-46db-99d4-41db443f2205"><enum>(iii)</enum><subclause commented="no" display-inline="yes-display-inline" id="id164db603-2a2e-4202-a440-3ba9e3fbd56f"><enum>(I)</enum><text display-inline="yes-display-inline">be accompanied by an order protecting the seized property from disclosure by prohibiting access by the applicant or the person against whom the order is directed, and prohibiting any copies, in whole or in part, of the seized property, to prevent undue damage to the party against whom the order has issued or others, until such parties have an opportunity to be heard in court; and</text></subclause><subclause commented="no" display-inline="no-display-inline" id="id52b53c1b-8bc8-4068-a205-c010e435b7e7" indent="up1"><enum>(II)</enum><text display-inline="yes-display-inline">provide that if access is granted by the court to the applicant or the person against whom the order is directed, the access shall be consistent with subparagraph (D);</text></subclause></clause><clause commented="no" display-inline="no-display-inline" id="id6B214BEDE13C41BCB45F63927C445CD1"><enum>(iv)</enum><text display-inline="yes-display-inline">provide guidance to the law enforcement officials executing the seizure that clearly delineates the scope of the authority of the officials, including—</text><subclause commented="no" display-inline="no-display-inline" id="id200FF073BBFB4110941EB5CCBD2060D0"><enum>(I)</enum><text display-inline="yes-display-inline">the hours during which the seizure may be executed; and</text></subclause><subclause commented="no" display-inline="no-display-inline" id="id23D0C9FE370B43E0B9F92CCDD3F1D701"><enum>(II)</enum><text display-inline="yes-display-inline">whether force may be used to access locked areas;</text></subclause></clause><clause commented="no" display-inline="no-display-inline" id="id0f23eb14-ee68-45b3-abf3-f527ee1eda29"><enum>(v)</enum><text display-inline="yes-display-inline">set a date for a hearing described in subparagraph (F) at the earliest possible time, and not later than 7 days after the order has issued, unless the party against whom the order is directed and others harmed by the order consent to another date for the hearing, except that a party against whom the order has issued or any person harmed by the order may move the court at any time to dissolve or modify the order after giving notice to the applicant who obtained the order; and</text></clause><clause commented="no" display-inline="no-display-inline" id="id3ca2d8e1-c5b2-4137-ac01-f3c67aa3b5a1"><enum>(vi)</enum><text display-inline="yes-display-inline">require the person obtaining the order to provide the security determined adequate by the court for the payment of the damages that any person may be entitled to recover as a result of a wrongful or excessive seizure or wrongful or excessive attempted seizure under this paragraph.</text></clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id59d68fcf-9240-4122-9d28-7945f4ce7f92"><enum>(C)</enum><header display-inline="yes-display-inline">Protection from publicity</header><text display-inline="yes-display-inline">The court shall take appropriate action to protect the person against whom an order under this paragraph is directed from publicity, by or at the behest of the person obtaining the order, about such order and any seizure under such order.</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id4b47b07c-54b7-47a8-b5e4-a660f063a5f9"><enum>(D)</enum><header display-inline="yes-display-inline">Materials in custody of court</header><clause commented="no" display-inline="no-display-inline" id="id6313B8A7FE6442C692F81A409A902DFA"><enum>(i)</enum><header display-inline="yes-display-inline">In general</header><text display-inline="yes-display-inline">Any materials seized under this paragraph shall be taken into the custody of the court. The court shall secure the seized material from physical and electronic access during the seizure and while in the custody of the court.</text></clause><clause commented="no" display-inline="no-display-inline" id="id921ACC796CE64E43BED0A2859A118FE5"><enum>(ii)</enum><header display-inline="yes-display-inline">Storage medium</header><text display-inline="yes-display-inline">If the seized material includes a storage medium, or if the seized material is stored on a storage medium, the court shall prohibit the medium from being connected to a network or the Internet without the consent of both parties, until the hearing required under subparagraph (B)(v) and described in subparagraph (F).</text></clause><clause commented="no" display-inline="no-display-inline" id="id86508ac1f0204f56aed7cb84b4533679"><enum>(iii)</enum><header display-inline="yes-display-inline">Protection of confidentiality</header><text display-inline="yes-display-inline">The court shall take appropriate measures to protect the confidentiality of seized materials that are unrelated to the trade secret information ordered seized pursuant to this paragraph unless the person against whom the order is entered consents to disclosure of the material.</text></clause><clause commented="no" display-inline="no-display-inline" id="id2cb986cd7222445fbd5c9ca0de23d584"><enum>(iv)</enum><header display-inline="yes-display-inline">Appointment of special master</header><text display-inline="yes-display-inline">The court may appoint a special master to locate and isolate all misappropriated trade secret information and to facilitate the return of unrelated property and data to the person from whom the property was seized. The special master appointed by the court shall agree to be bound by a non-disclosure agreement approved by the court.</text></clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id34ee5f31-f1e5-4974-91d3-037cfc504c33"><enum>(E)</enum><header display-inline="yes-display-inline">Service of order</header><text display-inline="yes-display-inline">The court shall order that service of a copy of the order under this paragraph, and the submissions of the applicant to obtain the order, shall be made by a Federal law enforcement officer who, upon making service, shall carry out the seizure under the order. The court may allow State or local law enforcement officials to participate, but may not permit the applicant or any agent of the applicant to participate in the seizure. At the request of law enforcement officials, the court may allow a technical expert who is unaffiliated with the applicant and who is bound by a court-approved non-disclosure agreement to participate in the seizure if the court determines that the participation of the expert will aid the efficient execution of and minimize the burden of the seizure.</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idd5e8e695-4883-4e2a-a432-d62e4416bae1"><enum>(F)</enum><header display-inline="yes-display-inline">Seizure hearing</header><clause commented="no" display-inline="no-display-inline" id="idd19621ad-b361-4bde-b7b3-0770c04a4b9f"><enum>(i)</enum><header display-inline="yes-display-inline">Date</header><text display-inline="yes-display-inline">A court that issues a seizure order shall hold a hearing on the date set by the court under subparagraph (B)(v).</text></clause><clause commented="no" display-inline="no-display-inline" id="idd06e6a46-acf5-4009-988e-89533b2ce1c6"><enum>(ii)</enum><header display-inline="yes-display-inline">Burden of proof</header><text display-inline="yes-display-inline">At a hearing held under this subparagraph, the party who obtained the order under subparagraph (A) shall have the burden to prove the facts supporting the findings of fact and conclusions of law necessary to support the order. If the party fails to meet that burden, the seizure order shall be dissolved or modified appropriately.</text></clause><clause commented="no" display-inline="no-display-inline" id="id4be63a94-6c7d-4796-aba2-b0c0a842c482"><enum>(iii)</enum><header display-inline="yes-display-inline">Dissolution or modification of order</header><text display-inline="yes-display-inline">A party against whom the order has been issued or any person harmed by the order may move the court at any time to dissolve or modify the order after giving notice to the party who obtained the order.</text></clause><clause commented="no" display-inline="no-display-inline" id="id2e75a11e-6325-4567-8e26-068a95beaed9"><enum>(iv)</enum><header display-inline="yes-display-inline">Discovery time limits</header><text display-inline="yes-display-inline">The court may make such orders modifying the time limits for discovery under the Federal Rules of Civil Procedure as may be necessary to prevent the frustration of the purposes of a hearing under this subparagraph.</text></clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id59e1cc08-4f07-4158-9770-a7f926fb618a"><enum>(G)</enum><header display-inline="yes-display-inline">Action for damage caused by wrongful seizure</header><text display-inline="yes-display-inline">A person who suffers damage by reason of a wrongful or excessive seizure under this paragraph has a cause of action against the applicant for the order under which such seizure was made, and shall be entitled to the same relief as is provided under section 34(d)(11) of the Trademark Act of 1946 (<external-xref legal-doc="usc" parsable-cite="usc/15/1116">15 U.S.C. 1116(d)(11)</external-xref>). The security posted with the court under subparagraph (B)(vi) shall not limit the recovery of third parties for damages.</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id3c9bad16-cc7d-4c84-91f5-91cc14621fac"><enum>(H)</enum><header display-inline="yes-display-inline">Motion for encryption</header><text display-inline="yes-display-inline">A party or a person who claims to have an interest in the subject matter seized may make a motion at any time, which may be heard ex parte, to encrypt any material seized or to be seized under this paragraph that is stored on a storage medium. The motion shall include, when possible, the desired encryption method.</text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idfb93e9c5-c236-44e6-b5cd-c1569c1ab7e3"><enum>(3)</enum><header display-inline="yes-display-inline">Remedies</header><text display-inline="yes-display-inline">In a civil action brought under this subsection with respect to the misappropriation of a trade secret, a court may—</text><subparagraph commented="no" display-inline="no-display-inline" id="id923bf85d-e72d-42f2-a12d-a57d4423cbdf"><enum>(A)</enum><text display-inline="yes-display-inline">grant an injunction—</text><clause commented="no" display-inline="no-display-inline" id="idb7f093ae-2d21-453f-8a0e-8b57d7159339"><enum>(i)</enum><text display-inline="yes-display-inline">to prevent any actual or threatened misappropriation described in paragraph (1) on such terms as the court deems reasonable, provided the order does not—</text><subclause commented="no" display-inline="no-display-inline" id="idADACEE9BF5DE4EF6B03939E3581F0EF6"><enum>(I)</enum><text display-inline="yes-display-inline">prevent a person from entering into an employment relationship, and that conditions placed on such employment shall be based on evidence of threatened misappropriation and not merely on the information the person knows; or</text></subclause><subclause commented="no" display-inline="no-display-inline" id="id158C465B1E694FFC9B1AAEE9A46F96A3"><enum>(II)</enum><text display-inline="yes-display-inline">otherwise conflict with an applicable State law prohibiting restraints on the practice of a lawful profession, trade, or business;</text></subclause></clause><clause commented="no" display-inline="no-display-inline" id="ide8f40cfb-6c6e-4e74-9132-da7e49482b3d"><enum>(ii)</enum><text display-inline="yes-display-inline">if determined appropriate by the court, requiring affirmative actions to be taken to protect the trade secret; and</text></clause><clause commented="no" display-inline="no-display-inline" id="id2451727e-f561-4b9c-8494-ade4f1d54210"><enum>(iii)</enum><text display-inline="yes-display-inline">in exceptional circumstances that render an injunction inequitable, that conditions future use of the trade secret upon payment of a reasonable royalty for no longer than the period of time for which such use could have been prohibited;</text></clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idef650ea3-7169-4bba-b353-b92733123b9f"><enum>(B)</enum><text display-inline="yes-display-inline">award—</text><clause commented="no" display-inline="no-display-inline" id="idf610326b-b5ea-4d7f-912b-27e50c2ce79e"><enum>(i)</enum><subclause commented="no" display-inline="yes-display-inline" id="id15932691-c32e-4976-be8d-317fce86d0ed"><enum>(I)</enum><text display-inline="yes-display-inline">damages for actual loss caused by the misappropriation of the trade secret; and</text></subclause><subclause commented="no" display-inline="no-display-inline" id="id17491f91-5462-40bf-aa5c-51f512245e95" indent="up1"><enum>(II)</enum><text display-inline="yes-display-inline">damages for any unjust enrichment caused by the misappropriation of the trade secret that is not addressed in computing damages for actual loss; or</text></subclause></clause><clause commented="no" display-inline="no-display-inline" id="id9da9b7ce-767b-4f83-9e94-8186a3424f01"><enum>(ii)</enum><text display-inline="yes-display-inline">in lieu of damages measured by any other methods, the damages caused by the misappropriation measured by imposition of liability for a reasonable royalty for the misappropriator’s unauthorized disclosure or use of the trade secret;</text></clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idea5fcad5-97bf-4ccf-a2e8-ff027056ed03"><enum>(C)</enum><text display-inline="yes-display-inline">if the trade secret is willfully and maliciously misappropriated, award exemplary damages in an amount not more than 2 times the amount of the damages awarded under subparagraph (B); and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id176c09fe-dd00-41cb-bb55-bb4c76a8137f"><enum>(D)</enum><text display-inline="yes-display-inline">if a claim of the misappropriation is made in bad faith, which may be established by circumstantial evidence, a motion to terminate an injunction is made or opposed in bad faith, or the trade secret was willfully and maliciously misappropriated, award reasonable attorney’s fees to the prevailing party.</text></subparagraph></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="ida9f9880e-b702-47ca-b26b-5dd6d2e4f837"><enum>(c)</enum><header display-inline="yes-display-inline">Jurisdiction</header><text display-inline="yes-display-inline">The district courts of the United States shall have original jurisdiction of civil actions brought under this section.</text></subsection><subsection commented="no" display-inline="no-display-inline" id="id803ad2f9-242f-4192-b32e-2dc15ca8d53c"><enum>(d)</enum><header display-inline="yes-display-inline">Period of limitations</header><text display-inline="yes-display-inline">A civil action under subsection (b) may not be commenced later than 3 years after the date on which the misappropriation with respect to which the action would relate is discovered or by the exercise of reasonable diligence should have been discovered. For purposes of this subsection, a continuing misappropriation constitutes a single claim of misappropriation.</text></subsection><after-quoted-block>.</after-quoted-block></quoted-block></subsection><subsection commented="no" display-inline="no-display-inline" id="id6b9dca39-2642-4b4f-8d5d-59c07d528dfb"><enum>(b)</enum><header display-inline="yes-display-inline">Definitions</header><text display-inline="yes-display-inline">Section 1839 of title 18, United States Code, is amended—</text><paragraph commented="no" display-inline="no-display-inline" id="id7adac101-5455-4c39-8d61-f26689db2d8e"><enum>(1)</enum><text display-inline="yes-display-inline">in paragraph (3)—</text><subparagraph commented="no" display-inline="no-display-inline" id="idbb23a6e383d0484ca5dc2e3dc1d28a47"><enum>(A)</enum><text display-inline="yes-display-inline">in subparagraph (B), by striking <quote>the public</quote> and inserting <quote>another person who can obtain economic value from the disclosure or use of the information</quote>; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id14505a592a4c49969043c1ece06ce021"><enum>(B)</enum><text display-inline="yes-display-inline">by striking <quote>and</quote> at the end;</text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idd1a23875-af57-40c1-b453-52061e1426a8"><enum>(2)</enum><text display-inline="yes-display-inline">in paragraph (4), by striking the period at the end and inserting a semicolon; and</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id73191ad2-6ddc-490f-bcf9-6bccb8b1456c"><enum>(3)</enum><text display-inline="yes-display-inline">by adding at the end the following:</text><quoted-block display-inline="no-display-inline" id="id6a9798f0-3ce4-4ff7-9125-521fed5334f9" style="OLC"><paragraph commented="no" display-inline="no-display-inline" id="idc4bf4c73-daaa-47d4-a66c-03008c3916d1"><enum>(5)</enum><text display-inline="yes-display-inline">the term <term>misappropriation</term> means—</text><subparagraph commented="no" display-inline="no-display-inline" id="ide91377dc-06a0-4048-b676-da6c8e2b99b5"><enum>(A)</enum><text display-inline="yes-display-inline">acquisition of a trade secret of another by a person who knows or has reason to know that the trade secret was acquired by improper means; or</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id435656b3-787f-4f3f-aaec-5f0ce353df85"><enum>(B)</enum><text display-inline="yes-display-inline">disclosure or use of a trade secret of another without express or implied consent by a person who—</text><clause commented="no" display-inline="no-display-inline" id="id21800ed3-e000-491d-aebf-1489da106869"><enum>(i)</enum><text display-inline="yes-display-inline">used improper means to acquire knowledge of the trade secret;</text></clause><clause commented="no" display-inline="no-display-inline" id="id8f5ef087-ddde-4386-9f95-57619230fd21"><enum>(ii)</enum><text display-inline="yes-display-inline">at the time of disclosure or use, knew or had reason to know that the knowledge of the trade secret was—</text><subclause commented="no" display-inline="no-display-inline" id="id62ff6d5f-55bb-4536-8a72-ef444a078b92"><enum>(I)</enum><text display-inline="yes-display-inline">derived from or through a person who had used improper means to acquire the trade secret;</text></subclause><subclause commented="no" display-inline="no-display-inline" id="id42abb082-3d0f-4686-9274-8c9aedfa7a91"><enum>(II)</enum><text display-inline="yes-display-inline">acquired under circumstances giving rise to a duty to maintain the secrecy of the trade secret or limit the use of the trade secret; or</text></subclause><subclause commented="no" display-inline="no-display-inline" id="id8ed8b99c-2e40-435d-aaf8-80357931a016"><enum>(III)</enum><text display-inline="yes-display-inline">derived from or through a person who owed a duty to the person seeking relief to maintain the secrecy of the trade secret or limit the use of the trade secret; or</text></subclause></clause><clause commented="no" display-inline="no-display-inline" id="idf831e76a-bf9f-4df4-873d-755d81b405af"><enum>(iii)</enum><text display-inline="yes-display-inline">before a material change of the position of the person, knew or had reason to know that—</text><subclause commented="no" display-inline="no-display-inline" id="idae64fdee-d257-4bfa-a72d-b442dfc8d0d0"><enum>(I)</enum><text display-inline="yes-display-inline">the trade secret was a trade secret; and</text></subclause><subclause commented="no" display-inline="no-display-inline" id="ida8fa670e-a3da-47bf-895f-23bdc5a21136"><enum>(II)</enum><text display-inline="yes-display-inline">knowledge of the trade secret had been acquired by accident or mistake;</text></subclause></clause></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idd63205bd-3e56-473b-be4b-9b5cc5089ebf"><enum>(6)</enum><text display-inline="yes-display-inline">the term <term>improper means</term>—</text><subparagraph commented="no" display-inline="no-display-inline" id="id6cd1a115-a132-4206-b757-3364733deb9c"><enum>(A)</enum><text display-inline="yes-display-inline">includes theft, bribery, misrepresentation, breach or inducement of a breach of a duty to maintain secrecy, or espionage through electronic or other means; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id5397ef13-a694-4119-92a1-c6386861eea0"><enum>(B)</enum><text display-inline="yes-display-inline">does not include reverse engineering, independent derivation, or any other lawful means of acquisition; The provision of information relating to a trade secret to the United States or the court in connection with a prosecution under this chapter shall not constitute a waiver of trade secret protection, and the disclosure of information relating to a trade secret in connection with a prosecution under this chapter shall not constitute a waiver of trade secret protection unless the trade secret owner display-inline="yes-display-inline">In this section:</text><paragraph commented="no" display-inline="no-display-inline" id="id29939528-2fba-4c8d-81c3-0fabe3c6a09d"><enum>(1)</enum><header display-inline="yes-display-inline">Director</header><text display-inline="yes-display-inline">The term <quote>Director</quote> means the Under Secretary of Commerce for Intellectual Property and Director of the United States Patent and Trademark Office.</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id278ebd72-4e39-442f-882f-fac966865c2a"><enum>(2)</enum><header display-inline="yes-display-inline">Foreign instrumentality, etc</header><text display-inline="yes-display-inline">The terms <quote>foreign instrumentality</quote>, <quote>foreign agent</quote>, and <quote>trade secret</quote> have the meanings given those terms in section 1839 of title 18, United States Code.</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idaa4e5d62-da8b-42f3-a99a-eba2e209ecb5"><enum>(3)</enum><header display-inline="yes-display-inline">State</header><text display-inline="yes-display-inline">The term <quote>State</quote> includes the District of Columbia and any commonwealth, territory, or possession of the United States.</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id8a31fcb7-e33d-41b4-a02a-e21875ca2bb0"><enum>(4)</enum><header display-inline="yes-display-inline">United States company</header><text display-inline="yes-display-inline">The term <quote>United States company</quote> means an organization organized under the laws of the United States or a State or political subdivision thereof.</text></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="id582a322b-0588-4f13-8c06-707417c93ed0"><enum>(b)</enum><header display-inline="yes-display-inline">Reports</header><text display-inline="yes-display-inline">Not later than 1 year after the date of enactment of this Act, and biannually thereafter, the Attorney General, in consultation with the Intellectual Property Enforcement Coordinator, the Director, and the heads of other appropriate agencies, shall submit to the Committees on the Judiciary of the House of Representatives and the Senate, and make publicly available on the Web site of the Department of Justice and disseminate to the public through such other means as the Attorney General may identify, a report on the following:</text><paragraph commented="no" display-inline="no-display-inline" id="id472a4a7f-363b-489c-98f8-da172350b47c"><enum>(1)</enum><text display-inline="yes-display-inline">The scope and breadth of the theft of the trade secrets of United States companies occurring outside of the United States.</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="ida6abf77a-f636-494d-8fbd-eb5ab99448a7"><enum>(2)</enum><text display-inline="yes-display-inline">The extent to which theft of trade secrets occurring outside of the United States is sponsored by foreign governments, foreign instrumentalities, or foreign agents.</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id6be1835f-b97c-4fc5-8c0c-f75ec7cd2d25"><enum>(3)</enum><text display-inline="yes-display-inline">The threat posed by theft of trade secrets occurring outside of the United States.</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id640c06c5-2a2d-492e-baa1-c13f3006fd36"><enum>(4)</enum><text display-inline="yes-display-inline">The ability and limitations of trade secret owners to prevent the misappropriation of trade secrets outside of the United States, to enforce any judgment against foreign entities for theft of trade secrets, and to prevent imports based on theft of trade secrets overseas.</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="iddc78c2ff-4bde-4f89-b024-323235962277"><enum>(5)</enum><text display-inline="yes-display-inline">A breakdown of the trade secret protections afforded United States companies by each country that is a trading partner of the United States and enforcement efforts available and undertaken in each such country, including a list identifying specific countries where trade secret theft, laws, or enforcement is a significant problem for United States companies.</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id27b60b17-1a87-4abc-9881-437270def43b"><enum>(6)</enum><text display-inline="yes-display-inline">Instances of the Federal Government working with foreign countries to investigate, arrest, and prosecute entities and individuals involved in the theft of trade secrets outside of the United States.</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id8012ce91-4c8d-4511-a13e-42eb4141f812"><enum>(7)</enum><text display-inline="yes-display-inline">Specific progress made under trade agreements and treaties, including any new remedies enacted by foreign countries, to protect against theft of trade secrets of United States companies outside of the United States.</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id7f6af64e-3348-4fcb-84db-f5f05383bfcd"><enum>(8)</enum><text display-inline="yes-display-inline">Recommendations of legislative and executive branch actions that may be undertaken to—</text><subparagraph commented="no" display-inline="no-display-inline" id="idbad123bc-e555-4834-98e3-6d1d681a1224"><enum>(A)</enum><text display-inline="yes-display-inline">reduce the threat of and economic impact caused by the theft of the trade secrets of United States companies occurring outside of the United States;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id41594def-af72-44f8-8b9e-ce605e4a40e0"><enum>(B)</enum><text display-inline="yes-display-inline">educate United States companies regarding the threats to their trade secrets when taken outside of the United States;</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id2f7c88ba-0ccd-4811-a2c9-9a9b02bc6eb4"><enum>(C)</enum><text display-inline="yes-display-inline">provide assistance to United States companies to reduce the risk of loss of their trade secrets when taken outside of the United States; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id41eee765-335e-449e-ac84-23da828dd6fd"><enum>(D)</enum><text display-inline="yes-display-inline">provide a mechanism for United States companies to confidentially or anonymously report the theft of trade secrets occurring outside of the United States.</text></subparagraph></paragraph></subsection></section><section commented="no" display-inline="no-display-inline" id="idbc306ef4-0f8c-49e6-8628-96171c3a700f" section-type="subsequent-section"><enum>5.</enum><header display-inline="yes-display-inline">Sense of Congress</header><text display-inline="no-display-inline">It is the sense of Congress that—</text><paragraph commented="no" display-inline="no-display-inline" id="id42cac33d-cca5-4870-bd32-4bb887c8b1dd"><enum>(1)</enum><text display-inline="yes-display-inline">trade secret theft occurs in the United States and around the world;</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idca0fce19-b17b-4225-9759-6a12b1ee460f"><enum>(2)</enum><text display-inline="yes-display-inline">trade secret theft, wherever it occurs, harms the companies that own the trade secrets and the employees of the companies;</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id4a03ba48-0016-415c-bb35-1f2f104d662b"><enum>(3)</enum><text display-inline="yes-display-inline"><external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/18/90">chapter 90</external-xref> of title 18, United States Code (commonly known as the <quote>Economic Espionage Act of 1996</quote>), applies broadly to protect trade secrets from theft; and</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idD4179FAEDDD94F0A95CC12B9EC5C5F21"><enum>(4)</enum><text display-inline="yes-display-inline">it is important when seizing information to balance the need to prevent or remedy misappropriation with the need to avoid interrupting the—</text><subparagraph commented="no" display-inline="no-display-inline" id="id395B764FF3BE4993980488538E41C1B9"><enum>(A)</enum><text display-inline="yes-display-inline">business of third parties; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id64D14122328440D985746AE527FFAE20"><enum>(B)</enum><text display-inline="yes-display-inline">legitimate interests of the party accused of wrongdoing.</text></subparagraph></paragraph></section><section commented="no" display-inline="no-display-inline" id="id498ea9adae0144a9a072c1ccbf697feb" section-type="subsequent-section"><enum>6.</enum><header display-inline="yes-display-inline">Best practices</header><subsection commented="no" display-inline="no-display-inline" id="idC1A542593E974AAC8056B0DA6DBB7B97"><enum>(a)</enum><header display-inline="yes-display-inline">In general</header><text display-inline="yes-display-inline">Not later than 2 years after the date of enactment of this Act, the Federal Judicial Center, using existing resources, shall develop recommended best practices for—</text><paragraph commented="no" display-inline="no-display-inline" id="idB6C7679A1FDC43B9B01B7972E7BF2A3C"><enum>(1)</enum><text display-inline="yes-display-inline">the seizure of information and media storing the information; and</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id51478ADF6E7641C7BD9DEF1DD7DF6405"><enum>(2)</enum><text display-inline="yes-display-inline">the securing of the information and media once seized.</text></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="id8DF7515235C546379D2307635578F6C5"><enum>(b)</enum><header display-inline="yes-display-inline">Updates</header><text display-inline="yes-display-inline">The Federal Judicial Center shall update the recommended best practices developed under subsection (a) from time to time.</text></subsection><subsection commented="no" display-inline="no-display-inline" id="id3D8F9692A35A40FAB2E634BDB48A72B1"><enum>(c)</enum><header display-inline="yes-display-inline">Congressional submissions</header><text display-inline="yes-display-inline">The Federal Judicial Center shall provide a copy of the recommendations developed under subsection (a), and any updates made under subsection (b), to the—</text><paragraph commented="no" display-inline="no-display-inline" id="idC03FB3A9332A41B091F72F4E0CF6251A"><enum>(1)</enum><text display-inline="yes-display-inline">Committee on the Judiciary of the Senate; and</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id305B309579BE40B090161C2FC44DAA9A"><enum>(2)</enum><text display-inline="yes-display-inline">Committee on the Judiciary of the House of Representatives.</text></paragraph></subsection></section><section commented="no" display-inline="no-display-inline" id="idA42711DC127B426FA85F674A19D27837" section-type="subsequent-section"><enum>7.</enum><header display-inline="yes-display-inline">Immunity from liability for confidential disclosure of a trade secret to the government or in a court filing</header><subsection commented="no" display-inline="no-display-inline" id="idA94C1EC4028F4C0BA25820A1AD624190"><enum>(a)</enum><header display-inline="yes-display-inline">Amendment</header><text display-inline="yes-display-inline">Section 1833 of title 18, United States Code, is amended—</text><paragraph commented="no" display-inline="no-display-inline" id="idE210ECF4B52F4238854FBF206EAD8295"><enum>(1)</enum><text display-inline="yes-display-inline">by striking <quote>This chapter</quote> and inserting <quote>(a) <header-in-text level="subsection" style="USC">In general</header-in-text>.—This chapter</quote>;</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idb9289cbf16b74af2ace84e50ca24a299"><enum>(2)</enum><text display-inline="yes-display-inline">in subsection (a)(2), as designated by paragraph (1), by striking <quote>the reporting of a suspected violation of law to any governmental entity of the United States, a State, or a political subdivision of a State, if such entity has lawful authority with respect to that violation</quote> and display-inline="yes-display-inline">Immunity from liability for confidential disclosure of a trade secret to the Government or in a court filing</header><paragraph commented="no" display-inline="no-display-inline" id="idE16662250D5C47DF99492DAEE0B71067"><enum>(1)</enum><header display-inline="yes-display-inline">Immunity</header><text display-inline="yes-display-inline">An individual shall not be held criminally or civilly liable under any Federal or State trade secret law for the disclosure of a trade secret that—</text><subparagraph commented="no" display-inline="no-display-inline" id="idADB95DC9893B4ECE8744962120E85BED"><enum>(A)</enum><text display-inline="yes-display-inline">is made—</text><clause commented="no" display-inline="no-display-inline" id="idFB35D797E65B49618C14229C14FFB312"><enum>(i)</enum><text display-inline="yes-display-inline">in confidence to a Federal, State, or local government official, either directly or indirectly, or to an attorney; and</text></clause><clause commented="no" display-inline="no-display-inline" id="id43FBD899090846F6B4CF129F202EAB17"><enum>(ii)</enum><text display-inline="yes-display-inline">solely for the purpose of reporting or investigating a suspected violation of law; or</text></clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idA635EB824A8347FFBAB888E35C61F5E0"><enum>(B)</enum><text display-inline="yes-display-inline">is made in a complaint or other document filed in a lawsuit or other proceeding, if such filing is made under seal.</text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="idAF7DBC7C34E8475C8EE2CCF686235B8C"><enum>(2)</enum><header display-inline="yes-display-inline">Use of trade secret information in anti-retaliation lawsuit</header><text display-inline="yes-display-inline">An individual who files a lawsuit for retaliation by an employer for reporting a suspected violation of law may disclose the trade secret to the attorney of the individual and use the trade secret information in the court proceeding, if the individual—</text><subparagraph commented="no" display-inline="no-display-inline" id="idA206106EE5004B66B7F2CA9C02917149"><enum>(A)</enum><text display-inline="yes-display-inline">files any document containing the trade secret under seal; and</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id8AC3B94B126B41BD89A59EAEAC00FE97"><enum>(B)</enum><text display-inline="yes-display-inline">does not disclose the trade secret, except pursuant to court order.</text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id7DE38FA6F7C0493AB8737FED17CEB5A8"><enum>(3)</enum><header display-inline="yes-display-inline">Notice</header><subparagraph commented="no" display-inline="no-display-inline" id="id5458C757B52A461EA685303845850F4C"><enum>(A)</enum><header display-inline="yes-display-inline">In general</header><text display-inline="yes-display-inline">An employer shall provide notice of the immunity set forth in this subsection in any contract or agreement with an employee that governs the use of a trade secret or other confidential information.</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id0A3A7C91D9634DD0B5E2DEC8DAB99DE2"><enum>(B)</enum><header display-inline="yes-display-inline">Policy document</header><text display-inline="yes-display-inline">An employer shall be considered to be in compliance with the notice requirement in subparagraph (A) if the employer provides a cross-reference to a policy document provided to the employee that sets forth the employer's reporting policy for a suspected violation of law.</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="id72DDF0542129415F840DB5F0C72DBCA4"><enum>(C)</enum><header display-inline="yes-display-inline">Non-compliance</header><text display-inline="yes-display-inline">If an employer does not comply with the notice requirement in subparagraph (A), the employer may not be awarded exemplary damages or attorney fees under subparagraph (C) or (D) of section 1836(b)(3) in an action against an employee to whom notice was not provided.</text></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="idC5FEFF36798C44D398A9DB0E1A6FB6B4"><enum>(D)</enum><header display-inline="yes-display-inline">Applicability</header><text display-inline="yes-display-inline">This paragraph shall apply to contracts and agreements that are entered into or updated after the date of enactment of this subsection.</text></subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id2D8BEC08E3644FF58FF354633F569583"><enum>(4)</enum><header display-inline="yes-display-inline">Employee defined</header><text display-inline="yes-display-inline">For purposes of this subsection, the term <term>employee</term> includes any individual performing work as a contractor or consultant for an employer.</text></paragraph><paragraph commented="no" display-inline="no-display-inline" id="id80A1B8F4588A430DB08687A6B2DFD349"><enum>(5)</enum><header display-inline="yes-display-inline">Rule of construction</header><text display-inline="yes-display-inline">Except as expressly provided for under this subsection, nothing in this subsection shall be construed to authorize, or limit liability for, an act that is otherwise prohibited by law, such as the unlawful access of material by unauthorized means.</text></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="idE7E2389888E64EF08E01E52921B8ACC1"><enum>(b)</enum><header display-inline="yes-display-inline">Technical and conforming amendment</header><text display-inline="yes-display-inline">Section 1838 of title 18, United States Code, is amended by striking <quote>This chapter</quote> and inserting <quote>Except as provided in section 1833(b), this chapter</quote>.</text></subsection></section></legis-body><attestation><attestation-group><attestor display="no"></attestor><role>Speaker of the House of
