		<section id="HB182CF8EEED245DBBB8FD30AFC84CE20" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Consortia-Led Energy and Advanced Manufacturing Networks Act</short-title></quote>.</text>
		</section><section id="H454B3619172A4906966C85E4724227D0"><enum>2.</enum><header>Definitions</header><text display-inline="no-display-inline">In this Act:</text>
			<paragraph id="HAC97598F98EA4A9F89ED32C70061319F"><enum>(1)</enum><header>Clean technology</header><text>The term <term>clean technology</term> means a technology, production process, or methodology that—</text>
				<subparagraph id="H17C37215280943AB8A59A1BA33E2465F"><enum>(A)</enum><text>produces energy from solar, wind, geothermal, biomass, tidal, wave, ocean, or another renewable
			 energy source (as defined in section 609 of the Public Utility Regulatory
			 Policies Act of 1978 (<external-xref legal-doc="usc" parsable-cite="usc/7/918c">7 U.S.C. 918c</external-xref>));</text>
				</subparagraph><subparagraph id="H0887F0EAABD5469D9490289AFE9C4584"><enum>(B)</enum><text>more efficiently transmits, distributes, or stores energy;</text>
				</subparagraph><subparagraph id="HBDD85F7E772746F0B103517DD1A2365C"><enum>(C)</enum><text>enhances energy efficiency for buildings and industry, including combined heat and power;</text>
				</subparagraph><subparagraph id="HDF5507D85D244ADB88D10BBF4EFD48F7"><enum>(D)</enum><text>enables the development of a Smart Grid (as described in section 1301 of the Energy Independence
			 and Security Act of 2007 (<external-xref legal-doc="usc" parsable-cite="usc/42/17381">42 U.S.C. 17381</external-xref>)), including integration of
			 renewable energy sources and distributed generation, demand response,
			 demand side management, and systems analysis;</text>
				</subparagraph><subparagraph id="H10661447F1624F5BB7B7F4B11D03C34D"><enum>(E)</enum><text>produces an advanced or sustainable material with energy or energy efficiency applications;</text>
				</subparagraph><subparagraph id="HB5DF5C6F7DCE47079985C85B9D056CF6"><enum>(F)</enum><text>improves energy efficiency for transportation, including electric vehicles;</text>
				</subparagraph><subparagraph id="HD237E5EB30304DA6BF5ED73C446C1F43"><enum>(G)</enum><text>enhances water security through improved water management, conservation, distribution, or end use
			 applications; or</text>
				</subparagraph><subparagraph id="H767ED464A07549C1A5BA94B7CF7FF96B"><enum>(H)</enum><text>addresses challenges in advanced manufacturing and supply chain integration related to a
			 technology, production process, or methodology described in subparagraphs
			 (A) through (G).</text>
				</subparagraph></paragraph><paragraph id="H03F2DF1E6638423DA2CF00DEA3B4036A"><enum>(2)</enum><header>Advanced manufacturing</header><text>The term <term>advanced manufacturing</term>—</text>
				<subparagraph id="HDCBAD64AB86244BEB91EC1F00EC109D2"><enum>(A)</enum><text>means a family of activities that—</text>
					<clause id="H83F4125BF7E348079029B4F33879848B"><enum>(i)</enum><text>depend on the use and coordination of information, automation, computation, software, sensing, and
			 networking; or</text>
					</clause><clause id="HE2194C6778DC424AB87FA7F113453604"><enum>(ii)</enum><text>make use of cutting edge materials and emerging capabilities enabled by the physical or biological
			 sciences, including nanotechnology, chemistry, and biology; and</text>
					</clause></subparagraph><subparagraph id="H5D6D4D6EF8C4467EB0290DA4E4383CB2"><enum>(B)</enum><text>includes both new ways to manufacture existing products and the manufacture of new products
			 emerging from new advanced technologies.</text>
				</subparagraph></paragraph><paragraph id="HE53B26D23D9B407099CE90ED99B8A671"><enum>(3)</enum><header>Cluster</header><text>The term <term>cluster</term> means a network of entities directly involved in the research, development, finance, and
			 commercial application of clean technologies and advanced manufacturing
			 whose geographic proximity facilitates the use and sharing of skilled
			 human resources, infrastructure, research facilities, educational and
			 training institutions, venture capital, and input suppliers.</text>
			</paragraph><paragraph id="H04B7AD5B654142FBB651797BC150BA85"><enum>(4)</enum><header>Consortium</header><text>The term <term>consortium</term> means a clean technology consortium established in accordance with this Act.</text>
			</paragraph><paragraph id="H1473265AC2D44BBC89A57C4F5A27EBB0"><enum>(5)</enum><header>Project</header><text>The term <term>project</term> means an activity with respect to which a consortium provides support under this Act.</text>
			</paragraph><paragraph id="H9874FE9FE9364BE4BB6F01A6131BC5F0"><enum>(6)</enum><header>Qualifying entity</header><text>The term <term>qualifying entity</term> means—</text>
				<subparagraph id="H402EEB1BF127483C8BB42285146E235F"><enum>(A)</enum><text>a research university;</text>
				</subparagraph><subparagraph id="H9633242A15354050A8F20F9E1F860D6A"><enum>(B)</enum><text>a Federal or State institution with a focus on developing clean technologies or clusters; or</text>
				</subparagraph><subparagraph id="HA19BD0B197B6403CA4E1C209D5640796"><enum>(C)</enum><text>a nongovernmental organization with expertise in translational research, clean technology, or
			 cluster development.</text>
				</subparagraph></paragraph><paragraph id="H00832B1FDCCF48058D69601A2B2EC0E3"><enum>(7)</enum><header>Secretary</header><text>The term <term>Secretary</term> means the Secretary of Commerce.</text>
			</paragraph><paragraph id="H87270569788E448382271B2CD37BA45B"><enum>(8)</enum><header>Translational research</header><text>The term <term>translational research</term> means the coordination of basic or applied research with technical applications to enable
			 promising discoveries or inventions to achieve commercial application.</text>
			</paragraph></section><section id="H788B62D3093245B89A3276FC3BC5B96D"><enum>3.</enum><header>Establishment of clean technology consortia program</header>
			<subsection id="HEE92D586071E4810AF79E8BD9621A9E5"><enum>(a)</enum><header>In general</header><text>The Secretary shall establish and carry out a program to establish clean technology consortia to
			 enhance the economic, environmental, and energy security of the United
			 States by promoting domestic development, manufacture, and deployment of
			 clean, state-of-the-art technologies.</text>
			</subsection><subsection id="H83A1D4B7C69841A1A6042A1E37ACB39F"><enum>(b)</enum><header>Program</header><text>The Secretary shall carry out the program established under subsection (a) by leveraging the
			 expertise and resources of private research communities, institutions of
			 higher education, industry, venture capital, National Laboratories (as
			 defined in section 2 of the Energy Policy Act of 2005 (<external-xref legal-doc="usc" parsable-cite="usc/42/15801">42 U.S.C. 15801</external-xref>)),
			 and other participants in technology innovation—</text>
				<paragraph id="HA6FC4805F27048FFA5E8C30982D7607B"><enum>(1)</enum><text>to support collaborative, cross-disciplinary research and development in clean technologies and
			 advanced manufacturing; and</text>
				</paragraph><paragraph id="HCACB743F7A6E49F68AACCB68D0BC0F8A"><enum>(2)</enum><text>to develop and accelerate the commercial application of innovative clean technologies.</text>
				</paragraph></subsection><subsection id="H1C84BD094A144A87862CB30FB64914D1"><enum>(c)</enum><header>Role of the Secretary</header><text>The Secretary shall—</text>
				<paragraph id="H522F9C8CF47E4C08B9E465AFD880F2C2"><enum>(1)</enum><text>carry out and oversee all aspects of the program established under subsection (a);</text>
				</paragraph><paragraph id="H8A90719F7BCB45B59379A455A296CE4A"><enum>(2)</enum><text>select recipients of grants for the establishment and operation of consortia through a competitive
			 selection process; and</text>
				</paragraph><paragraph id="HBC423DE52D784E73A5A315BEEB2247B4"><enum>(3)</enum><text display-inline="yes-display-inline">coordinate the innovation activities of consortia with activities carried out by the Secretary of
			 Energy, the Secretary of Defense, other Federal agency heads, industry,
			 and institutions of higher education, including by annually—</text>
					<subparagraph id="H9A82AD24A8384D0F918EEC413CF9EAF2"><enum>(A)</enum><text>issuing guidance regarding national clean technology development priorities and strategic
			 objectives; and</text>
					</subparagraph><subparagraph id="H6FB6719C5B8247589F8E18CB0CEDBDEC"><enum>(B)</enum><text display-inline="yes-display-inline">convening a conference relating to clean technology, which shall bring together representatives of
			 Federal agencies, industry, institutions of higher education, and other
			 entities to share research and commercialization results, program plans,
			 and opportunities for collaboration.</text>
					</subparagraph></paragraph></subsection><subsection id="HF20DB9E5B6C14AC2B17B6149BCB87482"><enum>(d)</enum><header>Role of consortia</header><text>The consortia shall—</text>
				<paragraph id="H3522437C0356411F95E1AF49AC62153D"><enum>(1)</enum><text>promote new innovative clean technologies that have demonstrated interest and potential for
			 commercialization;</text>
				</paragraph><paragraph id="H977FF75932E44355BB700ECD5C1FA0E4"><enum>(2)</enum><text>expand advanced manufacturing capabilities, networks, supply chains, and assets, in the area of
			 clean technologies, that contribute to regional and national manufacturing
			 competitiveness and potential for growth;</text>
				</paragraph><paragraph id="H7197D28CBE144DDA92FE939461CDF5AA"><enum>(3)</enum><text>promote job creation and entrepreneurship through the establishment of new companies, the expansion
			 of existing companies, and commercialization of clean technologies;</text>
				</paragraph><paragraph id="HD10031DFD7A449409E5CE9BA620F8506"><enum>(4)</enum><text>provide technical or financial assistance to companies looking to invest in clean technologies, new
			 products or services, or enhanced processes that will grow sales and jobs;</text>
				</paragraph><paragraph id="H2F41B66B833D45C1A2EDA2D37A4BE7DE"><enum>(5)</enum><text>determine opportunities and challenges that companies are facing and how to improve their use or
			 production of clean technologies;</text>
				</paragraph><paragraph id="H2C0BD111B69342C6B2E450CAA5483684"><enum>(6)</enum><text>equip individual small- and medium-sized enterprises with the capacity and agility to change
			 through the adoption and utilization of new clean technologies and related
			 business practices;</text>
				</paragraph><paragraph id="HA2D1F2889481490887AF29CC0D24EDB0"><enum>(7)</enum><text>accelerate investment in and deployment of clean technologies through public-private partnerships;</text>
				</paragraph><paragraph id="H6644B2042349406CA8EEF36F4A73E9D1"><enum>(8)</enum><text>encourage partnering between and among emerging and established clean technology and advanced
			 manufacturing enterprises; and</text>
				</paragraph><paragraph id="H929B049E7AEC4DF7BCF2514D7ABE154A"><enum>(9)</enum><text>demonstrate a comprehensive and successful model for commercialization of clean technologies for
			 promotion and emulation.</text>
				</paragraph></subsection></section><section id="H1B5A0ED7B60449EB88A0637ACA976973"><enum>4.</enum><header>Applications</header>
			<subsection id="H18802349F5674F859F7AC02195828141"><enum>(a)</enum><header>In general</header><text>To receive a grant under this Act, a consortium shall submit to the Secretary an application in
			 such manner, at such time, and containing such information as the
			 Secretary determines to be necessary.</text>
			</subsection><subsection id="H80E56D559CFD449992AD48B59D5CDF8C"><enum>(b)</enum><header>Eligibility</header><text>A consortium shall be eligible to receive a grant under this Act if—</text>
				<paragraph id="H4E7D94A70B144DFBB49580CF180B8B04"><enum>(1)</enum><text>the consortium consists of—</text>
					<subparagraph id="HA688DB379BE14B4CBAB186FB5D922B0C"><enum>(A)</enum><text>1 or more research universities that can demonstrate a significant annual clean technology research
			 budget, entrepreneurial support programs, and technology licensing
			 expertise; and</text>
					</subparagraph><subparagraph id="H56B400206B2449D3B93BC0C72DCF2273"><enum>(B)</enum><text>a total of 5 or more qualifying entities that can demonstrate expertise in translational research,
			 clean technology, and cluster development;</text>
					</subparagraph></paragraph><paragraph id="HBECD87069CA345E3B7BC32653EC9F518"><enum>(2)</enum><text>the members of the consortium have established a binding agreement that documents—</text>
					<subparagraph id="H1C24C4F760BE4D3CAFEA2EAA54EA55EC"><enum>(A)</enum><text>the structure of the partnership agreement;</text>
					</subparagraph><subparagraph id="H45CAA1289E7A40EEB33ABE69A7B3E379"><enum>(B)</enum><text>a governance and management structure that enables cost-effective implementation of the program;</text>
					</subparagraph><subparagraph id="HEA9FCA97B9C64822978BBD93E6B30DC9"><enum>(C)</enum><text display-inline="yes-display-inline">a conflicts-of-interest policy, including procedures, consistent with those of the Department of
			 Commerce, to ensure that employees and designees for consortium activities
			 who are in decisionmaking capacities disclose all material conflicts of
			 interest, including financial, organizational, and personal conflicts of
			 interest;</text>
					</subparagraph><subparagraph id="HA47CF51C1A9141E29DDABF856CD01970"><enum>(D)</enum><text>an accounting structure that meets the requirements of the Secretary and that may be audited under
			 this Act; and</text>
					</subparagraph><subparagraph id="H6072500E8CF04E5D89C071997EE16794"><enum>(E)</enum><text>the existence of an external advisory committee;</text>
					</subparagraph></paragraph><paragraph id="H5E6D875E60E844EFA65772DCA4358B24"><enum>(3)</enum><text>the consortium receives funding from non-Federal sources, such as a State and participants of the
			 consortium, that may be used to support projects;</text>
				</paragraph><paragraph id="HD1A47413A73B4C53960A2FF9E938DCA7"><enum>(4)</enum><text>the consortium is part of an existing cluster or demonstrates high potential to develop a new
			 cluster; and</text>
				</paragraph><paragraph id="HB129252013E34EFE9B87D646422E85C4"><enum>(5)</enum><text>the consortium operates as a nonprofit organization or as a public-private partnership under an
			 operating agreement led by a nonprofit organization.</text>
				</paragraph></subsection><subsection id="H2FD1C0A9D0704624A44B56E06C816F6B"><enum>(c)</enum><header>Disqualification</header><text>The Secretary may disqualify an application from a consortium under this Act if the Secretary
			 determines that the conflicts-of-interest policy of the consortium is
			 inadequate.</text>
			</subsection><subsection id="H209CBD3952F5417F99B7AF5A9536B3F7"><enum>(d)</enum><header>External advisory committees</header>
				<paragraph id="H73CF91F28EAE41C08E40115AA46886B3"><enum>(1)</enum><header>In general</header><text>To be eligible to receive a grant under this Act, a consortium shall establish an external advisory
			 committee, the members of which shall have extensive and relevant
			 scientific, technical, industry, financial, or research management
			 expertise.</text>
				</paragraph><paragraph id="HBFB5B419977049EAB90B0F1E2AEC5B64"><enum>(2)</enum><header>Duties</header><text>An external advisory committee shall—</text>
					<subparagraph id="HED91A8BBF77240FFBC7CE887D496E8CB"><enum>(A)</enum><text>review the proposed plans, programs, project selection criteria, and projects of the consortium;
			 and</text>
					</subparagraph><subparagraph id="H21DDE748DBD74F69906557A8130F46CE"><enum>(B)</enum><text>ensure that projects selected by the consortium meet the applicable conflicts-of-interest policy of
			 the consortium.</text>
					</subparagraph></paragraph><paragraph id="HD22422C1406C4FC5B756E0439CDC7F44"><enum>(3)</enum><header>Members</header><text>An external advisory committee shall consist of—</text>
					<subparagraph id="H62EF8944B3B3451B969C0B537B7DF13C"><enum>(A)</enum><text>representatives of the members of the consortium; and</text>
					</subparagraph><subparagraph id="H09807635C03040EE949CDF8830EF0E0A"><enum>(B)</enum><text>such representatives of industry, including entrepreneurs and venture capitalists, as the members
			 of the consortium determine to be necessary.</text>
					</subparagraph></paragraph><paragraph id="H6F06C135439049F68027971201578C87"><enum>(4)</enum><header>Secretary as member</header><text>The Secretary shall join the external advisory committee of a consortium that receives a grant
			 under this Act.</text>
				</paragraph></subsection></section><section id="H75107BB0C8494C2AA6A0DF9594EC3F02"><enum>5.</enum><header>Grants</header>
			<subsection id="H2C5E217C5EC847B09AA7F66D7B25E5EE"><enum>(a)</enum><header>In general</header><text>The Secretary shall award grants, on a competitive basis, to 6 or more consortia.</text>
			</subsection><subsection id="H44929A828C09413E95F653A70E9F2CF5"><enum>(b)</enum><header>Terms</header>
				<paragraph id="H80E90CE25C6A46E2B2A090A63A76B108"><enum>(1)</enum><header>In general</header><text>The initial term of a grant awarded under this Act shall not exceed 5 years.</text>
				</paragraph><paragraph id="H62384D2B3A114652B516EBDA2E670089"><enum>(2)</enum><header>Extension</header><text>The Secretary may extend the term of a grant awarded under this Act for a period of not more than 5
			 additional years.</text>
				</paragraph></subsection><subsection id="H6C95843D6F9F4D038F7543CA3F4AB0F8"><enum>(c)</enum><header>Amounts</header>
				<paragraph id="HA547B2C893A14AB8A3A9AAC7C5D2AB64"><enum>(1)</enum><header>In general</header><text>A grant awarded to a consortium under this Act shall not exceed the lesser of—</text>
					<subparagraph id="HE750E62497844672BCB4F2B8C080BBC6"><enum>(A)</enum><text>$30,000,000 per fiscal year; or</text>
					</subparagraph><subparagraph id="H8FA5F28692C24ED0A20ECAF3DA6E3F51"><enum>(B)</enum><text>the collective contributions of non-Federal entities to the consortium, as described under section
			 4(b)(3).</text>
					</subparagraph></paragraph><paragraph id="HF109D26C314542B298CE1CA9BEA0B995"><enum>(2)</enum><header>Flexibility</header><text>In determining the amount of a grant under this section, the Secretary shall consider—</text>
					<subparagraph id="H4C550808420D4AE8B0A1CEA5C5F3B5E6"><enum>(A)</enum><text>the translational research capacity of the consortium;</text>
					</subparagraph><subparagraph id="HF9D96E7ECB214C83B8A025DB53AB33E1"><enum>(B)</enum><text>the financial, human, and facility resources of the qualifying entities; and</text>
					</subparagraph><subparagraph id="H495CCA637FE54101A87C77B039685D00"><enum>(C)</enum><text>the cluster of which the consortium is a part.</text>
					</subparagraph></paragraph><paragraph id="HA4F73863F673403B8C5E501B5DA7B0FA"><enum>(3)</enum><header>Increases in amounts</header><text>Subject to paragraph (1), a consortium may request an increase in the amount of a grant awarded
			 under this Act at the time the consortium requests an extension of an
			 initial grant.</text>
				</paragraph></subsection><subsection id="HB78F2BF4F3BC4065A9151C917DD271C0"><enum>(d)</enum><header>Use of amounts</header>
				<paragraph id="H29254F6821A94F1C99617CD8A16E6B45"><enum>(1)</enum><header>In general</header><text>Subject to paragraph (3), a consortium awarded a grant under this Act shall use the amounts to
			 support translational research, technology development, manufacturing
			 innovation, and commercialization activities relating to clean technology.</text>
				</paragraph><paragraph id="H2AF240B9F5EC4095B691CF56D1C36C5D"><enum>(2)</enum><header>Project selection</header><text>As a condition of receiving a grant under this Act, a consortium shall—</text>
					<subparagraph id="H3F950D8A992F426497C6557C4B1BBD5D"><enum>(A)</enum><text>develop and make available to the public on the Web site of the Department of Commerce proposed
			 plans, programs, project selection criteria, and terms for individual
			 project awards;</text>
					</subparagraph><subparagraph id="H7168605C9C1443D3A79DB2ECA74BD4CA"><enum>(B)</enum><text>establish policies—</text>
						<clause id="H0FA8F7B249D843D69E685B8B166B1574"><enum>(i)</enum><text>to prevent resources provided to the consortium from being used to displace private sector
			 investment otherwise likely to occur, including investment from private
			 sector entities that are members of the consortium;</text>
						</clause><clause id="H0986FF4CC8B148099FE7D4B04D77A04F"><enum>(ii)</enum><text>to facilitate the participation of private entities that invest in clean technologies to perform
			 due diligence on award proposals, to participate in the award review
			 process, and to provide guidance to projects supported by the consortium;
			 and</text>
						</clause><clause id="H0F5E8529379045E78CBB1FDD04523D41"><enum>(iii)</enum><text>to facilitate the participation of parties with a demonstrated history of commercial application of
			 clean technologies in the development of consortium projects;</text>
						</clause></subparagraph><subparagraph id="H8BB5097B597742329E6150CDEACA5664"><enum>(C)</enum><text>oversee project solicitations, review proposed projects, and select projects for awards; and</text>
					</subparagraph><subparagraph id="H799A58FB8BC242E8AFE77A296E0B4DAF"><enum>(D)</enum><text>monitor project implementation.</text>
					</subparagraph></paragraph><paragraph id="HB2EF06CB3C994572B25EA92B32191CC7"><enum>(3)</enum><header>Limitations</header>
					<subparagraph id="H4066C7987B5D42E48952F4C797BA6786"><enum>(A)</enum><header>Administrative expenses</header><text>A consortium may use not more than 10 percent of the amounts awarded to the consortium for
			 administrative expenses.</text>
					</subparagraph><subparagraph id="H3584424BF06345DBAABE3D94BFA8F879"><enum>(B)</enum><header>Prohibition on use</header><text>A consortium may not use any amounts awarded to the consortium under this Act to construct a new
			 building or facility.</text>
					</subparagraph></paragraph></subsection><subsection id="H977ABD6286C74E96A7FD4F38C9A3E84B"><enum>(e)</enum><header>Audits</header>
				<paragraph id="HDDEC42FF8AB34FAC89B32750A167CBB3"><enum>(1)</enum><header>In general</header><text>A consortium that receives a grant under this Act shall carry out, in accordance with such
			 requirements as the Secretary may prescribe, an annual audit to determine
			 whether the grant has been used in accordance with this Act.</text>
				</paragraph><paragraph id="H782039D8BA2944BD9B3E612D195DF81E"><enum>(2)</enum><header>Report</header><text>The consortium shall submit a copy of each audit under paragraph (1) to the Secretary and the
			 Comptroller General of the United States.</text>
				</paragraph><paragraph id="HEA07CDFBE13248EC835357A68BEEC054"><enum>(3)</enum><header>GAO review</header><text>As a condition of receiving a grant under this Act, a consortium shall allow the Comptroller
			 General of the United States, on the request of the Comptroller General,
			 full access to the books, records, and personnel of consortium.</text>
				</paragraph><paragraph id="H08E8C601D47A4E1A948CC02C2363298E"><enum>(4)</enum><header>Reports to Congress</header><text>The Secretary shall submit to Congress annually a report that includes—</text>
					<subparagraph id="H18D2F7D1BBA7408B84ACD1FD44DB7E51"><enum>(A)</enum><text>a copy of each audit carried out under paragraph (1); and</text>
					</subparagraph><subparagraph id="H6B28E3E2CA2242B49A349AE01B02993D"><enum>(B)</enum><text>any recommendations of the Secretary relating to the clean technology consortia program.</text>
					</subparagraph></paragraph></subsection><subsection id="HC4A36A0D854E4546ADF5B46415C13CC1"><enum>(f)</enum><header>Revocation of awards</header><text>The Secretary shall have the authority—</text>
				<paragraph id="H0DFE5881CE5C42AC9F4B65DA885C5C09"><enum>(1)</enum><text>to review grants awarded under this Act; and</text>
				</paragraph><paragraph id="HC54A6D7754C4485098DE74B9A7831BD1"><enum>(2)</enum><text>to revoke a grant awarded under this Act if the Secretary determines that a consortium has used the
			 grant in a manner that is not consistent with this Act.</text>
				</paragraph></subsection><subsection id="H6D946107AB114FBD81E137A41EFC8031"><enum>(g)</enum><header>Authorization of appropriations</header><text>There is authorized to be appropriated to the Secretary to carry out this section $100,000,000.</text>
