		<section id="HDDFDAC8AF7F54B07AD31AF655E78E59C" section-type="section-one"><enum>1.</enum><header>Short title</header>
			<text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>National Rare-Earth Cooperative Act of 2014</short-title></quote>.</text></section><section id="id0DA331E220E1402D87FC9B8EB2D7EA3A" section-type="subsequent-section"><enum>2.</enum><header>Findings; statement of policy</header><subsection id="id6AB4A337878549E2BD9F3EF72590B626"><enum>(a)</enum><header>Findings</header><text>Congress makes the following finding:</text><paragraph id="idD33FD6C969A3418786A93B7060F04E07"><enum>(1)</enum><text>Heavy rare-earth elements are critical for the national defense of the United States, advanced
			 energy technologies, and other desirable commercial and industrial
			 applications.</text></paragraph><paragraph id="id8AF42A335B4747C18845E73AA3D5341C"><enum>(2)</enum><text>The Government Accountability Office has confirmed that the monopoly control of the People’s
			 Republic of China over the rare-earth value chain has resulted in
			 vulnerabilities in the procurement process of multiple United States
			 weapons systems.</text></paragraph><paragraph id="id3C7ACF998CF04E849D2835D1FF7BE648"><enum>(3)</enum><text>China has leveraged its monopoly control over the rare-earth value chain to force American,
			 European, Japanese, and Korean corporations to transfer manufacturing
			 facilities, technology, and jobs to China in exchange for secure supply
			 contracts.</text></paragraph><paragraph id="id628C5B67B15C41969BAFB3DD5BCA6D49"><enum>(4)</enum><text>China’s increasingly aggressive mercantilist behavior has resulted in involuntary transfers of
			 technology, manufacturing facilities, and jobs as well as onerous trade
			 imbalances with the United States and trading partners of the United
			 States.</text></paragraph><paragraph id="id4183E4126B6143A0B19CFE50FA8C486D"><enum>(5)</enum><text>Direct links exist between heavy rare-earth mineralogy and thorium.</text></paragraph><paragraph id="id7FCB7E8B813C4AEFB2452CFAD012A3AF"><enum>(6)</enum><text>Thorium is a mildly radioactive element commonly associated with the lanthanide elements in the
			 most heavy rare-earth deposits that are located in the United States and
			 elsewhere.</text></paragraph><paragraph id="idBD9E13D3E91349DF8EF1F3D3934C2AA8"><enum>(7)</enum><text>Regulations regarding thorium represent a barrier to the development of the heavy rare-earth
			 industry that is based in the United States.</text></paragraph><paragraph id="idC26D83C6C6204A53A93CEA0DBC97064B"><enum>(8)</enum><text>Balancing the strategic national interest objectives of the United States against economic and
			 environmental risks is best met through the creation of a rare-earth
			 cooperative.</text></paragraph><paragraph id="idDBCE5F39501E4A518E0F801AD09EAE11"><enum>(9)</enum><text>A rare-earth cooperative could—</text><subparagraph id="id5D86C57FF204469D83372CEC52541EC4"><enum>(A)</enum><text>greatly increase rare-earth production;</text></subparagraph><subparagraph id="id735BDA3F5EE6487AA39B898297CE08AA"><enum>(B)</enum><text>ensure environmental safety; and</text></subparagraph><subparagraph id="id844A504D769342D88283FB08534F0BB6"><enum>(C)</enum><text>lower the cost of production and financial risks faced by rare-earth producers in the United
			 States.</text></subparagraph></paragraph><paragraph id="idF6B467E9E7C84DE79D114EDB0DE9861C"><enum>(10)</enum><text>Historically, agricultural and electric cooperatives have stood as some of the greatest success
			 stories of the United States.</text></paragraph></subsection><subsection id="idF3C0C6AD97954E2DAAF0D13157DF4E4A"><enum>(b)</enum><header>Statement of policy</header><text>It is the policy of the United States to advance domestic refining of heavy rare-earth materials
			 and the safe storage of thorium in anticipation of the potential future
			 industrial uses of thorium, including energy, as—</text><paragraph id="id0C616B1A19A148F081D0F91B54DE3916"><enum>(1)</enum><text>thorium has a mineralogical association with valuable heavy rare-earth elements;</text></paragraph><paragraph id="idD685C64E6C334FAFA6634A1E729C3A87"><enum>(2)</enum><text>there is a great need to develop domestic refining capacity to process domestic heavy rare-earth
			 deposits; and</text></paragraph><paragraph id="idA9AEA119FE2141D482B00FDFA0DBD0C6"><enum>(3)</enum><text>the economy of the United States would benefit from the rapid development and control of
			 intellectual property relating to the commercial development of
			 thorium-utilizing technology.</text></paragraph></subsection></section><section id="idA99400FC888F4267A6006E466BD422D1"><enum>3.</enum><header>Definitions</header><text display-inline="no-display-inline">In this Act:</text><paragraph id="id798A553F19AB4FB096EE60FD069B01D1"><enum>(1)</enum><header>Actinide</header><text>The term <term>actinide</term> means all elements with atomic numbers of 89 or greater on the periodic table.</text></paragraph><paragraph id="id9AE64C7A6BF5404DAACFE172C2691351"><enum>(2)</enum><header>Consumer member</header><subparagraph id="idA04642ADA6D740EEAFE34EB969BCB910"><enum>(A)</enum><header>In general</header><text>The term <term>consumer member</term> means a member of the Cooperative that is—</text><clause id="id65EE43664DF642ABBFD5F8B7A8320CF0"><enum>(i)</enum><text>an entity that is part of, or has a role in, the value chain for rare-earth materials or rare-earth
			 products, including from the refined oxide state to the stage in which the
			 rare-earth elements are finished in any physical or chemical form
			 (including oxides, metals, alloys, catalysts, or component); or</text></clause><clause id="idCA4C8FC031284118A408F363D82AD812"><enum>(ii)</enum><text>a consumer of rare-earth products.</text></clause></subparagraph><subparagraph id="id78347E0F2ECD443B9834DAE994139A35"><enum>(B)</enum><header>Inclusions</header><text>The term <term>consumer member</term> includes—</text><clause id="id90EF21FFB5E043B897B4CABB5CCA9156"><enum>(i)</enum><text>a producer of or other entity that is part of the value chain for rare-earth materials, including
			 original equipment manufacturer producers, whose place of business is
			 located in or outside the United States;</text></clause><clause id="id74060A4F5330403A8BEE84F7DD529168"><enum>(ii)</enum><text>a defense contractor or contractors in the United States; and</text></clause><clause id="id644A6DE1D0074856B8CDA5E7369716D7"><enum>(iii)</enum><text>any government agency in the United States or outside the United States that invests in the
			 Cooperative.</text></clause></subparagraph></paragraph><paragraph id="idCED6A4246C9140D98F4D4681A5A4C369"><enum>(3)</enum><header>Cooperative</header><text>The term <term>Cooperative</term> means the Thorium-Bearing Rare-Earth Refinery Cooperative established by section 4(a)(1).</text></paragraph><paragraph id="id9D56B4AAE6E04FD2A0597188AF0876B3"><enum>(4)</enum><header>Cooperative board</header><text>The term <term>Cooperative Board</term> means the Board of Directors of the Cooperative established under section 4(b)(2).</text></paragraph><paragraph id="id82FE70F6104B4EE3A13467485BCF3A82"><enum>(5)</enum><header>Corporation</header><text>The term <term>Corporation</term> means the Thorium Storage, Energy, and Industrial Products Corporation established under section
			 5(a)(1).</text></paragraph><paragraph id="idD08E812821414D1CBA493229350062FB"><enum>(6)</enum><header>Corporation board</header><text>The term <term>Corporation Board</term> means the Board of Directors of the Corporation established under section 5(b)(1).</text></paragraph><paragraph id="id7A167F81BAA845DBBA0D9C0ED43FBAF1"><enum>(7)</enum><header>Executive committee</header><text>The term <term>Executive Committee</term> means the executive committee established under section 5(b)(2).</text></paragraph><paragraph id="id4C25CDB385514F0B84C12D41D627A481"><enum>(8)</enum><header>Initial board of directors</header><text>The term <term>Initial Board of Directors</term> means the initial Board of Directors for the Cooperative established under section 4(b)(1)(A).</text></paragraph><paragraph id="idA5FF74D307394F60A9133498DFBBC5D8"><enum>(9)</enum><header>Institution of higher education</header><text>The term <term>institution of higher education</term> has the meaning given that term in section 101(a) of the Higher Education Act of 1965 (20 U.S.C.
			 1001(a)).</text></paragraph><paragraph id="idE494B09ADE554C8BA6C4EDE609FF717B"><enum>(10)</enum><header>National laboratory</header><text>The term <term>national laboratory</term> has the meaning given that term in section 2 of the Energy Policy Act of 2005 (<external-xref legal-doc="usc" parsable-cite="usc/42/15801">42 U.S.C. 15801</external-xref>).</text></paragraph><paragraph id="id4DADF75BFEA04E05B18E44D310FA7AC3"><enum>(11)</enum><header>Secretary</header><text>The term <term>Secretary</term> means the Secretary of Defense.</text></paragraph><paragraph id="idEEE53E7F3D9F40978A656FB35DAE4AD6"><enum>(12)</enum><header>Supplier member</header><text>The term <term>supplier member</term> means a rare-earth producer that enters into a contract to supply the Cooperative with rare-earth
			 ores.</text></paragraph><paragraph id="id686C9B418B5D4198A5D7E6CC7F68DC48"><enum>(13)</enum><header>Tolling</header><text>The term <term>Tolling</term> means a fee-for-services contract between the Cooperative and a primary rare-earth producer under
			 which—</text><subparagraph id="id1A4CA8989B1D450E87600221FB691991"><enum>(A)</enum><text>the producer retains ownership and control of the finished product; and</text></subparagraph><subparagraph id="id86F8071DFFB949EAACE00415F0BDCEDD"><enum>(B)</enum><text>pays to the Cooperative a fee for services rendered by the Cooperative.</text></subparagraph></paragraph><paragraph id="id7CACE7DEB5CD4A3FB81DB43175A86DE3"><enum>(14)</enum><header>Unprocessed and unrefined ore</header><text>The term <term>unprocessed and refined ore</term> includes any ores or residual ores resulting from the mining, extraction, beneficiation, and
			 processing of other natural resources.</text></paragraph></section><section id="id676FB4AF0A424451AAAD95681DBD0A0E"><enum>4.</enum><header>Thorium-Bearing Rare-Earth Refinery Cooperative</header><subsection id="idB4D3823B020F46009BD0FD96B43ACF82"><enum>(a)</enum><header>Establishment</header><paragraph id="id48FE5EC4E7A748E1AE30E014410FF538"><enum>(1)</enum><header>In general</header><text>There is established a Cooperative, to be known as the <quote>Thorium-Bearing Rare-Earth Refinery Cooperative</quote>, to provide for the domestic processing of thorium-bearing rare-earth concentrates as residual
			 unprocessed and unrefined ores, in accordance with 10 CFR 40.12 and 13b as
			 it relates to the Cooperative.</text></paragraph><paragraph id="idCD7C4D12EEA942E1B654A99BD0B8A2E8"><enum>(2)</enum><header>Federal charter; ownership</header><text>The Cooperative shall operate under a Federal charter.</text></paragraph><paragraph id="id0B89DDD99EE14473BA17F87A65C0D623"><enum>(3)</enum><header>Membership</header><subparagraph id="id787B15C39F4147BE9D9ECDE9D30D85C0"><enum>(A)</enum><header>Composition</header><text>The Cooperative shall comprise—</text><clause id="id245FDB4ECDE74531A53A8529ED794A98"><enum>(i)</enum><text>supplier members; and</text></clause><clause id="id65CD0943252243B98AF1F8AD05E8C3FB"><enum>(ii)</enum><text>consumer members.</text></clause></subparagraph><subparagraph id="idB54ED93295C9420AABE7AE4888F27F89"><enum>(B)</enum><header>Supplier members</header><clause id="id9DF670331D024632948A21897753275A"><enum>(i)</enum><header>In general</header><text>As a condition of entering into a contract to supply the Cooperative with rare-earth ores, supplier
			 members provide rare-earth concentrates to the Cooperative at market
			 price.</text></clause><clause id="id005D033A185B4DF09C25EC5839B432A1"><enum>(ii)</enum><header>Capital contributions</header><text>Any supplier member that makes significant capital contributions to the Cooperative, as determined
			 by the Cooperative Board, may become a consumer member for purposes of the
			 distribution of profits of the Cooperative under subparagraph (D).</text></clause></subparagraph><subparagraph id="idF7A6F72948D14DE99C098ACCE7CA22F0"><enum>(C)</enum><header>Consumer member</header><text>A consumer member—</text><clause id="id8894A5BEB3864E6B891CCAC90FA8B546"><enum>(i)</enum><text>shall make capital contributions to the Cooperative in exchange for entering into negotiated supply
			 agreements; and</text></clause><clause id="id5164BD1E272E40CAABE1021B1673E964"><enum>(ii)</enum><text>in accordance with the agreements entered into under clause (i), may acquire finished rare-earth
			 products from the Cooperative at market price.</text></clause></subparagraph><subparagraph id="idFC69F3B159EE49B3B01206B4541AFE80"><enum>(D)</enum><header>Distribution of profits</header><text>Any profits of the Cooperative shall be distributed between supplier members and consumer members
			 in accordance with a formula established by the Cooperative Board.</text></subparagraph></paragraph></subsection><subsection id="id33CA185538D343ECA69FF9B41AA9552C"><enum>(b)</enum><header>Management</header><paragraph id="id5E91F58F7B6D4E2C9E6C949370EF26DD"><enum>(1)</enum><header>Initial board of directors</header><subparagraph id="idC87E94891BE94325BDC44876786F4EE2"><enum>(A)</enum><header>In general</header><text>As soon as practicable after the date of the enactment of this Act, the Secretary shall appoint the
			 Initial Board of Directors for the Cooperative, comprised of five members,
			 of whom—</text><clause id="id984D73EA58124721BF9ABFA00B4CA58B"><enum>(i)</enum><text>one member shall represent the Defense Logistics Agency Strategic Materials program of the
			 Department of Defense;</text></clause><clause id="idEC6684B2106B429CBA8BCAEB8094E801"><enum>(ii)</enum><text>one member shall represent the Assistant Secretary of Defense for Research and Engineering;</text></clause><clause id="idE57900135C304194A8BDF50B4D115B9D"><enum>(iii)</enum><text>one member shall represent United States advocacy groups for rare-earth producers and original
			 equipment manufacturing interests;</text></clause><clause id="id9368FAE59EC2435A9B2B2CBF8AB7FA9E"><enum>(iv)</enum><text>one member shall represent the United States Geological Survey; and</text></clause><clause id="id8CD773D5A69D49BFBE95EE07A86B123E"><enum>(v)</enum><text>one member who shall—</text><subclause id="id8B3D9BB8271B43C790B248C2546674AE"><enum>(I)</enum><text>not be affiliated with a Federal agency; and</text></subclause><subclause id="id3114B758003D4FDF9EBCDCDE7E556888"><enum>(II)</enum><text>be recommended for appointment by a majority vote of the other members of the Initial Board of
			 Directors appointed under clauses (i) through (iv).</text></subclause></clause></subparagraph><subparagraph id="id922FA323BAB0469090E3D1C1162936DC"><enum>(B)</enum><header>Duties</header><text>The Initial Board of Directors shall—</text><clause id="id6CE24CAA59254514B723A59B23A9BD5E"><enum>(i)</enum><text>establish the charter, bylaws, and rules of governance for the Cooperative;</text></clause><clause id="id124414F6742E406C8FD36CB1D8F5A78F"><enum>(ii)</enum><text>make formative business decisions on behalf of the Cooperative; and</text></clause><clause id="id39210A74C6EC47E88ABDE8E91DA93F25"><enum>(iii)</enum><text>assist in the formation of, and the provision of tasks and assignments to, the Corporation.</text></clause></subparagraph><subparagraph id="id5A0EF928CBC94663824D1F36A16A0E49"><enum>(C)</enum><header>Standing member</header><text>The member appointed under subparagraph (A)(v) shall remain on the Cooperative Board and
			 Corporation Board, until such time as—</text><clause id="id0E38D9774B9640E4BE58BF32B50076C3"><enum>(i)</enum><text>the member voluntarily resigns; or</text></clause><clause id="idB45D3732A9DD47F7B225E3EF6EDABD4E"><enum>(ii)</enum><text>a majority of the members of the Cooperative Board and a majority of the members of the Corporation
			 Board vote to remove the member from the Cooperative Board and the
			 Corporation Board.</text></clause></subparagraph><subparagraph id="id34C0C3F60BBF4C4DA490677F1CCBAA1B"><enum>(D)</enum><header>Termination</header><text>The Initial Board of Directors shall terminate on the date on which the initial members of the
			 Cooperative Board are appointed under paragraph (2).</text></subparagraph></paragraph><paragraph id="idE8C505F8C8E04AB29E24C788CB11BEEE"><enum>(2)</enum><header>Board of directors</header><subparagraph id="idE6CF02DACAC2469AA50C6143B62ACC81"><enum>(A)</enum><header>In general</header><text>The Board of Directors of the Cooperative shall comprise nine members, to be selected in accordance
			 with the bylaws of the Cooperative established under paragraph (1)(B)(i),
			 of whom—</text><clause id="id2F2EDE7D89B445079096C53418A40251"><enum>(i)</enum><text>five members shall be consumer members;</text></clause><clause id="id1BE8F188D85A472D97276D039F0BF0BA"><enum>(ii)</enum><text>two members shall be supplier members;</text></clause><clause id="idACF05BB334D94A7AAE5CFE932194E5E4"><enum>(iii)</enum><text>one member shall represent an advocacy group for defense contractors, other rare-earth consumers,
			 and suppliers who are not represented by the Board or through direct
			 ownership in the Cooperative; and</text></clause><clause id="idA70A94111817411998D047DDEF41A122"><enum>(iv)</enum><text>one member shall be the member of the Initial Board of Directors appointed under paragraph
			 (1)(A)(v).</text></clause></subparagraph><subparagraph id="idDC7BA5105A3141D4B7CA30D806B61B9B"><enum>(B)</enum><header>Powers</header><text>The Cooperative Board may—</text><clause id="idB029CBFB50974E75BC4F75F46C1BCC49"><enum>(i)</enum><text>prescribe the manner in which business shall be conducted by the Cooperative;</text></clause><clause id="idA99DBA98D76B4504A9E545F24C8E5BC9"><enum>(ii)</enum><text>determine pay-out ratio formulas for consumer members and supplier members, based on—</text><subclause id="idE06987DB9A914D8B9D2D5222BEEC6FCB"><enum>(I)</enum><text>the capital stock ratios of consumer members; and</text></subclause><subclause id="id2840A2DCC837456DBF25DE68ECCD7C12"><enum>(II)</enum><text>the value of supply member contracts, as determined based on the volume, term, and distributions of
			 rare-earth concentrates relative to processing costs; and</text></subclause></clause><clause id="idFA9592AFE5D24BA5A8F0EF1DE8088E8A"><enum>(iii)</enum><text>evaluate technologies and processes for the efficient extraction and refining of rare-earth
			 materials from various thorium-bearing ores.</text></clause></subparagraph><subparagraph id="idBA070B2F329F4C01AABC99687405B6B1"><enum>(C)</enum><header>Refinery and office locations</header><text>The Cooperative Board shall establish the refinery and offices for the Cooperative at any locations
			 determined to be appropriate by the Cooperative Board.</text></subparagraph></paragraph></subsection><subsection id="idDACD28BA74DB4002A5C5800F2EFF95FC"><enum>(c)</enum><header>Powers; duties</header><paragraph id="id77EDB54DB5304296A3213F4B46A7B281"><enum>(1)</enum><header>Investment partnerships</header><text>The Cooperative shall seek to enter into domestic and international investment partnerships for the
			 development of the refinery.</text></paragraph><paragraph id="id1B142F41D87C44F6B4854466A1618D5F"><enum>(2)</enum><header>Agreements; direct sales</header><text>The Cooperative may—</text><subparagraph id="idB0B278B13DF74894AB5D1E99F40C49D4"><enum>(A)</enum><text>enter into equity, financial, and supply-based agreements or arrangements with value-added
			 intermediaries, equipment manufacturers, or consumers of rare-earth
			 products, and Federal, State, or local agencies to provide economic
			 incentives, leases, or public financing; and</text></subparagraph><subparagraph id="id6B0D05244AD748BCBEE2D59D9945AE51"><enum>(B)</enum><text>engage in direct market sales of rare-earth products.</text></subparagraph></paragraph><paragraph id="id6DDA2D3311374C22AEF507D930C2E3B6"><enum>(3)</enum><header>Supply contracts and tolling services</header><subparagraph id="id00A9D75A57A349F7B10B8A89A845A011"><enum>(A)</enum><header>In general</header><text>The Cooperative may—</text><clause id="id5CBA2531723F40488E3F1A4ADE1F28E7"><enum>(i)</enum><text>directly purchase rare-earth materials obtained from any byproduct producers of rare-earths;</text></clause><clause id="idB6AE3A43182D403CBA760DE229236217"><enum>(ii)</enum><text>transport those materials as unprocessed and unrefined ores, in accordance with part 40 of title
			 10, Code of Federal Regulations (parts 12–13b, or any corresponding
			 similar regulation or ruling);</text></clause><clause id="id018258E9EAF44241A8C5CB918C78CF22"><enum>(iii)</enum><text>offer non-member supplier short-term or direct purchase contracts; and</text></clause><clause id="id8224D94F85E448979F4655881D9C7C84"><enum>(iv)</enum><text>allow primary rare-earth producers to be tolling customers of the Cooperative.</text></clause></subparagraph><subparagraph id="id513E8C958A9747E19516851ADD793D86"><enum>(B)</enum><header>Requirements</header><text>A tolling customer under subparagraph (A)(iii) shall—</text><clause id="id8E4C36F0E58C4C818999613AC7DC8908"><enum>(i)</enum><text>retain control of the rare-earth products during the processing, refining, or value adding of the
			 rare-earth products by the Cooperative; and</text></clause><clause id="id559AD659715B434BB3B87643B571834B"><enum>(ii)</enum><text>take possession of the rare-earth products after—</text><subclause id="id6786F80328F044B5AAF935B1C73C813A"><enum>(I)</enum><text>tolling services are rendered by the Cooperative; and</text></subclause><subclause id="id01365BF5283A4F7F82259D0101307283"><enum>(II)</enum><text>the Cooperative has received payment in full for the tolling services rendered.</text></subclause></clause></subparagraph><subparagraph id="idF8E2642BC24C4EF4BA8201658BA316C5"><enum>(C)</enum><header>Fee</header><text>The Cooperative may charge tolling customers under subparagraph (A)(iii) a tolling fee not to
			 exceed the sum of—</text><clause id="id1F65974BFFD04D6CAF3CF91E87960820"><enum>(i)</enum><text>the amount equal to 110 percent of the total cost for tolling services rendered by the Cooperative
			 on behalf of the tolling customer; and</text></clause><clause id="id31E0FFBF832D4009AD02A92745A74058"><enum>(ii)</enum><text>the amount equal to five percent of the market value of the finished product provided to the
			 tolling customer by the Cooperative.</text></clause></subparagraph><subparagraph id="idDD7F92A5D86D47FEA117C02B48D48E61"><enum>(D)</enum><header>Applicable law</header><text>Any contract among consumer members, supplier members, tolling customers, and direct purchase
			 suppliers entered into under subparagraph (A)(iii) shall be protected as
			 provided in sub<external-xref legal-doc="usc" parsable-cite="usc/5/552">section 552(b)(4)</external-xref> of title 5, United States Code.</text></subparagraph><subparagraph id="idF76C0D6DCF064FCABB9B2D45EF8BBDAB"><enum>(E)</enum><header>Limitations</header><text>A direct purchase non-member supplier under subparagraph (A)(ii) or a tolling customer under
			 subparagraph (A)(iii)—</text><clause id="id91F638DD283A4AD69A99CB38EC0A30C9"><enum>(i)</enum><text>shall not be considered to be a supplier member or otherwise be considered a member of the
			 Cooperative for purposes of this Act; and</text></clause><clause id="idA394A32A695942E3B458BD2335FB0462"><enum>(ii)</enum><text>shall not participate in Cooperative profits or have voting rights with respect to the Cooperative.</text></clause></subparagraph></paragraph></subsection><subsection id="idA1C1D54F8A3147B89810B35E4F08598A"><enum>(d)</enum><header>Audits</header><paragraph id="id4020FA34CE124E66851F83A2C71BCE9E"><enum>(1)</enum><header>In general</header><text>The Cooperative shall retain an independent auditor to evaluate the extent to which Federal funds,
			 if any, made available to the Cooperative for research and development
			 activities have been expended in a manner that is consistent with the
			 purposes of this Act and the charter, bylaws, and rules of governance of
			 the Cooperative.</text></paragraph><paragraph id="id7ADFBC614E0A4AF495DD96DB34D39BFF"><enum>(2)</enum><header>Reports</header><text>The auditor retained under paragraph (1) shall submit to the Secretary of Defense, the Cooperative,
			 and the Comptroller General of the United States an annual report
			 containing the findings and determinations of the auditor.</text></paragraph><paragraph id="idD489AE0A408F4B62B9B5B1BB0696317E"><enum>(3)</enum><header>Review by comptroller general</header><text>The Comptroller General of the United States shall—</text><subparagraph id="id51C6B5194E7E4FC3A5A75B08A8EA2774"><enum>(A)</enum><text>review each annual report submitted to the Comptroller General by the auditor under paragraph (2);
			 and</text></subparagraph><subparagraph id="id27370145FBA34AB98C6A6CF848F4F22F"><enum>(B)</enum><text>submit to the Committee on Armed Services of the Senate and the Committee on Armed Services of the
			 House of Representatives a report containing the comments of the
			 Comptroller General on the accuracy and completeness of the report and any
			 other matters relating to the report that the Comptroller General
			 considers appropriate.</text></subparagraph></paragraph></subsection><subsection id="idE6EFC7462D4A40D0AF7BF6AE4DFD7C67"><enum>(e)</enum><header>Reimbursement of Federal Government</header><text>Not later than seven years following the date of the enactment of this Act, the Cooperative shall
			 reimburse the Federal Government for administrative costs associated with
			 the establishment of its charter.</text></subsection></section><section id="id769971C10BE041469AEA5F0ABC3B2270"><enum>5.</enum><header>Thorium Storage, Energy, and Industrial Products Corporation</header><subsection id="id3041C22E0C074731A4955CB2AACE4575"><enum>(a)</enum><header>Establishment</header><paragraph id="idDB292C8409D1490B9A3800B1BA87A1F5"><enum>(1)</enum><header>In general</header><text>As soon as practicable after the date of the enactment of this Act, the Cooperative Board, in
			 consultation with the Secretary of Defense, shall establish the Thorium
			 Storage, Energy, and Industrial Products Corporation to develop uses and
			 markets for thorium, including energy.</text></paragraph><paragraph id="id8D3D10ACB1EE42C8B60D3395E1CE5021"><enum>(2)</enum><header>Federal charter</header><text>The Corporation shall operate under a Federal charter.</text></paragraph></subsection><subsection id="idBB1D08AFEF044EA29497B3F9E2245A39"><enum>(b)</enum><header>Management</header><paragraph id="id274E17A34B9044688BBEE4593B42D3C1"><enum>(1)</enum><header>Board of directors</header><subparagraph id="idF5BE40F63802412D93EB08CB15B6F24E"><enum>(A)</enum><header>In general</header><text>The Board of Directors of the Corporation shall comprise five members.</text></subparagraph><subparagraph id="idC78D6769C31B43C696FDEE99B856FFB8"><enum>(B)</enum><header>Initial members</header><text>The initial members of the Corporation Board shall consist of the following members, to be
			 appointed by the Secretary of Defense:</text><clause id="id3C6DEE9FAE29426DBE632B67ECA3E5DF"><enum>(i)</enum><text>one member, who shall represent the Assistant Secretary of Defense for Research and Engineering;</text></clause><clause id="id95110E6065BC4D12981ACE52B0715AE5"><enum>(ii)</enum><text>a J–7 who will represent the Director of the Joint Chiefs of Staff;</text></clause><clause id="idE47B243D0BFF426FA1F3D4F1C3FF4836"><enum>(iii)</enum><text>one member, who shall represent United States advocacy groups for commercial development of thorium
			 in nuclear energy systems;</text></clause><clause id="idBB3D5E09E89D4E59AD2DDC56C83D3054"><enum>(iv)</enum><text>one member, who shall represent a national laboratory; and</text></clause><clause id="id68F530E744C54387ADF968CD7FB2273C"><enum>(v)</enum><text>one member, who is the member of the Initial Board of Directors appointed under section
			 4(b)(1)(A)(v).</text></clause></subparagraph><subparagraph id="idE35991FB9B27420B99693366C25FE89F"><enum>(C)</enum><header>Subsequent members</header><text>Subject to subparagraphs (A) and (D), subsequent members of the Corporation Board and Executive
			 Committee shall be appointed in accordance with bylaws of the Corporation
			 established under paragraph (2)(B)(i).</text></subparagraph><subparagraph id="id0928E844244D4C1EB75E371A96C18798"><enum>(D)</enum><header>Standing members</header><text>The initial members appointed under clauses (iv) and (v) of subparagraph (B) shall remain on the
			 Corporation Board and the Executive Committee, until such time as—</text><clause id="id0FC4C8055495454EB2C4E48F757B0660"><enum>(i)</enum><text>the members voluntarily resign;</text></clause><clause id="idADFCADD7BFE94B52BD69AEB3D87E8651"><enum>(ii)</enum><text>in the case of a member appointed under subparagraph (B)(iv), a majority of the members of the
			 Corporation Board votes to remove the member from the Corporation Board;
			 or</text></clause><clause id="id07811E7F395244F3AE51E97F054E0E17"><enum>(iii)</enum><text>in the case of a member appointed under subparagraph (B)(v), a majority of the members of the
			 Corporation Board votes to remove the member from the Corporation Board
			 and the Cooperative Board.</text></clause></subparagraph></paragraph><paragraph id="id578B4D92C263415CA156513EB395A769"><enum>(2)</enum><header>Executive committee</header><subparagraph id="id930FCA20E8FB4C66A68C775323628DEC"><enum>(A)</enum><header>In general</header><text>The Executive Committee for the Corporation shall comprise the initial members of the Corporation
			 Board appointed under clauses (iv) and (v) of paragraph (1)(B).</text></subparagraph><subparagraph id="idB729A4A84AE3413AA43E6761DBAE9464"><enum>(B)</enum><header>Duties</header><text>The Executive Committee shall—</text><clause id="idEA9E039E293B482FB7B84CC49AFDCBD4"><enum>(i)</enum><text>establish the charter, bylaws, rules of governance, and corporate structure for the Corporation;
			 and</text></clause><clause id="id610074920D3748199E7D67B53F5ED4E1"><enum>(ii)</enum><text>make formative business decisions with respect to the Corporation.</text></clause></subparagraph></paragraph></subsection><subsection id="idBE1DF2202DF940739B5D5E36A204799B"><enum>(c)</enum><header>Powers</header><paragraph id="idFB067E99BEC34B5DAD721A2DCC7D9D59"><enum>(1)</enum><header>Establishment of subsequent entities</header><subparagraph id="idAF10D729712D4FF8A336B9DE8349ABBB"><enum>(A)</enum><header>In general</header><text>The Corporation may establish one or more entities, to be known as an <quote>Industrial Products Corporation</quote> for the certification, licensing, insuring, and commercial development of all non-energy uses for
			 thorium (including thorium isotopes and thorium daughter elements),
			 including—</text><clause id="id913E2065EBCA4611B4856778BE9FDE51"><enum>(i)</enum><text>alloys;</text></clause><clause id="id88523A2846E04502A1B5C2AA454BEBEE"><enum>(ii)</enum><text>catalysts;</text></clause><clause id="id05160D58760C423CAE492A39D1EEFC88"><enum>(iii)</enum><text>medical isotopes; and</text></clause><clause id="id9756394EFB394D5E894903862EC93CDE"><enum>(iv)</enum><text>other products.</text></clause></subparagraph><subparagraph id="id4FE4D30C44734215805064780F480334"><enum>(B)</enum><header>Authority of entities</header><text>The entities described in subparagraph (A) may—</text><clause id="idDA635CD553D745ADB86B7A951783A44A"><enum>(i)</enum><text>develop standards, procedures, and protocols for the approval of commercial and industrial
			 applications for thorium;</text></clause><clause id="id1C108F3E1237481DA52DF72991CD4CB7"><enum>(ii)</enum><text>carry out directly the production and sale of thorium-related non-energy products; and</text></clause><clause id="idBB3217BA96734CED8C2F22CA38E32809"><enum>(iii)</enum><text>sell or license any production or sales rights to third parties.</text></clause></subparagraph><subparagraph id="id42E62A0CADD447DC9301A20CCBF7335C"><enum>(C)</enum><header>Sale or distribution of industrial products corporation; creation of businesses and partnerships</header><text>To develop and commercialize non-energy uses for thorium, the corporation Board may—</text><clause id="id4D2F82E34CF7473E9552F93C69824984"><enum>(i)</enum><text>create, sell, or distribute the equity of an entity described in subparagraph (A); and</text></clause><clause id="id297118D5989B4690A97AF6079FEEEB5A"><enum>(ii)</enum><text>establish partnerships with Federal agencies, foreign governments, and private entities relating to
			 businesses and activities of the entity.</text></clause></subparagraph></paragraph><paragraph id="idD2518EA9C7B24706B6D87DEF9129D1A0"><enum>(2)</enum><header>Sale or distribution of corporation equity; creation of partnerships</header><text>To develop and commercialize thorium energy, the Corporation may sell or distribute equity and
			 establish partnerships with the United States, foreign governments, and
			 private entities—</text><subparagraph id="id55408C0290A04119A32BBAA51E798193"><enum>(A)</enum><text>to create capital;</text></subparagraph><subparagraph id="id0DB41007CBEA4CBAB2225B75D5DABF32"><enum>(B)</enum><text>to develop intellectual property;</text></subparagraph><subparagraph id="id3E8C45D6B6D74AA690F4EECC6626DD92"><enum>(C)</enum><text>to acquire technology;</text></subparagraph><subparagraph id="idFBC2F1E9926D4C0499399B7D77D45D2E"><enum>(D)</enum><text>to establish business partnerships and raw material supply chains;</text></subparagraph><subparagraph id="id46914900E43148488B4103A7D29D7269"><enum>(E)</enum><text>to develop commercial thorium energy systems;</text></subparagraph><subparagraph id="id1B9519DE5DAB4D4C98582B36311E7FCD"><enum>(F)</enum><text>to develop commercial systems for the reduction of spent fuel;</text></subparagraph><subparagraph id="id01F4AED74CA2463F912933BF11A712D1"><enum>(G)</enum><text>to develop hardened energy systems for the United States military; and</text></subparagraph><subparagraph id="idEC12A70C3AA245B68C08954CE1A56B18"><enum>(H)</enum><text>to develop process heat technologies systems for coal-to-liquid fuel separation, desalinization,
			 chemical synthesis, and other applications.</text></subparagraph></paragraph></subsection><subsection id="id85DFAB5298D240F5B5399663A25C4B60"><enum>(d)</enum><header>Duties</header><paragraph id="id20CD3A8FA1FF4B1D9B28556E94C76678"><enum>(1)</enum><header>Ownership of thorium and related actinides</header><text>The Corporation shall—</text><subparagraph id="id6C668CAB0D1A484DB34EDFFC70A59EF2"><enum>(A)</enum><text>on a preprocessing basis, assume liability for and ownership of all thorium and mineralogically
			 associated or related actinides and decay products contained within the
			 monazite and other rare-earth mineralizations in the possession of the
			 cooperative;</text></subparagraph><subparagraph id="id071D0868180A444F9A29D5EBB1D6FB78"><enum>(B)</enum><text>separate the thorium from the rare-earth concentrates, take physical possession and safely store
			 all thorium-containing actinide byproducts, with the costs of the storage
			 to be paid by the Corporation from fees charged or revenue from sales of
			 other valuable actinides and decay products, and thus after—</text><clause id="idB79C26C7E73346DDBD7C1EC34EA2885C"><enum>(i)</enum><text>develop new markets and uses for thorium;</text></clause><clause id="id0F963445A419465A988411BB5D7192B6"><enum>(ii)</enum><text>develop energy systems that utilize thorium; and</text></clause><clause id="id3422FF1A4B264D0F8328BAC38ACD7259"><enum>(iii)</enum><text>develop, manage, and control national and international energy leasing and distribution platforms
			 related to thorium energy systems.</text></clause></subparagraph></paragraph><paragraph id="idD49D492545FC430EB0EFD2FFC73DBC9D"><enum>(2)</enum><header>Safe, long-term storage; development of uses and markets</header><text>The Corporation shall—</text><subparagraph id="idC33E85EF546441B28FAC622E02735504"><enum>(A)</enum><text>in consultation with the Administrator of the Environmental Protection Agency and the Secretary of
			 Energy, be responsible for the safe, long-term storage of all thorium and
			 thorium decay products generated through the Cooperative, consistent with
			 part 192 of title 40, Code of Federal Regulations (as in effect on the
			 date of the enactment of this Act), while taking into account the low
			 relative risks relating to thorium; and</text></subparagraph><subparagraph id="id0B120F230B12469F94A2F53C3540E22F"><enum>(B)</enum><text>develop uses and markets for thorium, including energy, by coordinating and structuring domestic
			 and international investment partnerships for the development of
			 commercial and industrial uses for thorium.</text></subparagraph></paragraph></subsection><subsection id="id04A082D178B0419ABEA565942B1193E9"><enum>(e)</enum><header>Audits</header><paragraph id="id5C4D1721D51F4F83969837374D6AEBAC"><enum>(1)</enum><header>In general</header><text>The Corporation shall retain an independent auditor to evaluate the extent to which Federal funds,
			 if any, made available to the Corporation for research and development
			 activities have been expended in a manner that is consistent with the
			 purposes of this Act and the charter, bylaws, and rules of governance of
			 the Corporation.</text></paragraph><paragraph id="idD6F4BAB42D5B41A490A314B74576AFFA"><enum>(2)</enum><header>Reports</header><text>The auditor retained under paragraph (1) shall submit to the Secretary of Defense, the Corporation,
			 and the Comptroller General of the United States an annual report
			 containing the findings and determinations of the auditor.</text></paragraph><paragraph id="idEB2C4689348C480EB0E0DE4530F6EEC8"><enum>(3)</enum><header>Review by comptroller general</header><text>The Comptroller General of the United States shall—</text><subparagraph id="id952290BCDE624349ACED344356E39121"><enum>(A)</enum><text>review each annual report submitted to the Comptroller General by the auditor under paragraph (2);
			 and</text></subparagraph><subparagraph id="id1072471D54AB487BB000AD9F9CC82E8D"><enum>(B)</enum><text>submit to the Committee on Armed Services of the Senate and the Committee on Armed Services of the
			 House of Representatives a report containing the comments of the
			 Comptroller General on the accuracy and completeness of the report and any
			 other matters relating to the report that the Comptroller General
			 considers appropriate.</text></subparagraph></paragraph></subsection><subsection id="idB641B912E5C4401092CF2CB4932CEA24"><enum>(f)</enum><header>Reimbursement of Federal Government</header><text>Not later than seven years after the date of the enactment of this Act, the Corporation shall
			 reimburse the Federal Government for the administrative costs associated
			 with the establishment of its charter.</text></subsection></section><section id="idDC145684FB024C8A84FAA1DA6D83D7C1"><enum>6.</enum><header>Duties of Secretary of Defense</header><subsection id="idD247D6E4BBD74FDE9731AD61B36DC35F"><enum>(a)</enum><header>Advancement of rare-Earth initiatives</header><text>The Secretary shall coordinate with other Federal agencies to advance and protect—</text><paragraph id="id1E067E7CDF11434E92336319F44352E7"><enum>(1)</enum><text>domestic rare-earth mining;</text></paragraph><paragraph id="idA252E3C8EFD54C3D91B97250A5DFB554"><enum>(2)</enum><text>the refining of rare-earth elements;</text></paragraph><paragraph id="idC09FFD3AA13F4EAC8438720F7A8FD33E"><enum>(3)</enum><text>basic rare-earth metals production; and</text></paragraph><paragraph id="id5DADF5363B2B420CA58B6C0905908620"><enum>(4)</enum><text>the development and commercialization of thorium, including—</text><subparagraph id="id0C660B41388F41878C1540E5CD8A6F69"><enum>(A)</enum><text>energy technologies and products; and</text></subparagraph><subparagraph id="id55B17C03E3944FEDBA5A980D18E6B9EE"><enum>(B)</enum><text>products containing thorium.</text></subparagraph></paragraph></subsection><subsection id="id0AE2FE529DA34672B90A077053EE4547"><enum>(b)</enum><header>Annual reports</header><text>Not later than one year after the date of the enactment of this Act, and annually thereafter, the
			 Secretary shall submit to Congress a report that, for the period covered
			 by the report—</text><paragraph id="id2FED69FBBC4C4CC4B27CEBA6E806F1AE"><enum>(1)</enum><text>contains a description of the progress in the development of—</text><subparagraph id="id552D340C01A54C8991FBC393DD18F713"><enum>(A)</enum><text>a domestic rare-earth refining capacity; and</text></subparagraph><subparagraph id="id11AB8F6D453B4526BDCF3DB5392D7DC2"><enum>(B)</enum><text>commercial uses and energy-related uses for thorium; and</text></subparagraph></paragraph><paragraph id="idE9E50053EA124786B5D3DB1F902FEE05"><enum>(2)</enum><text>takes into account each report submitted to the Secretary by the Cooperative and the Corporation.</text></paragraph></subsection><subsection id="id8A7DB84690E642F0BA7646407075BD38"><enum>(c)</enum><header>Federal agencies; national laboratories</header><text>Each Federal agency (including the Nuclear Regulatory Commission and the Defense Advanced Research
			 Projects Agency), each national laboratory, and each facility funded by
			 the Federal Government shall provide assistance to the Cooperative and the
			 Corporation under this Act.</text></subsection><subsection id="idE35332C875324452805DC30C4A82ACD5"><enum>(d)</enum><header>Institutions of higher education</header><text>Each institution of higher education is encouraged—</text><paragraph id="id4BED4CBD7B414247817915515BCBB20E"><enum>(1)</enum><text>to develop training and national expertise in the field of thorium development; and</text></paragraph><paragraph id="idE2EED3DC6BCB4D3B97D4728018B526EB"><enum>(2)</enum><text>to promote—</text><subparagraph id="idC33EE9123DA7493FA9E9D35E16ED5B2D"><enum>(A)</enum><text>the marketing of thorium;</text></subparagraph><subparagraph id="id788D5A22F5AF4BE08FD76F0F46D0F281"><enum>(B)</enum><text>the advancement of the strategic uses of thorium; and</text></subparagraph><subparagraph id="idD793B2C1FAC84ADC83F72F4417C730AD"><enum>(C)</enum><text>salt chemistry science and radio chemists.</text></subparagraph></paragraph></subsection></section><section id="idFE838B62BB5B4D09B55F46BB37BE351D"><enum>7.</enum><header>Amendment to 10 U.S.C. 2533<enum-in-header>b</enum-in-header>, requiring only U.S. or NATO member nation rare earth materials in U.S. weapon systems</header><subsection id="id14DF80B701C94487940CA2CA91A1DC3D"><enum>(a)</enum><header>10 U.S.C. 2533<enum-in-header>b(a)</enum-in-header> Requirement</header><text>Shall be amended to add the following provision:  <quote>(3) Beginning January 1, 2020, all purchased or procured weapon systems must contain only U.S. or
			 NATO member nation produced and sourced rare earth materials, metals,
			 magnets, parts, and/or components.  The inclusion of any rare earth
			 materials that originate or pass through a non-NATO member nation is
			 prohibited.  No waivers shall be granted unless the lead contractor
			 seeking a waiver can demonstrate that it has pursued all possible
			 corrective actions, including direct investment into the supply chain.</quote>.</text></subsection></section></legis-body>
