			 provisions as fall within the jurisdiction of the committee concerned</action-desc>

			 employee stock ownership plans in S corporations, and for other purposes.</official-title>

		<section id="HDC65C6C53ED543B8BC5BE73B47281619" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Promotion and Expansion of Private Employee Ownership Act of 2014</short-title></quote>.</text>
		</section><section id="HAF300D64D3E242E2B8F6257AEBC60AB9"><enum>2.</enum><header>Findings</header><text display-inline="no-display-inline">Congress finds that—</text>
			<paragraph id="H541D5FD2B6714569891CA5FA6D85D638"><enum>(1)</enum><text display-inline="yes-display-inline">on January 1, 1998—nearly 25 years after the Employee Retirement Income Security Act of 1974 was
			 enacted and the employee stock ownership plan (hereafter in this section
			 referred to as an <quote>ESOP</quote>) was created—employees were first permitted to be owners of subchapter S corporations pursuant to
			 the Small Business Job Protection Act of 1996 (<external-xref legal-doc="public-law" parsable-cite="pl/104/188">Public Law 104–188</external-xref>);</text>
			</paragraph><paragraph id="HA2BDFFE100AC45B4A2646172B917DB4E"><enum>(2)</enum><text>with the passage of the Taxpayer Relief Act of 1997 (<external-xref legal-doc="public-law" parsable-cite="pl/105/34">Public Law 105–34</external-xref>), Congress designed
			 incentives to encourage businesses to become ESOP-owned S corporations;</text>
			</paragraph><paragraph id="H47000F27121B4C59B0E68535436576F9"><enum>(3)</enum><text>since that time, several thousand companies have become ESOP-owned S corporations, creating an
			 ownership interest for several million Americans in companies in every
			 State in the country, in industries ranging from heavy manufacturing to
			 technology development to services;</text>
			</paragraph><paragraph id="HBD008246471F4687B6469CB2EEAA90FC"><enum>(4)</enum><text>while estimates show that 40 percent of working Americans have no formal retirement account at all,
			 every United States worker who is an employee-owner of an S corporation
			 company through an ESOP has a valuable qualified retirement savings
			 account;</text>
			</paragraph><paragraph id="H7451007BD9EF4178AA97E52B87EB5AD9"><enum>(5)</enum><text>recent studies have shown that employees of ESOP-owned S corporations enjoy greater job stability
			 than employees of comparable companies;</text>
			</paragraph><paragraph id="H10989D6824A94036B12C8717AB277B5A"><enum>(6)</enum><text>studies also show that employee-owners of S corporation ESOP companies have amassed meaningful
			 retirement savings through their S ESOP accounts that will give them the
			 means to retire with dignity;</text>
			</paragraph><paragraph id="H56E342CA46754F8DB339D0746933253F"><enum>(7)</enum><text>under the Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/631">15 U.S.C. 631 et seq.</external-xref>) and the regulations promulgated by the
			 Administrator of the Small Business Administration, a small business
			 concern that was eligible under the Small Business Act for the numerous
			 preferences of the Act is denied treatment as a small business concern
			 after an ESOP acquires more than 49 percent of the business, even if the
			 number of employees, the revenue of the small business concern, and the
			 racial, gender, or other criteria used under the Act to determine whether
			 the small business concern is eligible for benefits under the Act remain
			 the same, solely because of the acquisition by the ESOP; and</text>
			</paragraph><paragraph id="H7DE8A55D94A9448FAD8E9DF40DE9274E"><enum>(8)</enum><text>it is the goal of Congress to both preserve and foster employee ownership of S corporations through
			 ESOPs.</text>
			</paragraph></section><section id="H34C45D5926D24B3986C116823F160A1E"><enum>3.</enum><header>Deferral of tax for certain sales of employer stock to employee stock ownership plan sponsored by S
			 corporation</header>
			<subsection id="H50742B6E1C234724B15C06CA9F574A3E"><enum>(a)</enum><header>In general</header><text>Subparagraph (A) of <external-xref legal-doc="usc" parsable-cite="usc/26/1042">section 1042(c)(1)</external-xref> of the Internal Revenue Code of 1986 (defining qualified
			 securities) is amended by striking <quote>domestic C corporation</quote> and inserting <quote>domestic corporation</quote>.</text>
			</subsection><subsection id="HAF46AD04FC4E40FA9F18FC6DD2E9475D"><enum>(b)</enum><header>Effective date</header><text>The amendment made by subsection (a) shall apply to sales after the date of the enactment of this
			 Act.</text>
			</subsection></section><section id="HA7CE66EFF5304A5D91D96334C50E7023"><enum>4.</enum><header>Deduction for interest on loan to finance purchase of employer securities by an employee stock
			 ownership plan sponsored by an S corporation</header>
			<subsection id="H3F8FD01F37EB46C98E0446B4BD0C7380"><enum>(a)</enum><header>In general</header><text>Part VI of subchapter B of <external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/26/1">chapter 1</external-xref> of the Internal Revenue Code of 1986 is amended by inserting
			 after section 199 the following new section:</text>
				<quoted-block id="H8B07FA9EEAFE4C379A7010A6DB0EC1D8" style="OLC">
					<section id="H0867B51D4E38475FA06984F5A5CA6A11"><enum>200.</enum><header>Interest on certain loans for the purchase of employer securities by an employee stock ownership
			 plan sponsored by an S corporation</header>
						<subsection id="H144646F4F96542739D9C75AE1DB1A2FC"><enum>(a)</enum><header>In general</header><text>There shall be allowed as a deduction an amount equal to 50 percent of the interest received during
			 the taxable year by a bank (within the meaning of section 581) with
			 respect to a qualified securities acquisition loan.</text>
						</subsection><subsection id="H74CD5F75DED34B97ADBF641D0621F50F"><enum>(b)</enum><header>Qualified securities acquisition loan</header>
							<paragraph id="H955FA8C9DBAF42E0A9B058A318B02418"><enum>(1)</enum><header>In general</header><text>For purposes of this section, the term <term>qualified securities acquisition loan</term> means—</text>
								<subparagraph id="HA22CFAB48C0143A8AB5C585C446F4647"><enum>(A)</enum><text>any loan to an employee stock ownership plan sponsored by an S corporation to the extent that the
			 proceeds are used to acquire employer securities for the plan, and</text>
								</subparagraph><subparagraph id="H47E191752C394274BAFB7B7325785E11"><enum>(B)</enum><text>any loan to an S corporation that sponsors an employee stock ownership plan to the extent that the
			 proceeds of such loan are loaned to the employee stock ownership plan to
			 acquire employer securities for the plan.</text></subparagraph><continuation-text continuation-text-level="paragraph">For purposes of this paragraph, the term <term>employer securities</term> has the meaning given such term by section 409(l).</continuation-text></paragraph><paragraph id="HD317C935C77E4FF8A34DDF3ABEE917C2"><enum>(2)</enum><header>Terms Applicable to certain qualified securities acquisition loans</header><text>For purposes of paragraph (1)(B), the term <term>qualified securities acquisition loan</term> shall not include any loan to the S corporation unless the loan to the employee stock ownership
			 plan has repayment terms which are substantially similar to the terms of
			 the loan to the S corporation.</text>
							</paragraph><paragraph id="HF22355CC52284FE39F7497D923C7DB5D"><enum>(3)</enum><header>Treatment of refinancings</header><text>The term <term>qualified securities acquisition loan</term> shall include any loan which is (or is part of a series of loans) used to refinance a loan
			 described in paragraph (1) (after the application of paragraph (2)).</text>
							</paragraph><paragraph id="H409E0989CAA448CA87FDC5A365DCC2E7"><enum>(4)</enum><header>Plan must hold more than 50 percent of stock after acquisition or transfer</header>
								<subparagraph id="H09005453739B44A693ED746158C6FF5A"><enum>(A)</enum><header>In general</header><text display-inline="yes-display-inline">A loan shall not be treated as a qualified securities acquisition loan for purposes of this section
			 unless, immediately after an acquisition of employer securities referred
			 to in paragraph (1), the employee stock ownership plan owns more than 50
			 percent of the outstanding stock of the S corporation.</text>
								</subparagraph><subparagraph id="H7C4CC00856E04B5B9D1B09D47F1449EE"><enum>(B)</enum><header>Failure to retain minimum stock interest</header>
									<clause id="H6036F3E69E864A75A0B99188D2F953B2"><enum>(i)</enum><header>In general</header><text display-inline="yes-display-inline">Subsection (a) shall not apply to any interest received with respect to a qualified securities
			 acquisition loan which is allocable to any period during which the
			 employee stock ownership plan does not own stock meeting the requirements
			 of subparagraph (A).</text>
									</clause><clause id="HC13BFF7E1C704832A1D3FBD5BBBF99B3"><enum>(ii)</enum><header>Exception</header><text>To the extent provided by the Secretary, clause (i) shall not apply to any period if, within 90
			 days of the first date on which the failure occurred (or such longer
			 period not in excess of 180 days as the Secretary may prescribe), the plan
			 acquires stock which results in its meeting the requirements of
			 subparagraph (A).</text>
									</clause></subparagraph><subparagraph id="H0C4398F74491468DBC3E967AC5AA5BFE"><enum>(C)</enum><header>Stock</header><text>For purposes of subparagraph (A), the Secretary may provide that warrants, options, contracts to
			 acquire stock, convertible debt interests and other similar interests be
			 treated as stock for 1 or more purposes under subparagraph (A).</text>
								</subparagraph></paragraph></subsection><subsection id="H2DF66E3E0B284F8E9F58D6169075F153"><enum>(c)</enum><header>Employee stock ownership plan</header><text>For purposes of this section, the term <term>employee stock ownership plan</term> has the meaning given to such term by section 4975(e)(7).</text></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block>
			</subsection><subsection id="H07A55080FF084883A0B406E774394FB3"><enum>(b)</enum><header>Clerical amendment</header><text>The table of sections for part VI of subchapter B of chapter 1 of such Code is amended by inserting
			 after the item relating to section 199 the following new item:</text>

						<toc-entry level="section">Sec. 200. Interest on certain loans for the purchase of employer securities by an employee stock
			 ownership plan sponsored by an S corporation.</toc-entry></toc><after-quoted-block>.</after-quoted-block></quoted-block>
			</subsection><subsection id="HA479DDF8BD044B8BAE94226887964AEC"><enum>(c)</enum><header>Effective date</header><text>The amendments made by this section shall apply to interest accrued on loans made after the date of
			 the enactment of this Act.</text>
			</subsection></section><section id="H6EE79D0932B748EA834784CBA5BE697D"><enum>5.</enum><header>Department of the Treasury Technical Assistance Office</header>
			<subsection id="H008D0D0B2E554EAEB0386ED41E69601C"><enum>(a)</enum><header>Establishment required</header><text>Before the end of the 90-day period beginning on the date of enactment of this Act, the Secretary
			 of the Treasury shall establish the S Corporation Employee Ownership
			 Assistance Office to foster increased employee ownership of S
			 corporations.</text>
			</subsection><subsection id="H98C746AD609D4DFEBCAF70CE2DD4BECD"><enum>(b)</enum><header>Duties of the office</header><text>The S Corporation Employee Ownership Assistance Office shall provide—</text>
				<paragraph id="H75DB782DE300413C9F2AC0E2847829A0"><enum>(1)</enum><text>education and outreach to inform companies and individuals about the possibilities and benefits of
			 employee ownership of S corporations; and</text>
				</paragraph><paragraph id="H90ABA915EDA548CCB95C866D94C88F8B"><enum>(2)</enum><text>technical assistance to assist S corporations in sponsoring employee stock ownership plans.</text>
				</paragraph></subsection></section><section id="HD04B6951B5FB4FF3822FD26048890271"><enum>6.</enum><header>Small business and employee stock ownership</header>
			<subsection id="H0E8F90733DE24457A5308F927D8AD38A"><enum>(a)</enum><header>In general</header><text>The Small Business Act (<external-xref legal-doc="usc" parsable-cite="usc/15/631">15 U.S.C. 631 et seq.</external-xref>) is amended—</text>
				<paragraph id="HB551E0240FA44D1799949D1F83B5785A"><enum>(1)</enum><text>by redesignating section 47 as section 48; and</text>
				</paragraph><paragraph id="H8ED4EAA7A21540B587B7973F3FE61A5C"><enum>(2)</enum><text>by inserting after section 46 the following:</text>
					<quoted-block id="H276ACE6BA48D422EA33A5FCD7EC98102" style="OLC">
						<section id="H3DD2746AD197430D93745F2EF12B4C7F"><enum>47.</enum><header>Employee stock ownership plans</header>
							<subsection id="HDCEAFA0189124D5D85D2D3BCB2BF4282"><enum>(a)</enum><header>Definitions</header><text>In this section—</text>
								<paragraph id="HC1B6C8D9B87C4303B57386F17AD5FC1C"><enum>(1)</enum><text>the term <term>ESOP</term> means an employee stock ownership plan, as defined in section 4975(e)(7) of the Internal Revenue
			 Code of 1986, as amended; and</text>
								</paragraph><paragraph id="HD360A342447E4D6FAEF016DA6AFD8A8C"><enum>(2)</enum><text>the term <term>ESOP business concern</term> means a business concern that was a small business concern eligible for a loan or to participate
			 in a contracting assistance or business development program under this Act
			 before the date on which more than 49 percent of the business concern was
			 acquired by an ESOP.</text>
								</paragraph></subsection><subsection id="H4058700BA5704AAC90A76131B813513C"><enum>(b)</enum><header>Continued eligibility</header><text>In determining whether an ESOP business concern qualifies as a small business concern for purposes
			 of a loan, preference, or other program under this Act, each ESOP
			 participant shall be treated as directly owning his or her proportionate
			 share of the stock in the ESOP business concern owned by the ESOP.</text></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block>
				</paragraph></subsection><subsection id="HC3E2F6101664494693AC093D7ACD8D79"><enum>(b)</enum><header>Effective date</header><text>The amendments made by this section shall take effect on January 1 of the first calendar year
			 beginning after the date of the enactment of this Act.</text>
