<official-title display="yes">To require the Securities and Exchange Commission to make certain improvements to form 10-K and regulation S-K, and for other purposes.<pagebreak/></official-title>

<section id="HD4BD6C2FFD6D45C6A0E20ACCD175A050" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Disclosure Modernization and Simplification Act of 2014</short-title></quote>.</text> </section>
<section id="H6C75EA9D5D634905809AC50E51775CFB"><enum>2.</enum><header>Summary page for form 10-K</header><text display-inline="no-display-inline">Not later than the end of the 180-day period beginning on the date of the enactment of this Act, the Securities and Exchange Commission shall issue regulations to permit issuers to submit a summary page on form 10-K (17 C.F.R. 249.310), but only if each item on such summary page includes a cross-reference (by electronic link or otherwise) to the material contained in form 10-K to which such item relates.</text> </section>
<section id="H3DDF4DA10E47494EB9FCCC7E784C06D9"><enum>3.</enum><header>Improvement of regulation S-K</header><text display-inline="no-display-inline">Not later than the end of the 180-day period beginning on the date of the enactment of this Act, the Securities and Exchange Commission shall revise regulation S-K (17 C.F.R. 229.10 et seq.)—</text> 
<paragraph id="HEE6875C504774536BC0AC3503A12F3A7"><enum>(1)</enum><text display-inline="yes-display-inline">to further scale or eliminate requirements of regulation S-K, in order to reduce the burden on emerging growth companies, accelerated filers, and smaller reporting companies, and other smaller issuers; and</text> </paragraph>
<paragraph id="H0DAC6E1CE1BC43EA9FE96F9F56EC5D60"><enum>(2)</enum><text display-inline="yes-display-inline">to eliminate provisions of regulation S-K, required for all issuers, that are duplicative, overlapping, outdated, or unnecessary.</text> </paragraph></section>
<section id="H57C2A99220AC4DD0A817668608C151AA"><enum>4.</enum><header>Study on modernization and simplification of regulation S-K</header> 
<subsection id="HB0CF0DDA23DA470BB0F6B4A985FE19EA"><enum>(a)</enum><header>Study</header><text display-inline="yes-display-inline">The Securities and Exchange Commission shall carry out a study of the requirements contained in regulation S-K (17 C.F.R. 229.10 et seq.). Such study shall—</text> 
<paragraph id="H102A73BFA1374FFAA65D176F9ACEB328"><enum>(1)</enum><text>determine how best to modernize and simplify such requirements in a manner that reduces the costs and burdens on issuers while still providing all material information;</text> </paragraph>
<paragraph id="H5BBF0C6CE440423A9136434F88DFE3F7"><enum>(2)</enum><text display-inline="yes-display-inline">emphasize a company by company approach that allows relevant and material information to be disseminated to investors without boilerplate language or static requirements while preserving completeness and comparability of information across registrants; and</text> </paragraph>
<paragraph id="H6462E48699F7465CA391CE5C9FC4F6D3"><enum>(3)</enum><text display-inline="yes-display-inline">evaluate methods of information delivery and presentation and explore methods for discouraging repetition and the disclosure of immaterial information.</text> </paragraph></subsection>
<subsection id="H0ED9A9169CA84B0582237DD93AD52FF7"><enum>(b)</enum><header>Report</header><text>Not later than the end of the 360-day period beginning on the date of enactment of this Act, the Commission shall issue a report to the Congress containing—</text> 
<paragraph id="HBD2C6E4F1B084D698E0DC0C3C48ACBCF"><enum>(1)</enum><text>all findings and determinations made in carrying out the study required under subsection (a);</text> </paragraph>
<paragraph id="H1A73B1801F45432AB9527594E384BA97"><enum>(2)</enum><text display-inline="yes-display-inline">specific and detailed recommendations on modernizing and simplifying the requirements in regulation S-K in a manner that reduces the costs and burdens on companies while still providing all material information; and</text> </paragraph>
<paragraph id="HABD506972CF6478F9D0B54E83A628205"><enum>(3)</enum><text display-inline="yes-display-inline">specific and detailed recommendations on ways to improve the readability and navigability of disclosure documents and to discourage repetition and the disclosure of immaterial information.</text> </paragraph></subsection>
<subsection id="H5C0A8DD6E2D442588900CA033B872B14"><enum>(c)</enum><header>Rulemaking</header><text display-inline="yes-display-inline">Not later than the end of the 360-day period beginning on the date that the report is issued to the Congress under subsection (b), the Commission shall issue a proposed rule to implement the recommendations of the report issued under subsection (b).</text> </subsection>
<subsection id="H14573088A6244593BC10C3CE1DB2C6F4"><enum>(d)</enum><header>Rule of construction</header><text>Revisions made to regulation S-K by the Commission under section 3 shall not be construed as satisfying the rulemaking requirements under this section.</text> </subsection></section>

<paragraph id="HABA426D80AEE47DBACA0DFC0244D7404"><enum>(1)</enum><text display-inline="yes-display-inline">to further scale or eliminate requirements of regulation S-K, in order to reduce the burden on emerging growth companies, accelerated filers, smaller reporting companies, and other smaller issuers, while still providing all material information to investors;</text></paragraph>
<paragraph id="HBCEBFD606A0645E885AB3EDB24B76FC9"><enum>(2)</enum><text>to eliminate provisions of regulation S-K, required for all issuers, that are duplicative, overlapping, outdated, or unnecessary; and</text></paragraph>
<paragraph id="H0FA0DA72761042C19C7CCE23EBE8A585"><enum>(3)</enum><text display-inline="yes-display-inline">for which the Commission determines that no further study under section 4 is necessary to determine the efficacy of such revisions to regulation S-K.</text></paragraph></section>
<section id="H1E3F88720A4D44CA86A105E84465B560"><enum>4.</enum><header>Study on modernization and simplification of regulation S-K</header>
<subsection id="HCB3480FDD7EE4F15B1A3A43B43A53E5C"><enum>(a)</enum><header>Study</header><text display-inline="yes-display-inline">The Securities and Exchange Commission shall carry out a study of the requirements contained in regulation S-K (17 C.F.R. 229.10 et seq.). Such study shall—</text>
<paragraph id="HB121C6F7C7E5433BB56B6D989AD275FC"><enum>(1)</enum><text>determine how best to modernize and simplify such requirements in a manner that reduces the costs and burdens on issuers while still providing all material information;</text></paragraph>
<paragraph id="H539C7145A7CD4E8A84749F033A1C2E80"><enum>(2)</enum><text display-inline="yes-display-inline">emphasize a company by company approach that allows relevant and material information to be disseminated to investors without boilerplate language or static requirements while preserving completeness and comparability of information across registrants; and</text></paragraph>
<paragraph id="H29A9B8ECA21B46FE9558EBFFF7A8660C"><enum>(3)</enum><text display-inline="yes-display-inline">evaluate methods of information delivery and presentation and explore methods for discouraging repetition and the disclosure of immaterial information.</text></paragraph></subsection>
<subsection id="H4D54B0D0F554474EA68D0650A7610E63"><enum>(b)</enum><header>Consultation</header><text display-inline="yes-display-inline">In conducting the study required under subsection (a), the Commission shall consult with the Investor Advisory Committee and the Advisory Committee on Small and Emerging Companies.</text></subsection>
<subsection id="HB3A2B4E24F474EAF8E2C6C593A1D83FD"><enum>(c)</enum><header>Report</header><text>Not later than the end of the 360-day period beginning on the date of enactment of this Act, the Commission shall issue a report to the Congress containing—</text>
<paragraph id="HC796B4B8C82B42AD9DC56A7C7B083357"><enum>(1)</enum><text>all findings and determinations made in carrying out the study required under subsection (a);</text></paragraph>
<paragraph id="H1AEF7823AA794A82A358BD0816077A35"><enum>(2)</enum><text display-inline="yes-display-inline">specific and detailed recommendations on modernizing and simplifying the requirements in regulation S-K in a manner that reduces the costs and burdens on companies while still providing all material information; and</text></paragraph>
<paragraph id="H2BE3701A457D4CBB8D6A01D85AA77094"><enum>(3)</enum><text display-inline="yes-display-inline">specific and detailed recommendations on ways to improve the readability and navigability of disclosure documents and to discourage repetition and the disclosure of immaterial information.</text></paragraph></subsection>
<subsection id="H0A5477537EB34250A9990061A01D1C1E"><enum>(d)</enum><header>Rulemaking</header><text display-inline="yes-display-inline">Not later than the end of the 360-day period beginning on the date that the report is issued to the Congress under subsection (c), the Commission shall issue a proposed rule to implement the recommendations of the report issued under subsection (c).</text></subsection>
<subsection id="H669C4E8CC8A5462390EE65C5404A1E6F"><enum>(e)</enum><header>Rule of construction</header><text>Revisions made to regulation S-K by the Commission under section 3 shall not be construed as satisfying the rulemaking requirements under this section.</text></subsection></section>
