		<section id="H557D5ADB478E484C81EACC94D9985D60" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Restricted Securities Relief Act of 2014</short-title></quote>.</text>
		</section><section id="H99A4C5C45D384BCB86165D896BFAB456"><enum>2.</enum><header>Improving private market offerings</header>
			<subsection id="H71CCF405E3DB4B21BADB4774789B4119"><enum>(a)</enum><header>Revisions to regulations</header><text display-inline="yes-display-inline">The Securities and Exchange Commission shall—</text>
				<paragraph id="H725FC129D8664F8BB3AAACF60A193F23"><enum>(1)</enum><text display-inline="yes-display-inline">revise <external-xref legal-doc="regulation" parsable-cite="cfr/17/230.144">section 230.144(d)(1)(i)</external-xref> of title 17, Code of Federal Regulations, to change the holding
			 period for restricted securities issued by an issuer that is, and has been
			 for a period of at least 90 days immediately before the sale, subject to
			 the reporting requirements of section 13 or 15(d) of the Securities
			 Exchange Act of 1934 from 6 months to 3 months; and</text>
				</paragraph><paragraph id="H22599CE48E9240C2B37374588E027D0E"><enum>(2)</enum><text display-inline="yes-display-inline">revise <external-xref legal-doc="regulation" parsable-cite="cfr/17/230.144">section 230.144(i)</external-xref> of title 17, Code of Federal Regulations, to permit an issuer of
			 securities that was described under paragraph (1) of such section
			 230.144(i) that has ceased to be an issuer described under such paragraph
			 to sell such securities (subject to the requirements of such section)
			 after two years has elapsed from the date that the issuer files a Form 8–K
			 with the Commission stating that the issuer is no longer described under
			 paragraph (1) of such section.</text>
				</paragraph></subsection><subsection id="HA4C075F366AC404CB5D133E0D9AD8288"><enum>(b)</enum><header>Covered securities</header><text display-inline="yes-display-inline">Section 18(b) of the Securities Act of 1933 (<external-xref legal-doc="usc" parsable-cite="usc/15/77r">15 U.S.C. 77r(b)</external-xref>) is amended by adding at the end the
			 following:</text>

			 forth in <external-xref legal-doc="regulation" parsable-cite="cfr/17/230.144">section 230.144A</external-xref> of title 17, Code of Federal Regulations.</text></paragraph><after-quoted-block>.</after-quoted-block></quoted-block>
