		<section id="H56048913C1224643AEBA1D1C5B472AB3" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Truth in Settlements Act of 2014</short-title></quote>.</text>
		</section><section id="H4A5DE6C0AC9A4537BF376B96480F578A" section-type="subsequent-section"><enum>2.</enum><header>Information regarding settlement agreements entered into by Federal agencies</header>
			<subsection id="H3869DA1F286B4D18B711CD2A6B22D1C8"><enum>(a)</enum><header>Requirements for settlement agreements</header>
				<paragraph id="H60C403918EF844F5A05DADAC8164504B"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline"><external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/5/3">Chapter 3</external-xref> of title 5, United States Code, is amended by adding at the end the following:</text>
					<quoted-block display-inline="no-display-inline" id="HA32DD273D7C345B585CEBDD20E7EA7E1" style="USC">
						<section id="H299C59D68619494D969F9CEB381A37DA"><enum>307.</enum><header>Information regarding settlement agreements</header>
							<subsection id="H38033AC1C31E4C12A8F1DE6B4D056EE5"><enum>(a)</enum><header>Definitions</header><text>In this section—</text>
								<paragraph id="H16E4253EE54D47128EB2DECC51389C97"><enum>(1)</enum><text>the term <term>covered settlement agreement</term> means a settlement agreement (including a consent decree) that—</text>
									<subparagraph id="HD5FA9447B73E4019A77F412C34877740"><enum>(A)</enum><text>is entered into by an Executive agency;</text>
									</subparagraph><subparagraph id="HC3F6018FCD1A4A42B0FDA43CFF30BA6F"><enum>(B)</enum><text>relates to an alleged violation of Federal civil or criminal law; and</text>
									</subparagraph><subparagraph id="H5E65C526B03B4BAE8CDB66880538892A"><enum>(C)</enum><text>requires the payment of a total of not less than $1,000,000 by one or more non-Federal persons;</text>
									</subparagraph></paragraph><paragraph id="HEBFE5705CABC4D2C86AC1597C785DACD"><enum>(2)</enum><text>the term <term>entity within the Federal Government</term> includes an officer or employee of the Federal Government acting in an official capacity; and</text>
								</paragraph><paragraph id="H0E85327F85124577B4E038A04EA3B304"><enum>(3)</enum><text>the term <term>non-Federal person</term> means a person that is not an entity within the Federal Government.</text>
								</paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="HADEBC2EF85314A52A4DE1F51F7D57404"><enum>(b)</enum><header>Information To be posted online</header>
								<paragraph commented="no" display-inline="no-display-inline" id="H31D458F945F94EAEA0F3B51B6DFB7A8C"><enum>(1)</enum><header>Requirement</header>
									<subparagraph commented="no" display-inline="no-display-inline" id="H220DA83BBD7B47C3BFC177A8DAD86B7D"><enum>(A)</enum><header>In general</header><text display-inline="yes-display-inline">Subject to subparagraph (B), the head of each Executive agency shall make publicly available in a
			 searchable format in a prominent location on the Web site of the Executive
			 agency—</text>
										<clause commented="no" display-inline="no-display-inline" id="H0C6998EF5DE84AAC95A93EF3BEB71967"><enum>(i)</enum><text display-inline="yes-display-inline">a list of each covered settlement agreement entered into by the Executive agency, which shall
			 include, for each covered settlement agreement—</text>
											<subclause commented="no" display-inline="no-display-inline" id="H66CD3E4C219C4313901F8C794FD51C04"><enum>(I)</enum><text display-inline="yes-display-inline">the date on which the parties entered into the covered settlement agreement;</text>
											</subclause><subclause commented="no" display-inline="no-display-inline" id="H5CE9CF6C10C14DA395D57C6867BC6AB2"><enum>(II)</enum><text display-inline="yes-display-inline">the names of the parties that settled claims under the covered settlement agreement;</text>
											</subclause><subclause commented="no" display-inline="no-display-inline" id="H667606715F3D4FF78F73A64EF5BDB9DF"><enum>(III)</enum><text display-inline="yes-display-inline">a description of the claims each party settled under the covered settlement agreement;</text>
											</subclause><subclause commented="no" display-inline="no-display-inline" id="HBB241E78E489435DA115A51C93F0D7F7"><enum>(IV)</enum><text display-inline="yes-display-inline">the amount each party settling a claim under the covered settlement agreement is obligated to pay
			 under the settlement agreement;</text>
											</subclause><subclause id="H25EB0997F42E4935AAEC877FA4925AAB"><enum>(V)</enum><text>the total amount the settling parties are obligated to pay under the settlement agreement; and</text>
											</subclause><subclause id="HDCA19F13CEE840CDA8DB8A1EA706D2D5"><enum>(VI)</enum><text>for each settling party, the amount the settling party is obligated to pay that has been designated
			 as a civil penalty or fine, or otherwise specified as not tax deductible
			 under the covered settlement agreement; and</text>
											</subclause></clause><clause commented="no" display-inline="no-display-inline" id="H6C9AD4B90EC94A0DBB6F6359D9CFDD0A"><enum>(ii)</enum><text display-inline="yes-display-inline">a copy of each covered settlement agreement entered into by the Executive agency.</text>
										</clause></subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="HCE34803E061D4F69BAA2323728CB16CC"><enum>(B)</enum><header>Confidentiality provisions</header><text display-inline="yes-display-inline">The requirement to disclose information or a copy of a covered settlement agreement under
			 subparagraph (A) shall apply to the extent that the information or copy
			 (or portion thereof) is not subject to a confidentiality provision that
			 prohibits disclosure of the information or copy (or portion thereof).</text>
									</subparagraph></paragraph><paragraph commented="no" display-inline="no-display-inline" id="H70BE09A434174B2E8412157C7CD91D36"><enum>(2)</enum><header>Period</header><text display-inline="yes-display-inline">The head of each Executive agency shall ensure that—</text>
									<subparagraph commented="no" display-inline="no-display-inline" id="HDC4B978F19AB4499ACE667A41CFB2198"><enum>(A)</enum><text display-inline="yes-display-inline">information regarding a covered settlement agreement is publicly available on the list described in
			 paragraph (1)(A)(i) until at least the date that is 5 years after the date
			 of the covered settlement agreement; and</text>
									</subparagraph><subparagraph commented="no" display-inline="no-display-inline" id="H604B5281941244B284B4986466D94039"><enum>(B)</enum><text display-inline="yes-display-inline">a copy of a covered settlement agreement made available under paragraph (1)(A)(ii) is publicly
			 available until—</text>
										<clause commented="no" display-inline="no-display-inline" id="HF5B4BB1656C3488E81F94DE9CF73768C"><enum>(i)</enum><text display-inline="yes-display-inline">at least the date that is 1 year after the date of the covered settlement agreement; or</text>
										</clause><clause commented="no" display-inline="no-display-inline" id="H46F037AE692A4F4BBE077AA4BE4EDC2B"><enum>(ii)</enum><text display-inline="yes-display-inline">for a covered settlement agreement under which a non-Federal person is required to pay not less
			 than $50,000,000, at least the date that is 5 years after the date of the
			 covered settlement agreement.</text>
										</clause></subparagraph></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="H3C8A383055A34CEBBB49CE7D13B02895"><enum>(c)</enum><header>Public statement</header><text>If the head of an Executive agency determines that a confidentiality provision in a covered
			 settlement agreement, or the sealing of a covered settlement agreement, is
			 required to protect the public interest of the United States, the head of
			 the Executive agency shall issue a public statement stating why such
			 action is required to protect the public interest of the United States,
			 which shall explain—</text>
								<paragraph commented="no" display-inline="no-display-inline" id="H43D601E694AB472D86E6138ECA26198C"><enum>(1)</enum><text>what interests confidentiality protects; and</text>
								</paragraph><paragraph commented="no" display-inline="no-display-inline" id="HB81CD30C91CE41C786FB4609D1698D6D"><enum>(2)</enum><text>why the interests protected by confidentiality outweigh the public’s interest in knowing about the
			 conduct of the Federal Government and the expenditure of Federal
			 resources.</text>
								</paragraph></subsection><subsection id="H329DE01E4F414CCFABF11639B419E283"><enum>(d)</enum><header>Requirements for written public statements</header><text>Any written public statement issued by an Executive agency that refers to an amount to be paid by a
			 non-Federal person under a covered settlement agreement shall—</text>
								<paragraph id="HCD17EDFFA6E54543946A9728A2B452CC"><enum>(1)</enum><text>specify which portion, if any, of the amount to be paid under the covered settlement agreement by a
			 non-Federal person—</text>
									<subparagraph id="H9C9A0437E8CD4344A0D96C652BA30B25"><enum>(A)</enum><text>is a civil or criminal penalty or fine to be paid for a violation of Federal law; or</text>
									</subparagraph><subparagraph id="HAE62E2F28320466CB785FF499D110089"><enum>(B)</enum><text>is expressly specified under the covered settlement agreement as not deductible for purposes of the
			 Internal Revenue Code of 1986; and</text>
									</subparagraph></paragraph><paragraph id="H3F025D90AFB8454F903BE1BEF3271F79"><enum>(2)</enum><text>describe in detail any actions the non-Federal person shall take under the covered settlement
			 agreement—</text>
									<subparagraph id="H041E2FFBA9CF4D33B9FC69FE46FBCA9D"><enum>(A)</enum><text>in lieu of payment to the Federal Government or a State or local government; or</text>
									</subparagraph><subparagraph id="H91DB2673DB2E46A09FE11DE45A167451"><enum>(B)</enum><text>in addition to such a payment.</text>
									</subparagraph></paragraph></subsection><subsection commented="no" display-inline="no-display-inline" id="H97BCB8113F3E4831B225F3A43A5C0747"><enum>(e)</enum><header>Reporting</header>
								<paragraph commented="no" display-inline="no-display-inline" id="H4FB10C36587A4F81A753BEA5815FB77A"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">Not later than January 15 of each year, the head of an Executive agency that entered into a covered
			 settlement agreement during the previous fiscal year shall submit to each
			 committee of Congress with jurisdiction over the activities of the
			 Executive agency a report indicating—</text>
									<subparagraph id="H3CF6367277E946DE97EA1D6CF92274E5"><enum>(A)</enum><text>how many covered settlement agreements the Executive agency entered into during that fiscal year;</text>
									</subparagraph><subparagraph id="H28E182C6172E4FEAA0039E3E6CBAFAF1"><enum>(B)</enum><text>how many covered settlement agreements the Executive agency entered into during that fiscal year
			 had any terms or conditions that are required to be kept confidential; and</text>
									</subparagraph><subparagraph id="HAAE6CB64C9BC4900AD4999E85491EE84"><enum>(C)</enum><text>how many covered settlement agreements the Executive agency entered into during that fiscal year
			 for which all terms and conditions are required to be kept confidential.</text>
									</subparagraph></paragraph><paragraph id="H6329D44B876A4C0990E1E34144436102"><enum>(2)</enum><header>Availability of reports</header><text>The head of an Executive agency that is required to submit a report under paragraph (1) shall make
			 the report publically available in a searchable format in a prominent
			 location on the Web site of the Executive agency.</text></paragraph></subsection></section><after-quoted-block>.</after-quoted-block></quoted-block>
				</paragraph><paragraph id="HA20B25C6A2F84275A169E8EC87A94B51"><enum>(2)</enum><header>Technical and conforming amendment</header><text>The table of sections for <external-xref legal-doc="usc-chapter" parsable-cite="usc-chapter/5/3">chapter 3</external-xref> of title 5, United States Code, is amended by adding at the end
			 the following:</text>

							<toc-entry idref="H299C59D68619494D969F9CEB381A37DA" level="section">307. Information regarding settlement agreements.</toc-entry></toc><after-quoted-block>.</after-quoted-block></quoted-block>
				</paragraph></subsection><subsection id="H1F9D189F2A354295920F1669BE535B7F"><enum>(b)</enum><header>Securities reporting</header>
				<paragraph id="H6672DA7BD3D2495AA960A16756F09E7D"><enum>(1)</enum><header>In general</header><text display-inline="yes-display-inline">Each issuer of securities that is required to file annual or other periodic reports with the
			 Commission under section 13 or 15(d) of the Securities Exchange Act of
			 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78m">15 U.S.C. 78m</external-xref>, 78o(d)) shall describe in such a report any claim
			 filed for a deduction under the Internal Revenue Code of 1986 during the
			 reporting period that relates to a payment required under a covered
			 settlement agreement.</text>
				</paragraph><paragraph id="H4B727153B7404771BEFC9C3CE9678500"><enum>(2)</enum><header>Definitions</header><text>As used in this subsection—</text>
					<subparagraph id="H532708FE12AB4CFEAADA029434FCEA09"><enum>(A)</enum><text>the term <term>Commission</term> means the Securities and Exchange Commission;</text>
					</subparagraph><subparagraph id="HBE63363D63E6468FBA2A779ABF7330F8"><enum>(B)</enum><text>the term <term>covered settlement agreement</term> has the meaning given that term in <external-xref legal-doc="usc" parsable-cite="usc/5/307">section 307</external-xref> of title 5, United States Code, as added by
			 subsection (a); and</text>
					</subparagraph><subparagraph id="HF476006F51FC46859D5B2A4E5973AB2C"><enum>(C)</enum><text>the term <term>issuer</term> has the same meaning as in section 3 of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78c">15 U.S.C. 78c</external-xref>).</text>
					</subparagraph></paragraph></subsection><subsection id="H37BA1E9EF39546E2823ED67A21217669"><enum>(c)</enum><header>Review of confidentiality of settlement agreements</header><text>Not later than 6 months after the date of enactment of this Act, the Comptroller General of the
			 United States shall submit to Congress a report regarding how Executive
			 agencies (as defined under <external-xref legal-doc="usc" parsable-cite="usc/5/105">section 105</external-xref> of title 5, United States Code)
			 determine whether the terms of a settlement agreement or the existence of
			 a settlement agreement will be treated as confidential, which shall
			 include recommendations, if any, for legislative or administrative action
			 to increase the transparency of Government settlements while continuing to
			 protect the legitimate interests that confidentiality provisions serve.</text>
