		  Security Act to provide for employment tax treatment of professional service

		<section id="H6E8E80932C424CD49B62159CCE0EC446" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>Narrowing Exceptions for Withholding
			 Taxes Act of 2013</short-title></quote>.</text>
		</section><section display-inline="no-display-inline" id="H5E0CE7DB04CB4486B3B029589BFFDAF6" section-type="subsequent-section"><enum>2.</enum><header>Employment tax
			 treatment of professional service businesses</header>
			<subsection id="H69433DC792BF40EFB1309869F698D6D9"><enum>(a)</enum><header>In
			 general</header><text display-inline="yes-display-inline">Section 1402 of the
			 Internal Revenue Code of 1986 is amended by adding at the end the following new
			 subsection:</text>
				<quoted-block display-inline="no-display-inline" id="HA57A71C156D74A0B922AE7B452457825" style="OLC">
					<subsection id="HAF804C9A28FD41E78CCC14BAD4E0DE76"><enum>(m)</enum><header>Special rules
				for professional service businesses</header>
						<paragraph id="HA8FE12FB8D8C45EDBACABE4E985AF114"><enum>(1)</enum><header>Shareholders
				providing services to disqualified S corporations</header>
							<subparagraph id="HF66B6D11F9AB48B0B77349457A19507C"><enum>(A)</enum><header>In
				general</header><text>In the case of any disqualified S corporation, each
				shareholder of such disqualified S corporation who provides substantial
				services with respect to the professional service business referred to in
				subparagraph (C) shall take into account such shareholder’s pro rata share of
				all items of income or loss described in section 1366 which are attributable to
				such business in determining the shareholder’s net earnings from
				self-employment.</text>
							</subparagraph><subparagraph id="H90EE8B17E8644020852A6C22E65F79A9"><enum>(B)</enum><header>Treatment of
				family members</header><text display-inline="yes-display-inline">Except as
				otherwise provided by the Secretary, the shareholder’s pro rata share of items
				referred to in subparagraph (A) shall be increased by the pro rata share of
				such items of each member of such shareholder’s family (within the meaning of
				section 318(a)(1)) who does not provide substantial services with respect to
				such professional service business.</text>
							</subparagraph><subparagraph id="HC819A52E7EF045D4B61FD3922E5DED54"><enum>(C)</enum><header>Disqualified S
				corporation</header><text>For purposes of this subsection, the term
				<term>disqualified S corporation</term> means—</text>
								<clause id="H47BBEF707090499BB9291C9FF8155529"><enum>(i)</enum><text>any S corporation
				which is a partner in a partnership which is engaged in a professional service
				business if substantially all of the activities of such S corporation are
				performed in connection with such partnership, and</text>
								</clause><clause id="H506B720A4AD24E598974A6D2030F1B47"><enum>(ii)</enum><text>any other S
				corporation which is engaged in a professional service business if the
				principal asset of such business is the reputation and skill of 3 or fewer
				employees.</text>
								</clause></subparagraph></paragraph><paragraph id="HB0074C3623BD4DE9A032F68112A573C9"><enum>(2)</enum><header>Partners</header><text>In
				the case of any partnership which is engaged in a professional service
				business, subsection (a)(13) shall not apply to any partner who provides
				substantial services with respect to such professional service business.</text>
						</paragraph><paragraph id="HDFC4052CF38C4511861F6ABBE0026477"><enum>(3)</enum><header>Professional
				service business</header><text>For purposes of this subsection, the term
				<term>professional service business</term> means any trade or business if
				substantially all of the activities of such trade or business involve providing
				services in the fields of health, law, lobbying, engineering, architecture,
				accounting, actuarial science, performing arts, consulting, athletics,
				investment advice or management, or brokerage services.</text>
						</paragraph><paragraph id="HF7553809F827402E92BB8AB3E4C305EE"><enum>(4)</enum><header>Regulations</header><text>The
				Secretary shall prescribe such regulations as may be necessary or appropriate
				to carry out the purposes of this subsection, including regulations which
				prevent the avoidance of the purposes of this subsection through tiered
				entities or otherwise.</text>
						</paragraph><paragraph display-inline="no-display-inline" id="H160EB8CAEB454E189A7B6A203C0619BE"><enum>(5)</enum><header>Cross
				reference</header><text display-inline="yes-display-inline">For employment tax
				treatment of wages paid to shareholders of S corporations, see subtitle
				C.</text>
						</paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block>
			</subsection><subsection id="HD32DE87C5F9B4994B098E05EBAAC42F7"><enum>(b)</enum><header>Conforming
			 amendment</header><text display-inline="yes-display-inline">Section 211 of the
			 Social Security Act is amended by adding at the end the following new
			 subsection:</text>
				<quoted-block display-inline="no-display-inline" id="HE66E3A879B4F4A4D93DC3C72AE5EB3CF" style="OLC">
					<subsection display-inline="no-display-inline" id="H6E3FFE5B32D54EEE97B4942A0D04A62B"><enum>(l)</enum><header>Special rules
				for professional service businesses</header>
						<paragraph id="HAE07B1FA3C4641EF9195AA8A4D369077"><enum>(1)</enum><header>Shareholders
				providing services to disqualified S corporations</header>
							<subparagraph id="H429FD0DAF250494A87CA9774F6338E11"><enum>(A)</enum><header>In
				general</header><text>In the case of any disqualified S corporation, each
				shareholder of such disqualified S corporation who provides substantial
				services with respect to the professional service business referred to in
				subparagraph (C) shall take into account such shareholder’s pro rata share of
				all items of income or loss described in section 1366 of the Internal Revenue
				Code of 1986 which are attributable to such business in determining the
				shareholder’s net earnings from self-employment.</text>
							</subparagraph><subparagraph display-inline="no-display-inline" id="H4C83CA5981414721A59840EE63F1099D"><enum>(B)</enum><header>Treatment of
				family members</header><text display-inline="yes-display-inline">Except as
				otherwise provided by the Secretary of the Treasury, the shareholder’s pro rata
				share of items referred to in subparagraph (A) shall be increased by the pro
				rata share of such items of each member of such shareholder’s family (within
				the meaning of <external-xref legal-doc="usc" parsable-cite="usc/26/318">section 318(a)(1)</external-xref> of the Internal Revenue Code of 1986) who does
				not provide substantial services with respect to such professional service
				business.</text>
							</subparagraph><subparagraph id="H636C54C3BC684AAA9C6C574921D5F247"><enum>(C)</enum><header>Disqualified S
				corporation</header><text>For purposes of this subsection, the term
				<term>disqualified S corporation</term> means—</text>
								<clause id="H007EA47A2DE14002A629B784735AE4A8"><enum>(i)</enum><text>any S corporation
				which is a partner in a partnership which is engaged in a professional service
				business if substantially all of the activities of such S corporation are
				performed in connection with such partnership, and</text>
								</clause><clause id="HA8AE79F26B56422E8E40BD6C15A68324"><enum>(ii)</enum><text>any other S
				corporation which is engaged in a professional service business if the
				principal asset of such business is the reputation and skill of 3 or fewer
				employees.</text>
								</clause></subparagraph></paragraph><paragraph id="H8E57EB239B7D43E2AA1B90EDC4B14D82"><enum>(2)</enum><header>Partners</header><text>In
				the case of any partnership which is engaged in a professional service
				business, subsection (a)(12) shall not apply to any partner who provides
				substantial services with respect to such professional service business.</text>
						</paragraph><paragraph id="HC89871414EAA475F8D28D32712803EB2"><enum>(3)</enum><header>Professional
				service business</header><text>For purposes of this subsection, the term
				<term>professional service business</term> means any trade or business if
				substantially all of the activities of such trade or business involve providing
				services in the fields of health, law, lobbying, engineering, architecture,
				accounting, actuarial science, performing arts, consulting, athletics,
				investment advice or management, or brokerage
				services.</text>
						</paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block>
			</subsection><subsection id="H4190D7436C8E473D87F3D9BB78065B82"><enum>(c)</enum><header>Effective
			 date</header><text>The amendments made by this section shall apply to taxable
			 years beginning after December 31, 2012.</text>
