which was referred to the <committee-name committee-id="HJU00">Committee on the Judiciary</committee-name></action-desc></action><legis-type>A BILL</legis-type><official-title>To amend title 17, United States Code, to provide copyright owners in sound recordings with the exclusive right to negotiate in the marketplace the performance of their works to the public by means of an audio transmission, and for other purposes.</official-title></form><legis-body id="H291A141E05D74812B34D826E96CA04A9" style="OLC"><section id="H73545689965F4C7684CEF5D156A528F0" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the <quote><short-title>Free Market Royalty Act</short-title></quote>.</text></section><section id="H9BD667798537495DAA4642BFC080F29A"><enum>2.</enum><header>Broadcast performance right in sound recordings</header><text display-inline="no-display-inline"><external-xref legal-doc="usc" parsable-cite="usc/17/106">Section 106(6)</external-xref> of title 17, United States Code, is amended by striking <quote><short-title>a digital audio</short-title></quote> and inserting <quote><short-title>an audio</short-title></quote>.</text></section><section id="HD30E00DE2985463C804E602F4D75F7C7"><enum>3.</enum><header>Free market for licensing of public performances</header><text display-inline="no-display-inline"><external-xref legal-doc="usc" parsable-cite="usc/17/114">Section 114</external-xref> of title 17, United States Code, is amended as follows:</text><paragraph id="H87D15E12B47142038C9F022A19CA6AD5"><enum>(1)</enum><text>Subsection (d) is amended—</text><subparagraph id="H2D677B62129542EEA30857379A20B505"><enum>(A)</enum><text>in paragraph (1)—</text><clause id="H31F4EE0C7C5F4B869E12DB39F7E70BB9"><enum>(i)</enum><text>in the matter preceding subparagraph (A), by striking <quote><short-title>a digital audio</short-title></quote> and inserting <quote><short-title>an audio</short-title></quote>;</text></clause><clause id="HBA4BCC10D59E4D6786B855EBB4F3FC53"><enum>(ii)</enum><text>by striking subparagraph (A); and</text></clause><clause id="HD689CF0068944D93AB355CE1FD9003AF"><enum>(iii)</enum><text>by redesignating subparagraphs (B) and (C) as subparagraphs (A) and (B), respectively;</text></clause></subparagraph><subparagraph id="H484962D9498643A7AAB4BB21D18B4D38"><enum>(B)</enum><text>by striking paragraph (2);</text></subparagraph><subparagraph id="HB19C316B37FE445B9C4411C896E83752"><enum>(C)</enum><text>in paragraph (3)—</text><clause id="HFBABE96400BC489E8BDF26B5246A55A6"><enum>(i)</enum><text>in subparagraphs (A) and (B)(i), by striking <quote><short-title>of digital audio</short-title></quote> and inserting <quote><short-title>of an audio</short-title></quote>; and</text></clause><clause id="H378FF9E0E9EA4DA59C861563803BFEC7"><enum>(ii)</enum><text>in subparagraph (D), by striking <quote><short-title>a digital audio</short-title></quote> and inserting <quote><short-title>an audio</short-title></quote>;</text></clause></subparagraph><subparagraph id="HD31A799A7D504421BC2E915F09D4A970"><enum>(D)</enum><text>in paragraph (4), in subparagraphs (A) and (B)(i), by striking <quote><short-title>a digital audio</short-title></quote> and inserting <quote><short-title>an audio</short-title></quote>; and</text></subparagraph><subparagraph id="H5B319D694A5D4A3B8336A894E306EEDD"><enum>(E)</enum><text>by redesignating paragraphs (3) and (4) as paragraphs (2) and (3), respectively.</text></subparagraph></paragraph><paragraph id="H44786F4124DC47F1B5411884FC025B11"><enum>(2)</enum><text><external-xref legal-doc="usc" parsable-cite="usc/17/114">Section 114</external-xref> of title 17, United States Code, is amended by striking subsections (e), (f), and (g), and inserting the following:</text><quoted-block display-inline="no-display-inline" id="H7866399CBD804286917ACAD269FA0B23" style="OLC"><subsection id="H54A1D836E5F2469DBA62D15269B0F4B5"><enum>(e)</enum><header>Efficiency of licensing</header><paragraph id="HDAEF940F971B49739DAE7132E4652977"><enum>(1)</enum><header>Collective negotiation for noninteractive services</header><text display-inline="yes-display-inline">Pursuant to section 106(6), and notwithstanding any other provision of law, any noninteractive services performing sound recordings publicly by means of an audio transmission may collectively negotiate and agree to royalty rates and license terms and conditions for the performance of such sound recordings.</text></paragraph><paragraph id="H735ECD1C2E1143D29C8D40B7FB9B115E"><enum>(2)</enum><header>One-stop licensing for noninteractive services</header><subparagraph id="HDE288026E6844D939880950C0BC900CC"><enum>(A)</enum><header>Negotiation of licenses by common agent</header><text display-inline="yes-display-inline">Pursuant to section 106(6), and notwithstanding any other provision of law, for licenses for noninteractive audio transmissions, SoundExchange, Inc., or any successor entity is designated as the sole common agent to negotiate, agree to, pay, and receive payments under this section. If a license for noninteractive audio transmissions is agreed to by such common agent, copyright owners of sound recordings may subsequently negotiate and agree to royalty rates and license terms and conditions with any noninteractive services performing sound recordings publicly by means of an audio transmission for the performance of such sound recordings.</text></subparagraph><subparagraph id="H54D68AF8538547ACBEAE7D9FBC4A3A0C"><enum>(B)</enum><header>Direct payment and equal compensation</header><text display-inline="yes-display-inline">The common agent under subparagraph (A) shall make distributions directly to the following recipients from payments collected under this section as follows:</text><clause id="HA982BA6789544E8E9B99B496CE5B8B3D"><enum>(i)</enum><text>50 percent shall be paid to the copyright owner.</text></clause><clause id="H4652E5E3D118473F96AC99F259814065"><enum>(ii)</enum><text>45 percent shall be paid to featured recording artists.</text></clause><clause id="HDBC86FCD28114290AC4ECF0A6E2ECCE1"><enum>(iii)</enum><text display-inline="yes-display-inline">5 percent shall be paid to nonfeatured musicians and vocalists (through the American Federation of Musicians and Screen Actors Guild-American Federation of Television and Radio Artists Intellectual Property Rights Distribution Fund, or their successors).</text></clause></subparagraph></paragraph></subsection><subsection id="H9E662A40E468423B91303A3885E9A238"><enum>(f)</enum><header>Payments from individual licenses for noninteractive audio transmissions</header><text display-inline="yes-display-inline">In the case of a license granted by the copyright owner of a sound recording to a noninteractive service performing sound recordings publicly by means of an audio transmission, such service shall pay to the common agent described in subsection (e) receipts from the licensing of such transmissions in an amount equal to 50 percent of the total royalties and other compensation that the service is required to pay for such transmissions under the applicable license agreement. Such common agent shall distribute such payments in proportion to the distributions provided in clauses (ii) and (iii) of subsection (e)(2)(B), and such payments shall be the sole payments to which featured and nonfeatured artists are entitled by reason of such transmissions under the license with that service.</text></subsection><subsection commented="no" display-inline="no-display-inline" id="HE9F1D1EE4726475484581CD4ACCB2A87"><enum>(g)</enum><header>Backstop for public and noncommercial stations</header><paragraph id="H8AF0F3BF17F34DC3AD890ADFD9C1409E"><enum>(1)</enum><header>Establishment of rates and terms</header><text>If royalty rates and license terms and conditions for the audio transmission or retransmission of a nonsubscription broadcast consisting solely of noncommercial educational and cultural radio programs are not negotiated and agreed upon collectively under subsection (e) between the common agent and a noncommercial educational broadcast station funded on or after January 1, 1995, under section 396(k) of the Communications Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/47/396">47 U.S.C. 396(k)</external-xref>), a proceeding under chapter 8 of this title shall determine the rates and terms for such transmissions and retransmissions. The Copyright Royalty Judges shall establish such rates and terms that most clearly represent the rates and terms that would have been negotiated in the marketplace between a willing buyer and a willing seller. In determining such rates and terms, the Copyright Royalty Judges shall base their decision on economic, competitive, and programming information presented by the parties.</text></paragraph><paragraph id="H75278675947A492A8E3884BFED0607E5"><enum>(2)</enum><header>Payment of royalties</header><text display-inline="yes-display-inline">All royalty payments under this subsection for over-the-air nonsubscription broadcast transmissions required to be paid by public broadcasting entities that are eligible to receive funding on the basis of the formula set forth in section 396(k)(6)(B) of the Communications Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/47/396">47 U.S.C. 396(k)(6)(B)</external-xref>) or that are authorized to transmit over-the-air nonsubscription broadcast performances of nondramatic musical works pursuant to arrangements negotiated or otherwise made by the Corporation for Public Broadcasting under section 118, shall first be made using funds made available pursuant to section 396(k)(3)(A)(I)(II) of the Communications Act of 1934.</text></paragraph></subsection><after-quoted-block>.</after-quoted-block></quoted-block></paragraph><paragraph id="H7B298980401A427C804D254888897CA3"><enum>(3)</enum><text>Subsection (h)(1) is amended by striking <quote><short-title>a digital audio</short-title></quote> and inserting <quote><short-title>an audio</short-title></quote>.</text></paragraph><paragraph id="HAF1CDC9F81504476B8DEA1B7CB2F6CD2"><enum>(4)</enum><text>Subsection (j) is amended—</text><subparagraph id="H77E6E7551A7A413494B08AD590A7D852"><enum>(A)</enum><text display-inline="yes-display-inline">in paragraph (1), by striking <quote><short-title>digital audio</short-title></quote> and inserting <quote><short-title>audio</short-title></quote>;</text></subparagraph><subparagraph id="H01D908FFB5EA433697FBEABD4C786925"><enum>(B)</enum><text>by striking paragraphs (2), (4), (5), (6), (8), (10), and (11);</text></subparagraph><subparagraph id="H1122AE7E4F7B4FF29107FCB46CC456E4"><enum>(C)</enum><text>by inserting after paragraph (1) the following:</text><quoted-block display-inline="no-display-inline" id="H4F6EC78D422C4E5AAC7B615CD8533509" style="OLC"><paragraph id="HE874B2DCC18B4B0D9C2BF621D9BFE2FE"><enum>(2)</enum><text display-inline="yes-display-inline">An <term>audio transmission</term> is a transmission that embodies the transmission of a sound recording, and does not include the transmission of any audiovisual work.</text></paragraph><after-quoted-block>;</after-quoted-block></quoted-block></subparagraph><subparagraph id="H539717B7675D44BBBB329DE8770E5A33"><enum>(D)</enum><text>by redesignating paragraph (7) as paragraph (4);</text></subparagraph><subparagraph id="H34B312B68AB74A18A0FBE0FD56964A02"><enum>(E)</enum><text>by inserting after paragraph (4), as redesignated, the following:</text><quoted-block display-inline="no-display-inline" id="H5E418DB45A5748C4BF866ED93147A444" style="OLC"><paragraph id="H60F06A27E43044199E007C409F01B57E"><enum>(5)</enum><text display-inline="yes-display-inline">A <term>noninteractive service</term> is a service that would have been eligible for statutory licensing under subsection (d)(2) of this section, as such subsection was in effect on September 1, 2013</text></paragraph><after-quoted-block>; and</after-quoted-block></quoted-block></subparagraph><subparagraph id="H02035CE48EEA40ACAE9BBE58740050E3"><enum>(F)</enum><text>by redesignating paragraphs (9), (12), (13), (14), and (15) as paragraphs (6), (7), (8), (9), and (10) respectively.</text></subparagraph></paragraph></section><section id="H9037533F476348BDA418E2308DD6A06D"><enum>4.</enum><header>Ephemeral recordings</header><text display-inline="no-display-inline"><external-xref legal-doc="usc" parsable-cite="usc/17/112">Section 112</external-xref> of title 17, United States Code, is amended—</text><paragraph commented="no" id="H09709F3ED43544A7B3A87FA75A43DB30"><enum>(1)</enum><text>in subsection (a)(1), by striking <quote><short-title>including a statutory license under section 114(f)</short-title></quote> and inserting <quote><short-title>including a license to perform a sound recording under section 114</short-title></quote>; and</text></paragraph><paragraph commented="no" id="HA1754D03FE3149DDADFEA39F7D0A7BB2"><enum>(2)</enum><text>by striking subsection (e) and inserting the following:</text><quoted-block display-inline="no-display-inline" id="H033510E4ABC8490086BB4BC9D13ECAAC" style="OLC"><subsection id="HABE311B1544A48898DEE0C8F8BC0AA50"><enum>(e)</enum><header>Efficiency of licensing</header><text display-inline="yes-display-inline">The provisions of subsections (e)(1), (e)(2)(A), and (g) of section 114 shall apply to licensing of the right to reproduce phonorecords of a sound recording under section 106(1)—</text><paragraph id="H70A211ACA2414A48A95F24DCC66B7230"><enum>(1)</enum><text>for use solely to make noninteractive audio transmissions licensable under such subsections of section 114, or</text></paragraph><paragraph id="H34165525004A42AAA8838FE35056A905"><enum>(2)</enum><text>for use solely under the limitation on exclusive rights specified by section 114(d)(1)(B)(iv),</text></paragraph><continuation-text continuation-text-level="subsection">under circumstances in which such reproductions would have been eligible for statutory licensing under this subsection, as this subsection was in effect on September 1, 2013.</continuation-text></subsection><after-quoted-block>.</after-quoted-block></quoted-block></paragraph></section><section id="HBFAA3E14BCCB4BDCBC204D971F35BC39"><enum>5.</enum><header>Chapter <enum-in-header>8</enum-in-header> proceedings of Copyright Royalty Judges; technical amendments</header><subsection display-inline="no-display-inline" id="HA01194183A0441CC8ABCF65523B5CF69"><enum>(a)</enum><header>Functions</header><text display-inline="yes-display-inline"><external-xref legal-doc="usc" parsable-cite="usc/17/801">Section 801(b)</external-xref> of title 17, United States Code, is amended—</text><paragraph id="H8611C89F9E284A6593156EFD00100970"><enum>(1)</enum><text display-inline="yes-display-inline">in paragraph (1)—</text><subparagraph id="H7B60D545DD2B4BF6837192019FAB09B8"><enum>(A)</enum><text>by striking <quote><short-title>112(e), 114,</short-title></quote>; Thereafter, proceedings described in the preceding sentence may be commenced only pursuant to a petition filed at any time within 1 year after negotiated licenses authorized by section 114 or 112(e) (as the case may be) expire and are not replaced by subsequent agreements. For purposes of proceedings to determine terms and rates under this paragraph, the Copyright Royalty Judges shall make a determination as to whether the petitioner has a significant interest in the terms and rates in which a determination by the Judges is requested. If the Copyright Royalty Judges determine that the petitioner has such a significant interest, the Copyright Royalty Judges shall cause notice of this determination, with the reasons for such determination, to be published in the Federal Register, together with the notice of commencement of proceedings under this chapter.</text></paragraph><after-quoted-block>; and</after-quoted-block></quoted-block></subparagraph><subparagraph id="H563E043F756E449D835E8DBE1B29CF8D"><enum>(C)</enum><text>by redesignating paragraphs (4) through (8) as paragraphs (3) through (7), respectively.</text></subparagraph></paragraph></subsection><subsection id="H62FCBDB6E7FE424A9C16A21CE99F73B5"><enum>(e)</enum><header>Technical amendments</header><text><external-xref legal-doc="usc" parsable-cite="usc/17/114">Section 114</external-xref> of title 17, United States Code, is amended as follows:</text><paragraph id="HFC5E2A2B476E44C3B681C4978A167719"><enum>(1)</enum><text>Subsection (a) is amended by striking <quote><short-title>clauses</short-title></quote> and inserting <quote><short-title>paragraphs</short-title></quote>.</text></paragraph><paragraph id="HFAB682AF1A85444F8775656B1737387A"><enum>(2)</enum><text>Subsection (b) is amended—</text><subparagraph id="HEA4A24B61D7C455CB96E811FEC15191B"><enum>(A)</enum><text>by striking <quote><short-title>clause</short-title></quote> each place it appears and inserting <quote><short-title>paragraph</short-title></quote>;</text></subparagraph><subparagraph id="HD7A5CB36891F4B41A11075A48B19A080"><enum>(B)</enum><text display-inline="yes-display-inline">by striking <quote><short-title>clauses</short-title></quote> each place it appears and inserting <quote><short-title>paragraphs</short-title></quote>; and</text></subparagraph><subparagraph id="HD635E1E5BC4B427196623F480B191399"><enum>(C)</enum><text>by striking <quote><short-title>section 397 of title 47</short-title></quote> and inserting <quote><short-title>section 397 of the Communications Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/47/397">47 U.S.C. 397</external-xref>)</short-title></quote>.</text></subparagraph></paragraph></subsection></section><section commented="no" id="HF876863196CA466B8151AAB0A1268911"><enum>6.</enum><header>Study by Copyright Office</header><text display-inline="no-display-inline">The Register of Copyrights shall—</text><paragraph id="HC6BC923FA25042AA84C2DCB1B7CA37A9"><enum>(1)</enum><text>conduct a study on the protection of making available to the public copyrighted works under paragraph (3) of <external-xref legal-doc="usc" parsable-cite="usc/17/106">section 106</external-xref> of title 17, United States Code, and communicating to the public copyrighted works under paragraph (4) of such section, and recommend any amendments to such paragraphs necessary to so protect the rights of making available to the public copyrighted works and communicating to the public copyrighted works; and</text></paragraph><paragraph commented="no" id="H728966A346A940B7BDED2E830CBB8D15"><enum>(2)</enum><text>not later than 9 months after the date of the enactment of this Act, submit to the Committees on the Judiciary of the House of Representatives and the Senate a report on the results of the studies conducted under paragraph (1), including any recommendations under such paragraph.</text></paragraph></section><section id="H3250BA541BF94D98AF45FF3D3E0B9D00"><enum>7.</enum><header>Effective date</header><subsection commented="no" id="HECFA9AE090994770A8405B2FB0C6B48E"><enum>(a)</enum><header>Phase-Out of statutory licenses</header><text display-inline="yes-display-inline">The amendments made by sections 2, 3, 4, and 5—</text><paragraph commented="no" id="H0367B2F7BC7F4DEFBFCB15826840001B"><enum>(1)</enum><text>shall take effect upon the expiration of the 1-year period beginning on the date of the enactment of this Act; and</text></paragraph><paragraph commented="no" id="H135BDB3C7A21468982A0566DFF74C108"><enum>(2)</enum><text>shall apply with respect to audio transmissions of sound recordings that are made on or after the effective date under paragraph (1).</text></paragraph></subsection><subsection id="H0F40B8AA7413442B965E0C8316660078"><enum>(b)</enum><header>Other provisions</header><text>Sections 1 and 6 shall take effect on the date of the enactment of this Act.</text></subsection></section></legis-body></bill>
