		  protections for retail customers, and for other purposes.</official-title>

		<section id="H751C4EED84934746A5D16A14271DFB88" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>Retail Investor Protection
			 Act</short-title></quote>.</text>
		</section><section id="HA5A06595EC22463AAF56ABA34D6B0FE2"><enum>2.</enum><header>Stay on rules
			 defining certain fiduciaries</header><text display-inline="no-display-inline">After the date of enactment of this Act, the
			 Secretary of Labor shall not prescribe any regulation under the Employee
			 Retirement Income Security Act of 1974 (<external-xref legal-doc="usc" parsable-cite="usc/29/1001">29 U.S.C. 1001 et seq.</external-xref>) defining the
			 circumstances under which an individual is considered a fiduciary until the
			 date that is 60 days after the Securities and Exchange Commission issues a
			 final rule relating to standards of conduct for brokers and dealers pursuant to
			 the second subsection (k) of section 15 of the Securities Exchange Act of 1934
			 (<external-xref legal-doc="usc" parsable-cite="usc/15/78o">15 U.S.C. 78o(k)</external-xref>).</text>
		</section><section id="H3EEE53EB155247948FCDC7AA4ACE3C35"><enum>3.</enum><header>Amendments to the
			 Securities Exchange Act of 1934</header><text display-inline="no-display-inline">The second subsection (k) of section 15 of
			 the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78o">15 U.S.C. 78o(k)</external-xref>), as added by section
			 913(g)(1) of the Dodd-Frank Wall Street Reform and Consumer Protection Act (12
			 U.S.C. 5301 et seq.), is amended by adding at the end the following:</text>
			<quoted-block display-inline="no-display-inline" id="H140579E84DE749ED91381EA3E45435D4" style="OLC">
				<paragraph id="H60D338CD604C4293BFBAD8C4AC3E6B9E"><enum>(3)</enum><header>Requirements
				prior to rulemaking</header><text display-inline="yes-display-inline">The
				Commission shall not promulgate a rule pursuant to paragraph (1) before—</text>
					<subparagraph id="H786F967166E24C3097F2C8D2E725AD57"><enum>(A)</enum><text display-inline="yes-display-inline">identifying if retail customers (and such
				other customers as the Commission may by rule provide) are being systematically
				harmed or disadvantaged due to brokers or dealers operating under different
				standards of conduct than those standards that apply to investment advisors
				under section 211 of the Investment Advisers Act of 1940 (15 U.S.C.
				80b–11);</text>
					</subparagraph><subparagraph id="H2054B0FC0C32431F979ED64DC71C76C6"><enum>(B)</enum><text display-inline="yes-display-inline">identifying whether the adoption of a
				uniform fiduciary standard of care for brokers or dealers and investment
				advisors would adversely impact retail investor access to personalized
				investment advice, recommendations about securities, or the availability of
				such advice and recommendations;</text>
					</subparagraph><subparagraph id="H5396C8AD2BED455A922040FE1D0F15AE"><enum>(C)</enum><text display-inline="yes-display-inline">conducting an assessment by the chief
				economist of the Commission that assesses the qualitative and quantitative
				costs and benefits of the rule; and</text>
					</subparagraph><subparagraph id="HAC1A123C9B194763822567A9091D3680"><enum>(D)</enum><text>the Commission,
				based on the assessment described in subparagraph (B)—</text>
						<clause id="HED4D7FA7CA5E41B9A82963F1328B40D5"><enum>(i)</enum><text>determines that
				the benefits of the rule justify its costs;</text>
						</clause><clause id="H2C1221C0294A497E9CF659D0711B6F54"><enum>(ii)</enum><text display-inline="yes-display-inline">identifies and assesses available
				alternatives to the rule that were considered, including modification of an
				existing regulation, simplification of disclosures regarding standards of care
				that apply to brokers or dealers and those that apply to investment advisors,
				together with an explanation of why the rule meets the regulatory objectives
				more effectively than the alternatives; and</text>
						</clause><clause id="HC435A42E1AB241278DF028C23189A0B3"><enum>(iii)</enum><text>ensures that the
				rule is accessible, consistent, written in plain language, and easy to
				understand, and that the rule shall measure and seek to improve the actual
				results of regulatory requirements.</text>
						</clause></subparagraph></paragraph><paragraph id="H3AB99162AA8C416B804C98461EFF98AF"><enum>(4)</enum><header>Requirements for
				promulgating a rule</header><text display-inline="yes-display-inline">The
				Commission shall publish in the Federal Register alongside the rule promulgated
				pursuant to paragraph (1) formal findings that such rule would reduce the
				confusion of a retail customer (and such other customers as the Commission may
				by rule provide) about standards of conduct applicable to brokers, dealers, and
				investment advisors.</text>
				</paragraph><paragraph id="HBB50010E22E04954B0964908FBF98324"><enum>(5)</enum><header>Requirements
				under Investment Advisers Act of 1940</header><text display-inline="yes-display-inline">In proposing rules under paragraph (1) for
				brokers or dealers, the Commission shall consider the differences in the
				registration, supervision, and examination requirements applicable to brokers,
				dealers, and investment advisors.</text>
