		<official-title>To amend the Investment Company Act of 1940 to allow
		  business development companies to purchase, otherwise acquire, or hold certain
		  securities, to change the asset coverage ratio and treatment of preferred stock
		  for business development companies, and to direct the Securities and Exchange
		  Commission to revise certain rules relating to business development
		  companies.</official-title>

		<section id="H78F376B198B942CFB88F5D8ABA7A58E9" section-type="section-one"><enum>1.</enum><header>Short title</header><text display-inline="no-display-inline">This Act may be cited as the
			 <quote><short-title>Small Business Credit Availability
			 Act</short-title></quote>.</text>
		</section><section id="HDA8E5E3BADB64DF09DF31EEC6DE294B6"><enum>2.</enum><header>Amendment to
			 permit business development companies to own investment advisers</header><text display-inline="no-display-inline">Section 60 of the Investment Company Act of
			 1940 (<external-xref legal-doc="usc" parsable-cite="usc/15/80a-59">15 U.S.C. 80a–59</external-xref>) is amended by striking <quote>except that the
			 Commission shall not</quote> and inserting the following:</text>
			<quoted-block id="H8671B2605F3142B29A2CC172334EA5DB" style="OLC">
				<quoted-block-continuation-text quoted-block-continuation-text-level="paragraph">except
				that—</quoted-block-continuation-text><paragraph id="HDAD3C1FBECF343C89E5B67D299383DD7"><enum>(1)</enum><text>section 12 shall
				not apply to the purchasing, otherwise acquiring, or holding by a business
				development company of any security issued by, or any other interest in the
				business of, any person who is an investment adviser registered under title II
				of this Act or who is an investment adviser to an investment company;
				and</text>
				</paragraph><paragraph id="H049B2C0F1177434BB54A98946E5A64EA"><enum>(2)</enum><text>the Commission
				shall
				not</text>
				</paragraph><after-quoted-block>.</after-quoted-block></quoted-block>
		</section><section id="H434986853CCC4300904B56792CEB01C9"><enum>3.</enum><header>Amendments to
			 expand access to capital for business development companies</header><text display-inline="no-display-inline">Section 61(a) of the Investment Company Act
			 of 1940 (<external-xref legal-doc="usc" parsable-cite="usc/15/80a-60">15 U.S.C. 80a–60(a)</external-xref>) is amended—</text>
			<paragraph id="H8963EC12C8E0480CB87D6DF1D384D98E"><enum>(1)</enum><text>in paragraph (1),
			 by striking <quote>200</quote> and inserting <quote>150</quote>;</text>
			</paragraph><paragraph id="H2FF82FBCF19047EC9B4EDDE19C53D412"><enum>(2)</enum><text>in paragraph (2),
			 by inserting <quote>or which is a stock</quote> after
			 <quote>indebtedness</quote>; and</text>
			</paragraph><paragraph id="HC0257B3249974185AE93A17AE84DE503"><enum>(3)</enum><text>by adding at the
			 end the following:</text>
				<quoted-block id="HE3DF69E227F846A2866CD78EFDF0F898" style="OLC">
					<paragraph id="HB919B9CF41CC4453B1873963EEEE525A"><enum>(5)</enum><text>Section 18(a)(2)
				shall not apply to a business development
				company.</text>
					</paragraph><after-quoted-block>.</after-quoted-block></quoted-block>
			</paragraph></section><section id="H5E81611843EC4BC49D2DAFA29C4DA199"><enum>4.</enum><header>Parity for
			 business development companies regarding offering and proxy rules</header>
			<subsection id="H401D5C2EF7034229AD2ED529BBAFF901"><enum>(a)</enum><header>Revision to
			 rules</header><text>Not later than 180 days after the date of enactment of this
			 Act, the Securities and Exchange Commission shall revise any rules to the
			 extent necessary to allow a business development company that has filed an
			 election pursuant to section 54 of the Investment Company Act of 1940 (15
			 U.S.C. 80a–53) to use the securities offering and proxy rules that are
			 available to other issuers that are required to file reports under section 13
			 or section 15(d) of the Securities Exchange Act of 1934 (<external-xref legal-doc="usc" parsable-cite="usc/15/78m">15 U.S.C. 78m</external-xref>;
			 78o(d)). Any action that the Commission takes pursuant to this subsection shall
			 include the following:</text>
				<paragraph id="HC40FF1E0EF674ADA976D8FF64A0CF007"><enum>(1)</enum><text>The Commission
			 shall revise rule 405 under the Securities Act of 1933 (17 C.F.R.
			 230.405)—</text>
					<subparagraph id="H63A90F36035E48F1AFCAB9201FCFF505"><enum>(A)</enum><text>to remove the
			 exclusion of a business development company from the definition of a well-known
			 seasoned issuer provided by that rule; and</text>
					</subparagraph><subparagraph id="H26FDA9893029409AB40DD22873C45B04"><enum>(B)</enum><text>to add
			 registration statements filed on Form N–2 to the definition of automatic shelf
			 registration statement provided by that rule.</text>
					</subparagraph></paragraph><paragraph id="H328FC8DA184B488D805D401B0D7D3705"><enum>(2)</enum><text>The Commission
			 shall revise rules 168 and 169 under the Securities Act of 1933 (17 C.F.R.
			 230.168 and 230.169) to remove the exclusion of a business development company
			 from an issuer that can use the exemptions provided by those rules.</text>
				</paragraph><paragraph id="H57E6A915F4C24EF6AE0BE64666AC1457"><enum>(3)</enum><text>The Commission
			 shall revise rules 163 and 163A under the Securities Act of 1933 (17 C.F.R.
			 230.163 and 230.163A) to remove a business development company from the list of
			 issuers that are ineligible to use the exemptions provided by those
			 rules.</text>
				</paragraph><paragraph id="HEB5F729B7636462698DBFA7F978AB72B"><enum>(4)</enum><text>The Commission
			 shall revise rule 134 under the Securities Act of 1933 (17 C.F.R. 230.134) to
			 remove the exclusion of a business development company from that rule.</text>
				</paragraph><paragraph id="HC962276A900249BFB0D2FE2C21FA85DF"><enum>(5)</enum><text>The Commission
			 shall revise rules 138 and 139 under the Securities Act of 1933 (17 C.F.R.
			 230.138 and 230.139) to specifically include a business development company as
			 an issuer to which those rules apply.</text>
				</paragraph><paragraph id="H516D1E97A43B47D9AECA1B87D296DA74"><enum>(6)</enum><text>The Commission
			 shall revise rule 164 under the Securities Act of 1933 (17 C.F.R. 230.164) to
			 remove a business development company from the list of issuers that are
			 excluded from that rule.</text>
				</paragraph><paragraph id="HDB3238DE8493432FA62AEDE692DD6718"><enum>(7)</enum><text>The Commission
			 shall revise rule 433 under the Securities Act of 1933 (17 C.F.R. 230.433) to
			 specifically include a business development company that is a well-known
			 seasoned issuer as an issuer to which that rule applies.</text>
				</paragraph><paragraph id="H36531448EB89446BB09162556DCFF1FA"><enum>(8)</enum><text>The Commission
			 shall revise rule 415 under the Securities Act of 1933 (17 C.F.R.
			 230.415)—</text>
					<subparagraph id="H80BD06625DA847CE84650091CDF85572"><enum>(A)</enum><text>to state that the
			 registration for securities provided by that rule includes securities
			 registered by a business development company on Form N–2; and</text>
					</subparagraph><subparagraph id="H5718915E423F452D9F513DFA7F597B33"><enum>(B)</enum><text>to provide an
			 exception for a business development company from the requirement that a Form
			 N–2 registrant must furnish the undertakings required by item 34.4 of Form
			 N–2.</text>
					</subparagraph></paragraph><paragraph id="HF80C8067DE254B6EAFEE98147D1A4B41"><enum>(9)</enum><text>The Commission
			 shall revise rule 497 under the Securities Act of 1933 (17 C.F.R. 230.497) to
			 include a process for a business development company to file a form of
			 prospectus that is parallel to the process for filing a form of prospectus
			 under rule 424(b).</text>
				</paragraph><paragraph id="H24A6F5E0A3814B6A938C2182720D2419"><enum>(10)</enum><text>The Commission
			 shall revise rules 172 and 173 under the Securities Act of 1933 (17 C.F.R.
			 230.172 and 230.173) to remove the exclusion of an offering of a business
			 development company from those rules.</text>
				</paragraph><paragraph id="H394D11C1CB3E48E295574FBE14F945EA"><enum>(11)</enum><text display-inline="yes-display-inline">The Commission shall revise rule 418 under
			 the Securities Act of 1933 (17 C.F.R. 230.418) to provide that a business
			 development company that would otherwise meet the eligibility requirements of
			 General Instruction I.A of Form S–3 shall be exempt from paragraph (a)(3) of
			 that rule.</text>
				</paragraph><paragraph id="H22A5CB10231544828FF1D2946E12B0E5"><enum>(12)</enum><text>The Commission
			 shall revise rule 14a–101 under the Securities Exchange Act of 1934 (17 C.F.R.
			 240.14a–101) to provide that a business development company that would
			 otherwise meet the requirements of General Instruction I.A of Form S–3 shall be
			 deemed to meet the requirements of Form S–3 for purposes of Schedule
			 14A.</text>
				</paragraph><paragraph id="H230BF9E8EE9E4C80B85760BA475D7C9B"><enum>(13)</enum><text>The Commission
			 shall revise rule 103 under Regulation FD (17 C.F.R. 243.103) to provide that
			 paragraph (a) of that rule applies for purposes of Form N–2.</text>
				</paragraph></subsection><subsection id="H89351EB9CB144E84A64EAD262D55D1EF"><enum>(b)</enum><header>Revision to form
			 N–2</header><text>The Commission shall revise Form N–2—</text>
				<paragraph id="H444C9E30C0724113889F7F56E49A7FBF"><enum>(1)</enum><text>to include an item
			 or instruction that is similar to item 12 on Form S–3 to provide that a
			 business development company that would otherwise meet the requirements of Form
			 S–3 shall incorporate by reference its reports and documents filed under the
			 Securities Exchange Act of 1934 into its registration statement filed on Form
			 N–2; and</text>
				</paragraph><paragraph id="HD442306508D44304AADC28A935DB2BC6"><enum>(2)</enum><text>to include an
			 instruction (that is similar to the instruction regarding automatic shelf
			 offerings by well-known seasoned issuers on Form S–3) to provide that a
			 business development company that is a well-known seasoned issuer may file
			 automatic shelf offerings on Form N–2.</text>
				</paragraph></subsection><subsection id="H6866204055054E1ABF1638A0CA09D5A7"><enum>(c)</enum><header>Rule of
			 construction</header><text>Any reference in this section to a rule or form
			 means such rule or form or any successor rule or form.</text>
